FIRST AMENDMENT TO CITY SECRETARY
CONTRACT NO. 46852 WITH NEWGEN STRATEGIES AND SOLUTIONS
This First Amendment ("Amendment") is entered into by and between the City of Fort Worth
("City"),a home-rule municipality in the State of Texas,acting through,its duly authorized Assistant
City Manager,Jesus J. Chapa,(City)and NewGen Strategies and Solutions,acting through its duly
authorized President, David Yanke, ("Consultant").
WHEREAS,the City and Consultant entered into that certain agreement identified as City Secretary
Contract No. 46852 for professional services in assisting the City in negotiating and drafting new
Uniform Wholesale Wastewater Contracts with its customer cities (the "Contract"); and
WHEREAS, the Consultant's proposal included the services of a licensed attorney to advise the
Consultant in its recommendations and proposed draft contract provisions to the City; and
WHEREAS,the Consultant has requested this amendment to Section 5 of the Contract to allow its
licensed attorney to provide such service.
NOW,THEREFORE,for and in consideration of the mutual covenants contained herein,and other
good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged and
confessed, the parties hereto agree as follows:
I. Section 5: OUTSIDE LEGAL COUNSEL.
Section 5 of the Contract shall be amended as follows:
Consultant may utilize its own legal counsel to assist in Consultant's completion of
its scope of work,including those portions of the Section 2 Scope of Services which
may require drafting contract terms and the RFP Task 7 ("Initiate Drafting of
Uniform Wholesale Wastewater Contract"). However, such counsel shall not
otherwise advise the City,or draft legal documents unless that outside legal counsel
has been approved by the City Attorney and City Council pursuant to Chapter VI of
the City Charter,

II. Other Terms and Conditions.
All other terms and conditions of the Contract remain in full force and effect, except that if
there is a conflict between the Contract and this Amendment,this Amendment shall control.
III.Counterparts.
This Amendment may be executed in counterparts(but all counterparts,taken together,shall
constitute only one agreement) and facsimile or electronic copies of signatures shall be
treated as originals for all purposes.
