FIRST ADDENDUM TO CITY SECRETARY CONTRACT NO.45063 This First Addendum to City Secretary Contract Number 45063 ("First Addendum") is by and between the City of Fort Worth ("City"),a home-rule municipality organized under the laws of the State of Texas,acting by and through its duly authorized Assistant City Manager, and Displays Unlimited, Inc. (the"Contractor") acting by and through Pamela McGann, its General Manager. The City has designated the Arts Council of Fort Worth and Tarrant County,Inc. as its Contract Manager to manage this agreement on its behalf. WHEREAS, on November 4, 2013, the City and Contractor entered into City Secretary Contract Number("CSC No.") 45063, as amended ("Agreement") whereby Contractor agreed to provide specific services for the purpose of assisting with the care and maintenance of the Public Art Collection, and two renewals(CSC 45063 R1 and R2)(collectively, the "Agreement"); WHEREAS, the Agreement provided for an initial one-year term and for the possibility of three, one-year renewals, at the sole discretion of the City; WHEREAS, on November 19, 2014, the parties executed and renewed the Agreement for the first one-year renewal period, effective beginning on December 2, 2014, and expiring on December 1, 2015,the same being CSC No.45063-R1; WHEREAS, on November 25, 2015, the parties executed and renewed the Agreement for the second one-year renewal period, effective beginning on December 2, 2015, and expiring on December 1,2016,the same being CSC No. 40164-R2; and WHEREAS, the City and Contractor wish to set out the additional Services to be provided per the Agreement that will be specific to this addendum and this Artwork with the intent that further Services may be requested by the City through future addenda; NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth,the sufficiency of which is hereby acknowledged,the parties agree as follows: 1. The Services to be performed by the Contractor for this First Addendum are set forth in the Contractor's Proposal ("Contractor's Proposal"), which is attached hereto as Exhibit "A" and incorporated herein for all purposes, and includes all labor, travel, and any other expenses required to complete the Services for this Artwork. The Services are necessary for ADA compliance in relationship to a public artwork titled "Molly" installed in Council Chambers at City Hall. If any terms and conditions contained in Exhibit A are contrary to the Agreement or this First Addendum, the terms and conditions of the Agreement shall control first and then the terms and conditions of this First Addendum. 2. In consideration of the Services to be performed under Exhibit A of this First Addendum, the City agrees to pay the Contractor an amount up to Five Thousand, Three Hundred Seventy Dollars and No Cents($5,370.00). Contractor shall present the design created pursuant to Exhibit A to the City for approval prior to commencing construction of the Services. 4. Contractor shall coordinate with the City for delivery and installation of the Services. 5. The risk of loss or damage to the Services shall be borne by Contractor during the time the Services are in the care, custody, and control of Contractor. Contractor shall take such measures as are necessary to protect the Services from loss or damage, including, without limitation, purchasing and maintaining the insurance required in Article 5 of the Agreement. 6. In addition, Contractor shall perform general maintenance treatment Services annually and on an as-needed basis on the following Artworks in the Collection pursuant to the terms of the Agreement and any terms contained within this First Addendum: a. 35 City Blocks, Ella Mae Shamblee Library, Southeast window and interior]062 Evans Street, Fort Worth 76104 i. Inspect and clean tile floor mural. ii. Inspect glass mural b. Freedom Train, T&P Terminal (Lofts), 221 W. Lancaster, Fort Worth 76102 i. Clean support wall ii. Remove and clean plexiglass box and water fountain, replace c. Friends For Life, Chuck Silcox Animal Care and Control Center, 4900 Martin Street, 76119 i. Remove surface debris d. Membrane Technology, Westside Water Treatment Plant, 12201 Old Weatherford Road, Fort Worth 76108 i. Inspect and clean tile mural ii. Inspect interior painting and evaluate lighting e. Letters, Northwest Library, 6228 Crystal Lake Drive, Fort Worth 76179 i. Evaluate f. Rodeo Plaza, Legacy of the Land, Rodeo Plaza, 121 E Exchange Ave., Fort Worth, TX 76164 i. Contractor shall provide in their final report including before and after documentation noting areas of concern and recommendations. 9. Contractor shall take such measures as are necessary to protect the Artwork from loss or damage, including, without limitation, purchasing and maintaining the insurance required in Article 6 of the Agreement. 10. All terms and conditions of the Agreement not specifically addressed herein remain in full force and effect and are binding upon the parties.
