Re: Extension of Agreement
Dear Mark:
We are writing to bring to your attention that City of Fort Worth Texas ("Client") has not yet
executed a new or renewal agreement with Marsh ClearSight LLC ("Marsh ClearSight,"formerly
known as CS STARS LLC)for use of Marsh ClearSight's proprietary software and related
services (the"Renewal Agreement").
As you know, Client entered into its existing agreement with Marsh ClearSight for use of Marsh
ClearSight's proprietary software and related services on November , 2004, (as amended, the
"Agreement"), which expired February 14, 2016, according to its terms. However, if you agree
with the provisions of this letter, and in consideration of receipt of payments of$22,033.75, and
in light of Marsh ClearSight's commitment to client service, Marsh ClearSight shall agree to
continue and extend the term of the Agreement with Client through May 14, 2016. The
extension is subject to and conditioned upon Client's obligation to abide by all the terms and
conditions of the Agreement.
While Marsh ClearSight would like to continue its relationship with Client, this letter serves as
notice to Client that the Agreement will expire without the requirement for further notice if Client
does not return a copy of this letter, executed on behalf of the Client, to Marsh ClearSight, by
February 14, 2016.
In addition, if the Agreement is extended, please understand that unless Marsh ClearSight and
the Client enter into a renewal agreement or other mutually agreed extension by May 14, 2016,
the Agreement will expire without the requirement for further notice by or to Client.
Please be aware that if the Agreement expires, all of Client's license rights in connection with
Marsh ClearSight's proprietary software and all other rights and licenses granted under the
Agreement, and Marsh ClearSight's obligation to provide services to Client will expire. In
addition, within fifteen (15) days of such expiration or earlier termination of the Agreement,
Client shall be required to return to Marsh ClearSight, or upon Marsh ClearSight's request
destroy, all copies of the proprietary Marsh ClearSight software, all related documentation, and
any confidential information of Marsh ClearSight, in any form, in its possession and control and
certify, in writing, the delivery or destruction of materials, and any copies thereof.

We look forward to hearing from you regarding the Renewal Agreement.
This agreement may be executed in counterparts, each of which when so executed and
delivered shall be considered an original, but such counterparts shall together constitute one
and the same instrument and agreement. Any signature delivered by a party by facsimile or
i other electronic transmission (including email transmission of a portable document file (.pdf) or
similar image) shall be deemed to be an original signature hereto
