HomeMy WebLinkAboutContract 45654-R2A1 Cl SY SECRETARY CONTRACT NO, 45 W4 � ,SNI Z1�t SECOND RENEWAL AND FIRST AMENDMENT OF C?1YOFF8R► CITY SECRETARY CONTRACT NUMBER 456541 G1TY "" PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND NU, INC., d/b/a NU-DESIGN This SECOND RENEWAL AND FIRST AMENDMENT OF CITY SECRETARY CONTRACT NO. 45654, ("Second Renewal") is made and entered into by and between the CITY OF FORT WORTH ("City"), a home-rule municipal corporation of the State of Texas, acting by and through its duly authorized Assistant City Manager, and NU, INC., d/b/a NU-DESIGN, acting by and through Kelly Hart, its duly authorizcd Vice President (the "Contractor"). WHEREAS, the City and Contractor entered into a Professional Services Agreement for specific services for the purpose of assisting with the care and maintenance of the Public Art Collection, the same being City Secretary Contract ("CSC") No. 45654 ("the Agreement") and one renewal (CSC No. 45654-R1); WHEREAS, under the Agreement, the compensation was outlined to be an amount not to exceed $50,000.00; however, the parties intended the amount to only apply to the first year of the Agreement; WHEREAS, the Agreement provides for an initial one-year term and for the possibility of three one-year renewals, at the sole discretion of the City; WHEREAS, City has renewed the Agreement once (CSC No. 45654-R1); WHEREAS, the first renewal term expires on June 5, 2016; WHEREAS, the City and Contractor desire to continue this relationship by extending and renewing the Agreement for another one-year renewal period; WHEREAS, while extending the Agreement, the parties wish to also amend the compensation allowable in the Agreement to accurately reflect the intent of the parties to allow an annual limit and to adjust the amount down to accurately reflect the anticipated expenditures; NOW, THEREFORE, City and Contractor do covenant and agree as follows: 1. Section 3 of the Agreement is hereby deleted in its entirety and replaced to read as follows: "3.1 The City shall pay Consultant an amount not to exceed $30,000.00 annually in accordance with the provisions bf this Agreement. WORTH, ion Copy 5/11/16 not perform any additional services for the City not specified by this Agreement and the Multi-Year Information Technology Orders, unless the City requests and approves in writing the additional costs for such services. The City shall not be liable for any additional expenses of Consultant not specified by this Agreement unless the City first approves such expenses in writing." 2. The City and Contractor hereby agree to renew and extend the Agreement for the second one-year renewal period, effective on June 5, 2016, and ending on June 4, 2017 ("Second Renewal Term"). 3. All terms and conditions of the Agreement shall remain in full force and effect during the Second Renewal Term unless specifically amended herein. 4. All terms in this Second Renewal that are capitalized but not defined shall have the meanings assigned to them in the Agreement.
