HomeMy WebLinkAboutContract 26163 CITY TARY CONTRACT ENO. lO PROFESSIONAL SERVICES AGREEMENT EXECUTIVE SEARCH SERVICES This Agreement is made by and between the City of Fort Worth, TX ("the City") and DMG- MAXIMUS, Inc. ("Consultant"). 1. Search Engagement. The City agrees to engage the Consultant to perform those services described below, for completion of the project described as follows: Information Systems and Services, now known as Information Technology Solutions, Director recruitment ("the Search"), all in accord with the Proposal to Recruit an Information Systems and Services Director, attached hereto as Exhibit"A". Any conflict between the Proposal and this Agreement shall be resolved in favor of this Agreement. 2. Services. The Consultant agrees to perform certain services necessary for completion of the Search, which services shall include the following: a) Organizational and position analysis b) Place advertisements in appropriate journals and publications c) Candidate identification d) Resume review and screening e) Preliminary interviews with leading candidates fl Progress report g) Detailed reference checks on leading candidates h) Final report i) Assist with interviews and negotiations A complete description of the services to be provided are contained in a proposal from the Consultant to the City dated June 14, 2000, which is incorporated herein by reference. 3. Relationship. Consultant shall perform all work and services hereunder as an independent contractor and not as an officer, agent, or employee of the City. Consultant shall have exclusive control of, and the exclusive right to control, the details of the work performed hereunder and all persons performing same shall be solely responsible for the acts and omissions of its officers, agents, employees and subcontractors. Nothing contained herein shall be construed as creating a partnership or joint venture between the City and Consultant; and the doctrine of respondeat superior shall not apply as between the City and the Consultant. 4. Compensation. As full compensation for the Consultant's professional services performed hereunder, the City shall pay the Consultant the fixed professional fee of Seventeen thousand five hundred dollars ($17,500). 5. Expense Reimbursement. The Consultant shall be entitled to reimbursement for expenses from the City for such expenses as consultant travel, advertising, sourcing, background checks, printing/photocopying, postage and delivery, telephone and clerical charges. The Consultant shall provide the City with a listing of expenses by category of expense as a part of monthly billings. 6. Compensation for Additional Services. In the event the City requires services in addition to those described in Paragraph 2, the City shall make a request in writing for such additional services. The Consultant shall be compensated at a negotiated rate and expenses as set forth in writing. In the event that the City hires, within one year of completion of this recruitment project, any candidates identified as a result of Consultant's recruitment project for any position other than Information Technology Solutions Director, the City agrees to pay Consultant a full fee as set forth herein for each candidate hired. For purposes of this paragraph, "Candidate" is defined to include any and all individuals about whom information of any sort was provided by Consultant in writing to the City in the course of this recruitment project. The parties hereto agree that the obligations set forth in this paragraph shall survive the termination of this Agreement. 7. Method of Payment. Fee payments will be made in three (3) equal monthly payments. Consultant shall submit its first billing upon authorization to proceed, with a like billing for the following 2 months. Expenses will be invoiced monthly until completion of the assignment. 8. Term. The term of this Agreement shall commence on the issuance of a notice to proceed at which time the Consultant shall begin work on the Search and shall continue, subject to the termination provisions of Paragraph 9, until the date that the Consultant completes the Search. The time of completion of the Search is estimated to be 100 days from the date of the meeting to develop the Recruitment Profile. 9. Termination. This Agreement may be terminated by the City at any time for cause or for the convenience of the City by notice in writing to the Consultant. In the event of termination, the Consultant shall stop work upon receipt of notice of termination and shall be entitled to compensation for professional service fees and for expense reimbursement to the date of receipt of notice of termination; and the Consultant shall provide to the City all work product completed or in progress at such date and communicate such recommendations and conclusions to the City as may have been formed by such date. Consultant shall not be entitled to any to lost or anticipated profits should the City elect to terminate this agreement. 10. Insurance. The Consultant shall obtain and maintain the following insurance in the minimum amounts stated prior to entering into performance of this Agreement: A. Worker's Compensation Insurance- Statutory B. Comprehensive General Liability - $250,000 per person/$500,000 per occurrence C. Property Damage Insurance - $500,000 D. Excess Liability - $1,000,000 City shall be added as an additional insured under the Comprehensive General Liability and Property Damage insurance. Page 2 of 4 Inky 0uri,� 11. Miscellaneous. a) The entire agreement between the parties with respect to the subject matter hereunder is contained in this Agreement. b) Neither this Agreement nor any rights or obligations hereunder shall be assigned or delegated by the Consultant without the prior written consent of the City. c) This Agreement shall be modified only by a written Agreement duly executed by the City and the Consultant. d) Should any of the provisions hereunder be found to be invalid, void or voidable by a court, the remaining provisions shall remain in full force and effect. e) This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Venue shall lie exclusively in Tarrant County, Texas. f) All notices required or permitted under this Agreement shall be deemed to have been given if and when deposited in the United States mail, properly stamped and addressed to the party for whom intended at such party's address listed below, or when delivered personally to such party, or by facsimile with a call to confirm receipt. A party may change its address for notice hereunder by giving written notice to the other party. g) If the selected candidate (other than an internal candidate) should be terminated within six months from the date of hire or if the City reasonably determines not to hire a candidate presented by Consultant, Consultant shall conduct another search as contemplated herein for no additional professional fee, other than reimbursement of expenses, which shall not exceed $8,500. h) Consultant warrants to the City that it has made full disclosure in writing of any existing or potential conflicts of interest related to the services to be performed hereunder. Consultant further warrants that it will make prompt disclosure in writing of any conflicts of interest that develop subsequent to the signing of this Agreement. i) Consultant shall not disclose any reports, documentation, or evaluations generated hereunder without the prior written consent of the City. j) Consultant agrees to indemnify, defend and hold the City, and its officers, agents and employees harmless from any loss, damage liability or expense for damage to property or person, including death, to any person, including but not limited to officers, agents, or employees of consultant or its subconsultants, which may arise out of any negligent act, error or omission by Consultant in the performance of this agreement. Consultant shall defend at its own expense any suits brought against the City, its officers, agents, and employees, or any of them, resulting from such negligent act, error, or omission; and shall pay all expenses and satisfy all judgments that may be incurred by rendered against them or any of them in connection therewith resulting from such negligent act, error or omission. FIRM QUALIFICATIONS DMG-MAXIMUS is committed to providing our clients with the highest caliber of service in the industry. We utilize state-of-the-art technology in conducting a search and have a team of dedicated professionals, researchers and administrative staff to serve you. In April 1999, Norman Roberts &Associates, Inc.joined with DMG-MAXIMUS. We believe that the combined resources of the two executive recruitment practices, with current staff of about 25 and offices throughout the country, enables us to provide the best possible service to our clients. In the area of information technology, we are currently conducting recruitments for four Information Technology positions for San Diego County; the Chief Information Officer, Department of Public Social Services for Los Angeles County; and the Aviation Director of Information Systems for Broward County (FL). BACKGROUND It is our understanding that: ■ You are interested in identifying outstanding candidates and filling the position as soon as is practical. ■ You wish to recruit in a thorough and deliberate manner that will insure that the best qualified individual is selected. ■ The salary range for the position is $69,000 to $125,000, with the starting point dependent on the qualifications and background of the person selected. III. OBJECTIVE AND APPROACH Our objective is always to find the best qualified candidates. We believe that, although notices in professional journals may be helpful, many of the best candidates must be sought out and their interest encouraged. Our familiarity with Fort Worth, knowledge of the field and our relationships with professional organizations make us well qualified to assist you. Our clients have found that we are able to: ■ Build consensus among those involved in the hiring process. ■ Develop the appropriate specifications for a position. ■ Encourage the interest of top-level people who would otherwise be reluctant to respond to an advertisement. ■ Save a considerable amount of time for client staff in developing and responding to candidates. ■ Independently and objectively assess the qualifications and suitability of candidates for the particular position for which we are recruiting. If our proposal is accepted, we will do the following: ■ Organization and Position Anakt sis We will interview you and other appropriate individuals to determine views of the position and concerns regarding desirable training, experience, and personal characteristics of candidates. We will also gather/review relevant information about the City and the Department, such as budgets, organization charts, etc. Once our findings have been summarized, we will submit a Recruitment Profile with the desired qualifications and characteristics for your approval. The Recruitment Profile which will be sent to potential candidates will include information about the City, the Department, the job and the criteria established by you. ■ Recruitment Once you have approved the Recruitment Profile, we will actively seek out individuals with superior qualifications and invite and encourage their interest. Announcements can be placed in professional journals. However, we will rely heavily on our own experience, contacts and file data. A substantial percentage of the placements made by our firm have been minority or female candidates. ■ Preliminary Screening We will review, acknowledge and evaluate all resumes received. Preliminary screening will be based upon criteria contained in the Recruitment Profile, information contained in the resumes submitted to us, and our knowledge of the people and organizations in which they work. Telephone screening will be conducted with the most promising candidates to gain a better understanding of their backgrounds. ■ Progress Reporting Upon completion of our preliminary screening, we will assemble and submit a progress report of the leading candidates to you. This report will include summary resumes, supplemental information, and the original resumes of those candidates we believe to be best qualified for the position. Supplemental information on a candidate typically includes: the size of the organization for which the person works, reporting relationships, budget responsibility, the number of people supervised, related experience and reasons for interest in the position. Any other specific information will be dictated by the criteria set forth in the Recruitment Profile. The purpose of our progress report is two-fold. It allows you an opportunity to review the candidates prior to the conclusion of the search and allows us to receive feedback on the caliber of the candidates recruited. By doing so, we avoid an embarrassing situation of conducting a lengthy search only to find we "missed the target." Likewise, you are not surprised by the candidates as you will have seen their qualifications prior to the final interviews. Of course, we are flexible and may consider other individuals as final candidates who are subsequently identified and were not included in the progress report. ■ Candidate Evaluation We will interview those candidates whose qualifications most closely match the criteria established by you. We will examine their qualifications and achievements in view of the selection criteria. Additionally, we will verify degrees and certifications, conduct credit/criminal/civil litigation/motor vehicle record checks through an outside service, and we will gather newspaper articles via the internet. As part of our process in evaluating candidates, we make telephone reference checks. In conducting these references, it is our practice to speak directly with individuals who are, or have been, in a position to evaluate the candidate's performance on the job. These references and our evaluations provide you with a frank, objective appraisal of the candidates. We suggest, however, that such detailed and extensive investigation is necessary only for those individuals seriously considered by you. ■ Final Reporting We will prepare a detailed report and evaluation for those candidates most nearly meeting your specifications, and will provide you with interviewing/selection tips, 'PFIf �'�� G' uu'D City of Fort Worth, TX June 14, 2000 Page 5 of 7 suggested interview questions, and rating forms for your use. Candidates will not be ranked, for we believe it will then be a matter of chemistry between you and the candidates. We will conduct a"briefing session" immediately preceding your interviews to make sure that the process flows smoothly, and will assist you in a "debriefing" immediately following the interviews. ■ Special Assistance Our efforts do not conclude with presentation of the final report. We are committed to you until a successful placement is made. Services that are routinely provided include: • Arranging the schedule of interviews and the associated logistics for final candidates; • Advising on starting salary, fringe benefits, relocation trends and employment packages; • Counseling the spouse, if applicable, concerning career opportunities in the new location; • Acting as a liaison between client and candidate in discussing offers and counter offers; • Conducting a final round of reference checking with current employers (if not previously done for reasons of confidentiality); and • Notifying unsuccessful candidates, who were not recommended for interview, of our decision. V. OUR CLIENT'S ROLE The client has a very important role in the recruitment process. We are not a substitute for your organization. While we may identify and recommend qualified candidates, it is the client who must make the decision about which candidate to hire. In order to insure that the best candidates are available from which to choose, our clients should be willing to do the following: ■ Clearly inform us about matters relevant to the search that you wish to keep confidential (e.g., salary, personnel issues, and other privileged information); ■ Forward to us copies of the resumes you receive, to avoid duplication of effort; ■ Provide feedback to DMG-MAXIMUS regarding the information and recommendations provided by us; ■ Promptly decide upon and follow up in scheduling interviews with the most promising candidates; and ■ Assist in providing information to candidates that will enable them to make their career decisions. Finally, please be reminded that the United States Immigration Reform and Control Act of 1986 requires that all employers verify an employee's eligibility to work in the United States. Since DMG-MAXIMUS cannot serve as your agent in this matter, your hiring process should include this verification procedure. VI. TIME FRAME The following is a typical schedule to conduct a thorough recruitment. However, we would be pleased to modify this to meet your needs: 1 st week Meet with you and other appropriate individuals to gather background information. 2nd to 4th week Develop and obtain approval for the Recruitment Profile. Develop a list of potential candidates to target. Prepare and place advertisements, if desired. 5th to 8th week Active recruitment—solicit, receive and acknowledge resumes. 9th week Evaluate resumes and gather supplemental information. 10th week Submit progress report and meet with you to review leading candidates. 11th to 13th week Verify degrees and certifications, conduct references and credit/criminal/civil litigation/motor vehicle record checks, and interview the best qualified candidates. 14th week Submit final report and initiate the interview process with you. Following Interviews Supplement references (if necessary) and assist with negotiations. T'I'. PROFESSIONAL FEES AND EXPENSES Our budget provides for up to three meetings with the client: one to develop the Recruitment Profile, one to present our Progress Report, and one to attend interviews of final candidates. We propose a fixed fee of$17,500 for the work outlined above. In addition, we are reimbursed for expenses such as for advertising, travel, interviewing, sourcing, support services, background checks and other related items, as well as allocated costs such as telephone, postage and photocopying. These expenses will not exceed $6,500 for a statewide search or $8,500 for a nationwide search without written authorization from you. Please note that this amount for expenses does not include reimbursement of candidates who travel to be interviewed by you. Unless you notify us to the contrary, we will assume that you will handle these reimbursements directly. We will submit three equal monthly invoices for fees, plus an amount for expenses, due and payable upon receipt. Our first billing is due upon your authorization to proceed. City of Fort Worth, TX June 14, 2000 Page 7 of 7 Though we are committed to working with you until a placement is made, our fees and expenses are not contingent upon our success in placing a candidate with your organization. Additionally, in the event that more than one executive is hired in connection with work performed by us (i.e., for another position within your organization), a full professional fee will be due for each executive hired. You may discontinue this assignment at any time by written notification. In the unlikely event that this occurs, you will be billed for all expenses incurred to the date of the cancellation, and for professional fees based upon the time elapsed from the commencement of the assignment to the date of cancellation. If a cancellation occurs within the first 30 days of the assignment, following either verbal or written authorization to proceed, one-third of the professional fee will be due. If a cancellation occurs thereafter, the fee beyond the first one-third will be prorated based upon the number of calendar days which have elapsed. If a cancellation occurs after 90 days, all professional fees will be due in full. VIII. GENERAL PROVISIONS Our ability to carry out the work required is heavily dependent on our past experience in providing similar services to others, and we expect to continue such work in the future. We will, however, preserve the confidential nature of any information received from you or developed during the work in accordance with our established professional standards and consistent with the Texas Public Meeting and Open Records Act. We assure you that we will devote our best efforts to carrying out the work required. The results obtained, our recommendations and any written material we provide will be our best judgment based on the information available to us and our liability, if any, shall not be greater than the amount paid to us for the services rendered. FOR EXECUTIVE SEARCH CONSULTANT SERVICES FOR AN INFORMATION TECHNOLOGY SOLUTIONS DIRECTOR RECOMMENDATION: It is recommended that the City Council authorize the City Manager to execute a contract with DMG - Maximus, Inc. for executive search consultant services for the recruitment and selection of an Information Technology Solutions Director, in an amount not to exceed $26,000 for fees and expenses. DISCUSSION: The City currently has a vacancy for the Director of the Information Technology Solutions Department. In order to assure that the most qualified candidate is recruited and selected for this position, it is recommended that the professional consultant services of DMG - Maximus, Inc. be engaged to perform a national executive search. SCOPE OF SERVICES - The consultant will provide the following services: Development of Recruiting Specifications The consultant will meet with the City Manager and his staff, other appropriate key staff, and clients to define the position requirements and candidate qualifications. The information gathered will be used to draft a Recruitment Profile, which is presented to the City Manager for review, modification and approval. The Recruitment Profile will be sent to potential candidates to provide them with information about the City, the department, the job and the desired selection criteria. The criteria contained in the Recruitment Profile will be used to conduct preliminary screening of job pcandidates. Recruiting F A directed campaign will be conducted to identify candidates whose backgrounds and experiences closely fit the desired candidate criteria. The recruiting process consists of the following steps: • Direct informational mailings to key associations/organizations throughout the country; and • Selected advertising through national publications and selected professional associations; and • Network and direct inquiries with professional sources that are knowledgeable in the field; and • Use of experience, contacts and file data from previous searches in this field of expertise. FOR EXECUTIVE SEARCH CONSULTANT SERVICES FOR AN INFORMATION TECHNOLOGY SOLUTIONS DIRECTOR Screeninq Preliminary screening will be based on the developed criteria and information contained in resumes and the consultant's knowledge of the people and the organizations in which they work. Telephone screening will be conducted with the most promising candidates to gain a better understanding of their backgrounds. A progress report listing information on the leading candidates will be developed and submitted to the City Manager for review and discussion. This report will contain, in a standardized format, information on the candidate, their current organization, budget, number of people supervised, and other information as dictated by the criteria set forth in the Recruitment Profile. Candidates for the next phase of the process will be identified from this group. Candidate Evaluation and Reference Checking The consultant conducts an in-depth interview with each of the semi-final candidates. The interviews will either be in person or through the use of video. Additionally, the consultant will verify degrees and certifications, conduct credit/criminal/civil litigation/motor vehicle records checks and gather related news articles. After the interviews, a list of several finalists is developed. The finalist list is presented to the City Manager for review and approval before a thorough reference check on the candidates' backgrounds, abilities, and management styles is conducted. Final Reporting of Finalists The consultant will provide a detailed written report and evaluation of the final candidates, which will address all the information obtained on these candidates. Client Interviews and Selection The finalists will then be subjected to final in-depth interviews, with the consultant participating as observer or active panel member, if requested by the City. Guarantee DMG - Maximus, Inc. guarantees its selection process by promising that if the selected candidate (other than an internal candidate) should be terminated within six months from the date of hire, it will redo the search for no additional professional fee. DMG - Maximus, Inc. would, however, be reimbursed for any expenses that might be incurred. Estimate of Time The in-depth recruitment process takes approximately 100 to 120 days to develop the recruiting brochure, conduct a national recruiting campaign, interview and evaluate candidates, and conduct final selection interviews. The actual timeline may be modified to meet the City's needs. Cost The professional search fee for the Information Technology Solutions Director is $17,500 plus expenses associated with the search, not to exceed $8,500, for travel, advertising, long distance telephone charges, postage, and other charges as approved by the City Manager's Office.
