HomeMy WebLinkAboutContract 47450-A1 • CITY sFcRETARV Y CONTRACT No, L0450- A RECEIVED _ 9 2016 FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 47450 AUG AN AGREEMENT WITH TOBI JACKSON Cl VIT1(SECRETARY H THIS FIRST AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 47450 ("First Amendment") is made and entered into by and between the City of Fort Worth, Texas, a home- rule municipal corporation of the State of Texas ("City"), acting by and through its duly authorized Assistant City Manager, and Tobi Jackson ("Consultant"), an individual. WHEREAS, in January of 2016, the City and Consultant entered into City Secretary Contract number 47450 ("Contract"), an agreement in which the Consultant agrees to use her experience and expertise to manage, lead, and oversee the development and growth of the Strengthening, Programs through Advocacy, Resources and Collaboration ("SPARC") initiative and develop and drive its strategy, mission, vision and values; WHEREAS, the Consultant and the City wish to amend the Contract to increase the amount of total compensation to Consultant by $2,000.00 (for a total compensation of $50,000.00) to allow for reimbursement of certain expenses associated with carrying out the services under the Contract; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein,the City and the Consultant do mutually covenant and agree to amend the Contract as follows: I. Subsection 2.1 of Section 2 titled, "Compensation & Payment Schedule" is hereby amended in full to read as follows: "2.1 Total compensation under this Contract shall not exceed Fifty Thousand Dollars and No Cents ($50,000.00) for all Services performed hereunder to include the total of the Consultant's fee and all reimbursable expenses. 2.1.1 Fee. As full and complete compensation for all Services described herein, Consultant shall be paid an amount up to Forty-Eight Thousand Dollars and No Cents ($48,000.00), exclusive of reimbursable expenses. To receive payment, Consultant shall issue monthly payment invoices of up to Six Thousand Dollars and No Cents ($6,000.00) to the City that must contain the City's contract number, total amount due, written progress updates concerning the tasks or deliverables completed, and the date provided for the billing period. If the City requires additional reasonable documentation, it shall request the same promptly after receiving the above-described information, and the Consultant shall provide such additional reasonable documentation to the extent the same is available. In addition to any fee herein, City shall reimburse Consultant for certain reasonable and necessary expenses, including, travel and program and meeting expenses, in an amount not to exceed Two Thousand Dollars and No Cents ($2,000.00). To receive reimbursement, Consultant shall provide the City with a signed invoice summarizing the reimbursable expenses that have been incurred and requesting payment. In submitting the invoices, Consultant shall provide copies of receipts for all reimbursable expenses. Incurred reasonable expenses will be paid concurrently with any invoice submitted for the performance of Services. If the City requires additional reasonable documentation, it shall request the same promptly after receiving the above-described information, and the Consultant shall provide such additional reasonable documentation to the extent the same is available." II. All terms and conditions of the Contract that are not expressly amended pursuant to this First Amendment shall remain in full force and effect. III. All terms in this First Amendment that are capitalized but not defined shall have the meanings assigned to them in the Contract.
