AN AGREEMENT FOR THE SUPPLY OF WATER SERVICE METERS AND APPURTENANCES FOR THE CITY OF FORT WORTH This AGREEMENT ("Agreement") is made and entered into by and between the CITY OF FORT WORTH (the "City"), a home rule municipal corporation situated in IN Tarrant, Denton, Parker and Wise Counties, Texas, acting by and through Jesus J. Chapa, its duly authorized Assistant City Manager, and Thirkettle Corporation dba Aqua Metric Sales Company ("Contractor"), a California corporation and acting by and through Chris Thirkettle,its duly authorized President. 1. SCOPE OF SERVICES. Contractor hereby agrees to provide the City with the supply of water service meters and appurtenances for the Water Department as described in the Request for Proposal No. 16-0168 ("RFP"). The terms and conditions for the supply of the water service meters and appurtenances is attached to and incorporated into this Agreement as Exhibit "A". If there is a conflict between this Agreement and the RFP,then this Agreement and shall prevail. 2. TERM. This Agreement shall commence upon August 31,2016(`Effective Date")and shall expire on August 30, 2018, unless terminated earlier in accordance with the provisions of this Agreement. This agreement may be renewed for up to two (2) additional two-year renewals at the City's sole option. The City shall provide Contractor with written notice of its intent to renew at least thirty (30) days prior to the end of each term and the parties shall execute a written amendment to extend the term. 3. COMPENSATION. The City shall pay Contractor an amount not to exceed Two Million Five Hundred Eighteen Thousand Five Hundred Thirty Dollars and Thirty-Four Cents ($2,518,530.34) in accordance with the provisions of this Agreement and the Payment Schedule and Unit Price attached as Exhibit "B" as proposed by the Contractor in its response to the RFP, which is incorporated for all purposes herein. Contractor shall not perform any additional services for the City not specified by this Agreement unless the City requests and approves in writing the additional services and costs. The City shall not be liable for any additional expenses of Contractor not specified by this Agreement unless the City first approves such expenses in writing. 4. TERMINATION. 4.1. Termination for Convenience. The City or Contractor may terminate this Agreement at any time and for any reason by providing the other party with 30 days written notice of termination. 4.2 Non-appropriation of Funds. In the event no funds or insufficient funds are appropriated by the City in any fiscal period for any payments due hereunder, City will notify Contractor of such occurrence and this Agreement shall terminate on the last day of the fiscal period for which appropriations were received without penalty or expense to the City of any kind whatsoever, except as to the portions of the payments herein agreed upon for which funds shall have been appropriated. In the event that this Agreement is terminated prior to the Expiration Date, the City shall pay Contractor for services actually rendered up to the effective date of termination and Contractor shall continue to provide the City with services requested by the City and in accordance with this Agreement up to the effective date of termination. 5. DISCLOSURE OF CONFLICTS AND CONFIDENTIAL INFORMATION. Contractor hereby warrants to the City that Contractor has made full disclosure in writing of any existing or potential conflicts of interest related to Contractor's services under this Agreement. In the event that any conflicts of interest arise after the Effective Date of this Agreement, Contractor hereby agrees immediately to make full disclosure to the City in writing. Contractor, for itself and its officers, agents and employees, further agrees that it shall treat all information provided to it by the City as confidential and shall not disclose any such information to a third party without the prior written approval of the City. Contractor shall store and maintain City Information in a secure manner and shall not allow unauthorized users to access,modify, delete or otherwise corrupt City Information in any way. Contractor shall notify the City immediately if the security or integrity of any City information has been compromised or is believed to have been compromised. 6. RIGHT TO AUDIT. Contractor agrees that the City shall, until the expiration of three (3) years after final payment under this contract, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records of the Contractor involving transactions relating to this Contract at no additional cost to the City. Contractor agrees that the City shall have access during normal working hours to all necessary Contractor facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. The City shall give Contractor reasonable advance notice of intended audits. Contractor further agrees to include in all its subcontractor agreements hereunder a provision to the effect that the subcontractor agrees that the City shall, until expiration of three (3) years after final payment of the subcontract, have access to and the right to examine at reasonable times any directly pertinent books,documents,papers and records of such subcontractor involving transactions related to the subcontract, and further that City shall have access during normal working hours to all subcontractor facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this paragraph. City shall give subcontractor reasonable notice of intended audits. 7. INDEPENDENT CONTRACTOR. It is expressly understood and agreed that Contractor shall operate as an independent contractor as to all rights and privileges granted herein, and not as agent, representative or employee of the City. Subject to and in accordance with the conditions and provisions of this Agreement, Contractor shall have the exclusive right to control the details of its operations and activities and be solely responsible for the acts and omissions of its officers, agents, servants, employees, contractors and subcontractors. Contractor acknowledges that the doctrine of respondeat superior shall not apply as between the City, its officers, agents, servants and employees, and Contractor, its officers, agents, employees, servants, contractors and subcontractors. Contractor further agrees that nothing herein shall be construed as the creation of a partnership or joint enterprise between City and Contractor. CONTRACTOR SHALL BE LIABLE AND RESPONSIBLE FOR ANY AND ALL PROPERTY LOSS, PROPERTY DAMAGE AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS, OF ANY KIND OR CHARACTER, WHETHER REAL OR ASSERTED, TO THE EXTENT CAUSED BY THE NEGLIGENT ACT(S) OR OMISSION(S), MALFEASANCE OR INTENTIONAL MISCONDUCT OF CONTRACTOR, ITS OFFICERS, AGENTS,SERVANTS OR EMPLOYEES. CONTRACTOR COVENANTS AND AGREES TO, AND DOES HEREBY, INDEMNIFY, HOLD HARMLESS AND DEFEND THE CITY, ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, FROM AND AGAINST ANY AND ALL CLAIMS OR LAWSUITS FOR EITHER PROPERTY DAMAGE OR LOSS (INCLUDING ALLEGED DAMAGE OR LOSS TO CONTRACTOR'S BUSINESS AND ANY RESULTING LOST PROFITS) AND/OR PERSONAL INJURY,INCLUDING DEATH, TO ANY AND ALL PERSONS, OFANY KIND OR CHARACTER, WHETHER REAL OR ASSERTED, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, TO THE EXTENT CAUSED BY THE NEGLIGENT ACTS OR OMISSIONS OR MALFEASANCE OF CONTRACTOR,ITS OFFICERS,AGENTS,SERVANTS OR EMPLOYEES. 9. ASSIGNMENT AND SUBCONTRACTING. Contractor shall not assign or subcontract any of its duties, obligations or rights under this Agreement without the prior written consent of the City. If the City grants consent to an assignment, the assignee shall execute a written agreement with the City and the Contractor under which the assignee agrees to be bound by the duties and obligations of Contractor under this Agreement. The Contractor and Assignee shall be jointly liable for all obligations under this Agreement prior to the assignment. If the City grants consent to a subcontract, the subcontractor shall execute a written agreement with the Contractor referencing this Agreement under which the subcontractor shall agree to be bound by the duties and obligations of the Contractor under this Agreement as such duties and obligations may apply. The Contractor shall provide the City with a fully executed copy of any such subcontract. 10. INSURANCE. Contractor shall provide the City with certificate(s) of insurance documenting policies of the following minimum coverage limits that are to be in effect prior to commencement of any work pursuant to this Agreement: 10.1 Coverage and Limits (a) Commercial General Liability $1,000,000 Each Occurrence $2,000,000 Aggregate (b) Automobile Liability $1,000,000 Each accident on a combined single limit basis or $250,000 Bodily injury per person $500,000 Bodily injury per occurrence $100,000 Property damage Standard Terms and Conditions Thirkettle Corporation dba Aqua Metric Sales Company Page 3 of 8 Coverage shall be on any vehicle used by the Contractor, its employees, agents, representatives in the course of the providing services under this Agreement. "Any vehicle"shall be any vehicle owned,hired and non-owned (c) Worker's Compensation Statutory limits Employer's liability $100,000 Each accident/occurrence $100,000 Disease-per each employee $500,000 Disease-policy limit This coverage may be written as follows: Workers' Compensation and Employers' Liability coverage with limits consistent with statutory benefits outlined in the Texas workers' Compensation Act(Art. 8308 — 1.01 et seq. Tex. Rev. Civ. Stat.) and minimum policy limits for Employers' Liability of $100,000 each accidentloccurrence,$500,000 bodily injury disease policy limit and $100,000 per disease per employee (d) Professional Liability(Errors&Omissions) $1,000,000 Each Claim Limit $1,000,000 Aggregate Limit Professional Liability coverage may be provided through an endorsement to the Commercial General Liability (CGL) policy, or a separate policy specific to Professional E&O. Either is acceptable if coverage meets all other requirements. Coverage shall be claims-made, and maintained for the duration of the contractual agreement and for two (2) years following completion of services provided. An annual certificate of insurance shall be submitted to the City to evidence coverage. 10.2 Certificates. Certificates of Insurance evidencing that the Contractor has obtained all required insurance shall be delivered to the City prior to Contractor proceeding with any work pursuant to this Agreement. All policies except Workers' Compensation shall be endorsed to name the City as an additional insured thereon, as its interests may appear. All policies shall contain a Waiver of Subrogation for the benefit of the City of Fort Worth. The term City shall include its employees, officers, officials, agent, and volunteers in respect to the contracted services. Any failure on the part of the City to request required insurance documentation shall not constitute a waiver of the insurance requirement. A minimum of thirty(3 0)days notice of cancellation or reduction in limits of coverage shall be provided to the City. Ten(10) days notice shall be acceptable in the event of non-payment of premium. Such terms shall be endorsed onto Contractor's insurance policies. Notice shall be sent to the Risk Manager, City of Fort Worth, 1000 Throckmorton, Fort Worth, Texas 76102, with copies to the City Attorney at the same address. Contractor agrees to comply with all applicable federal, state and local laws, ordinances, rules and regulations. If the City notifies Contractor of any violation of such laws, ordinances, rules or regulations,Contractor shall immediately desist from and correct the violation. 12. NON-DISCRDHNATION COVENANT. Contractor, for itself, its personal representatives, assigns, subcontractors and successors in interest, as part of the consideration herein, agrees that in the performance of Contractor's duties and obligations hereunder, it shall not discriminate in the treatment or employment of any individual or group of individuals on any basis prohibited by law. If any claim arises from an alleged violation of this non- discrimination covenant by Contractor, its personal representatives, assigns, subcontractors or successors in interest, Contractor agrees to assume such liability and to indemnify and defend the City and hold the City harmless from such claim. 13. NOTICES. Notices required pursuant to the provisions of this Agreement shall be conclusively determined to have been delivered when (1) hand-delivered to the other party, its agents, employees, servants or representatives, (2) delivered by facsimile with electronic confirmation of the transmission, or (3) received by the other party by United States Mail, registered, return receipt requested, addressed as follows: To the CITY: To CONTRACTOR: City of Fort Worth Thirkettle Corp.dba Aqua Metric Sales Co. GOVERNMENTAL POWERS. It is understood and agreed that by execution of this Agreement, the City does not waive or surrender any of its governmental powers. 15. NO WAIVER. The failure of the City or Contractor to insist upon the performance of any term or provision of this Agreement or to exercise any right granted herein shall not constitute a waiver of the City's or Contractor's respective right to insist upon appropriate performance or to assert any such right on any future occasion. This Agreement shall be construed in accordance with the internal laws of the State of Texas. If any action, whether real or asserted, at law or in equity, is brought on the basis of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of Texas,Fort Worth Division. 17. SEVERABILITY. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired. 18. FORCE MAJEURE. The City and Contractor shall exercise their best efforts to meet their respective duties and obligations as set forth in this Agreement, but shall not be held liable for any delay or omission in performance due to force majeure or other causes beyond their reasonable control (force majeure), including, but not limited to, compliance with any government law, ordinance or regulation, acts of God, acts of the public enemy, fires, strikes, lockouts, natural disasters, wars, riots, material or labor restrictions by any governmental authority,transportation problems and/or any other similar causes. 19. HEADINGS NOT CONTROLLING. Headings and titles used in this Agreement are for reference purposes only and shall not be deemed a part of this Agreement. 20. REVIEW OF COUNSEL. The parties acknowledge that each party and its counsel have reviewed and revised this Agreement and that the normal rules of construction to the effect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement or exhibits hereto. 21. AMENDMENTS/MODIFICATIONS/EXTENSIONS. No extension, modification or amendment of this Agreement shall be binding upon a party hereto unless such extension, modification, or amendment is set forth in a written instrument, which is executed by an authorized representative and delivered on behalf of such party. 22. ENTIRETY OF AGREEMENT. This Agreement, including the schedule of exhibits attached hereto and any documents incorporated herein by reference, contains the entire understanding and agreement between the City and Contractor, their assigns and successors in interest, as to the matters contained herein. Any prior or contemporaneous oral or written agreement is hereby declared null and void to the extent in conflict with any provision of this Agreement. The person signing this agreement hereby warrants that he/she has the legal authority to execute this agreement on behalf of the respective party, and that such binding authority has been granted by proper order, resolution, ordinance or other authorization of the entity. The other party is fully entitled to rely on this warranty and representation in entering into this Agreement. The meter types, sizes and estimated quantities shall be listed in the Price Proposal Form, Exhibit `B", which shall be completed by the Contractors. 1.2 Quantities: The quantities reflected in the Price Proposal Form, Exhibit "B", shall be estimated based on the best available information.Payment to the successful Contractor(s) shall be based on actual quantities ordered, shipped, received and accepted. The City of Fort Worth shall not guarantee the purchase of any specific type or amount of goods and services during the period of the agreement. The amount of goods and services ordered shall, depending upon actual needs of the City. 1.3 Applications:The meters specified herein and purchased under the resulting contract,shall be used for the measurement of potable cold water in residential,commercial and industrial services. 2.0 GENERAL REQUIREMENTS The general requirements shall be similar to the Scope of Services, Section 30.0, of the RFP. Specifications applicable to specific meters are contained in Section 3.0, of Exhibit"A". 3.0 QUALIFICATIONS&REFERNCES 3.1 Qualified Contractors shall include manufacturers, manufacturer representatives, distributors, or other firms capable of providing the goods and services specified herein. 3.2 The manufacturers of proposed meters shall be engaged regularly and continuously for at least ten(10)years in the production of meters for the water utility industry. 3.3 Meters proposed shall have a minimum of three(3)years satisfactory operating experience as marketable products. Contractors shall list any meter offered that has not been in production for three (3)years. Certified copies of sales records shall be required as proof that the manufacturer has been selling meters as stipulated. 3.4 Meters not meeting the three(3)year satisfactory experience shall be supplemented with a minimum of three (3) years of research and development, and satisfactory evaluation by the Fort Worth Water Department. 3.5 Meters proposed shall be in satisfactory use for a minimum of one(1)year, in a municipal water system comparable to the City of Fort Worth's system. 3.6 Contractors shall provide three (3) references with at least 1 references of similar size to Fort Worth water system. 4.0 STANDARDS & COMPLIANCE 4.1 The components of the proposed meters and appurtenances(including housing,measuring element, seals,etc.),shall comply with the lead-free provisions of the Safe Drinking Water Act (SDWA), certified to National Sanitation Foundation (NSF) and American National Standards Institute(ANSI) Standards 61 and 372. In addition,meters shall comply with or shall exceed specific applicable standards as specified under section 3.0, "Qualifications &References". 4.2 The City shall require an affidavit from the manufacturer or contractor, that the proposed meters comply with all applicable standards and requirements specified herein. 4.3 Failure to meet any part of the specification shall be sufficient cause for rejection of proposals. 5.0 MARKINGS 5.1 Meters shall be clearly marked with the following information: • Manufacturer's name; • Serial number; • Meter size; • Direction of flow; • Date of manufacture. 5.2 The meter's serial number shall be marked on the outside of the meter housing and register lid. A barcode label with the serial number shall be permanently affixed to allow for Automatic Identification and Data Capture(AIDC). 5.3 The direction of flow and meter size shall be with raised markings on the meter's housing. 5.4 Use of date coding in lieu of stamping actual date on register face, shall be acceptable, provided that prior to the first shipment of meters, the manufacturer furnishes proper documentation which shall allow for easy identification of meter manufacturing date. 6.0 ANMAMI 6.1 The Fort Worth Water Department shall implement the Advanced Metering Infrastructure (AMI) for the City within the near future. All meters proposed shall be AMI system compliant and"ready"for usage. 6.2 The general definition of AMI system "ready" in this specification shall mean that the metering unit has integrated circuitry for sensing, processing and transmitting capability for measured flows,consumption,identification,diagnostic and other operational data. See section 7.0, "Registration",for encoder requirements. 6.3 AMI endpoints shall be required under this specification. Contractors shall specify and provide prices for In-Line Connectors(ILC)required for installing endpoints in Exhibit B, "Price Proposal Form".ILC's shall utilize universal mounts or receptacles,and furnished with the meters. Where multiple ILC connection types shall be available, the Contractor shall specify the type and the specific brand of endpoint they are connected to. 6.4 Meters that shall be compatible with the chosen AMI system and based on industry American Standard Code for Information Interchange (ASCII) shall be preferred. Meters that are based on proprietary protocol or limited compatibility, shall be rejected. Contractors shall specify the brand and model AMR/AMI endpoints that are compatible with their proposed meters. 6.5 Positive displacement,turbine and compound meters shall be AMI system equipped. 7.0 REGISTRATION 7.1 Registers shall be self-contained, hermetically sealed to prevent moisture intrusion and fogging, and incorporate a tamper-proof mounting design. 7.2 The register face and odometer/totalizer shall be oriented to allow reading from the inlet (City)side of the meter. 7.3 The Unit of Measurement (UOM) for consumption shall be in cubic feet(cu). Electronic displays shall have the capability to configure the number of digits visible to meter readers. 7.4 Battery powered meter/registers shall have a minimum of twenty(20)year operating life, and shall be warranted accordingly. 7.5 Where encoded registers are required, encoder shall be the "absolute" type that provides direct electronic transmission of the complete odometer wheel positions (reading) to AMR/AMI system reading devices when interrogated. Absolute encoders that are compatible with multiple manufacturers AMR/AMI system endpoints are preferred. Incremental type encoders shall not be acceptable.Absolute encoders using brushless/non- contact sensing(e.g. optical, capacitive, or inductive sensing) of odometer wheel position shall be preferred. Encoders shall be designed to prevent or correct ambiguity caused by odometer transitions. Encoder shall have a factory installed and potted inline connector (ILC) for attaching endpoints that utilize universal mounts or receptacles. Encoders shall be based on industry standard ASCII format. Encoder transmission shall be a minimum of four(4) digits of all ten (10) positions of the odometer wheel. Encoders shall conform to American National Standards Institute/American Water Works Association (ANSI/AWWA)C707 latest edition. 7.6 Registers for meters less than two(2) inches, shall have a minimum of three(3)feet lead. Meters greater than two(2) inches, shall have a minimum of ten(10)feet lead. 8.0 OPERATING CONDITIONS Meters shall be designed for use with potable water up to temperatures of 120 degrees Fahrenheit and working pressures of 150 pounds per square inch(psi). 9.0 TOOLS&REPAIR PARTS 9.1 Contractors shall provide a complete price list of all required repair parts for each type of meter proposed. Pricing shall include the percent discount off the list price offered to the City. The City reserves the right to purchase repair parts at the specified discount, even if the proposed meters are not purchased. 9.2 Any specialty tools or equipment required to program, calibrate, or maintain meters shall be provided annually. Specialty, tools shall be itemized and priced in Exhibit B, "Price Proposal Form". 10.0 SHIPPING&DELIVERY 10.1 The Contractor shall be responsible for delivering all meters in first class condition. The City shall inspect and test selected meters at the flows specified in the latest revision of the AWWA Manual M6. Meters failing to register accurately according to the test specifications, shall be rejected and returned to the Contractor. Rejected meters shall be replaced at no cost to the City. Rejection of multiple meters within the same group or lot, shall result in rejection of entire group or lot. 10.2 The City of Fort Worth has specific requirements for the packaging of meters and labeling of shipping containers. The specific packaging requirements shall be determined prior to issuing the contract(s), and shall be incorporated accordingly. 10.3 To facilitate inventory tracking,each box and pallet of meters shall be uniquely numbered and affixed with a barcode label,to allow electronic reading with a barcode reader. 11.0 SUBMITTALS 11.1 Contractors shall submit with their proposals, a complete catalogue of information for the proposed meters, including a description of the materials incorporated, description of the operations,parts list covering all the various parts of the meters and a price list for the parts with a repair manual included. In addition, Contractors shall furnish published guaranteed accuracy and head loss curves for each model and size of meters proposed as per AWWA Meter Accuracy Standard. 11.2 The meter manufacturer shall provide "Affidavit of Compliance" duly certified by the manufacturer's testing facility or an approved testing laboratory of full compliance with applicable AWWA standards specified in Section 3.0 with each shipment of meters. 11.3 Each shipment of meters shall be accompanied with a complete listing of the following information in hard and electronic forms: Purchase Order No.; Meter ID; Unit of Registration; Ship Date; Meter Manufacturer; Maximum Registration; Quantity Shipped; Manufacture Date; Factory Test Date; Number of Pallets Shipped; Meter Model; Low Flow Test; Weight per Pallet; Catalog No.; Medium Flow Test; Carton/Box No.; Meter Size; High Flow Test Pallet No.; Register Model; 11.4 Electronic copies shall be in Microsoft Excel 2010 or later version, with each data in separate columns. 12.0 TRAINING 12.1 The manufacturer or vendor shall provide training required for the meters included in their proposal. Training must be listed and priced in the Price Proposal Forms. 12.2 Training shall be provided for up to ten(10)City employees per class,at the City's facility. Contractor shall provide a listing and prices of any specialty tools or equipment required to setup,calibrate,troubleshoot or maintain the meters. 12.3 The City may request on-site assistance with proposed electronic meters. 13.0 WARRANTY 13.1 The meters shall be warranted by the manufacturer against all mechanical defects due to faulty materials and workmanship,and comply with all conditions stated in this document. The warranties shall not apply to damages due to vandalism, negligence, excessive operating conditions, accidents or acts of God. 13.2 The meter shall be guaranteed to operate and meet the new meter accuracy requirements, of the AWWA new meter standards for accuracy (see warranty details in each section), during which a pro-rated schedule is acceptable. 13.3 Where meters shall fail to operate properly during the warranty period,the parts to replace such defects shall be supplied without charge (piece for piece) upon the return of such defective parts OR upon the proper proof of such defects. Where meters, or a portion thereof, must be replaced, the vendor shall assume all shipping charges; replace all defective parts, and make necessary repairs required to replace and install such defective meters in suitable condition. The meters shall be warranted to meet or exceed repaired meter accuracy standards of AWWA Manual M-6 "Water Meters Selection, Installation, Testing and Maintenance". 13.4 The Contractor shall furnish a written guarantee in the form of a warranty, bond or notarized statement from a responsible officer of the firm to assure that the guarantee shall be honored for the period or registration specified. The warranty requirements specified herein shall govern over conflicts with the manufacturer's standard warranty. 13.5 Upon request by the City, the meter manufacturer shall submit a certificate and/or lab analysis of a shipment indicating the copper content and alloys in any bronze part of the meter, to verify compliance with these specifications. The City shall be named on the manufacturer's warranty for the product and for any statement of guarantee. 13.6 If the meters do not perform as guaranteed, the manufacturer shall replace meters to perform to AWWA Meter Accuracy Standards free of charge to the City, within 45 days from date of notification of defect. The manufacturer shall pay freight cost to and from factory or service center,plus the installation cost for replacing the unit.Pricing to be based on predetermined costs provided by the Contractor and negotiated with the City. 13.7 If the City chooses not to perform testing prior to returning defective meters under a performance guarantee claim,the manufacturer shall replace the meter,and charge the City for testing at rates as provided in meter submittal approved by the City.The repair test rates are subject to adjustment for each 1.0% increase or decrease in the cost of living from the current year, as measured by the Consumer Price Index (CPI) (All Urban), of the U. S. Bureau of Labor Statistics Manual as of April 1, of the most current year. BID ADVERTISEMENT-A Request for Proposals(RFP)was advertised in the Fort Worth Star-Telegram on Wednesdays between May 18, 2016 and June 15,2016.Additionally, seventy-four vendors were solicited from the purchasing database system, five responses were received.The proposals were reviewed by an evaluation committee consisting of staff from the Water Department.The evaluation factors included conformance to specifications and responsiveness, product warranties, qualifications and price. The proposals from Aqua Metric Sales Company and Atlas Utility Supply Company,were found to present the best value to the City. PRICE ANALYSIS-There is no direct relationship to allow comparison of current unit prices to previous Agreements due to changes in Federal Law restricting lead and water service products.The Water Department Staff reviewed the proposed prices and certified that they are fair and reasonable. ADMINISTRATIVE CHANGE ORDER-An administrative change order or increase may be made by the City Manager in the amount up to$50,000.00 without specific City Council approval as long as sufficient funds have been appropriated. CONTRACT TERMS-Upon City Council's approval, the contract will begin on August 31, 2016 and expire on August 30, 2018. M/WBE OFFICE-A waiver of the goal for the MBE/SBE subcontracting requirements was requested by the Purchasing Division and approved by the M/WBE Office, in accordance with the BIDE Ordinance, because the purchase of goods or services is from sources where subcontracting or supplier opportunities are negligible. FISCAL INFORMATION/CERTIFICATION: The approval of this action provides purchasing authority up to$2,518,530.00 as specified. The Director of Finance certifies that funds are available in the current operating budget, in the Residential and Commercial Meter and Parts account of the Water Department. Prior to an expenditure being made, the Water Department has the responsibility to validate the availability of funds.
