Re: Termination of Professional Services Agreement between the City of Fort Worth,
Texas ("City"), and Gallagher Benefit Services, Inc. ("Company"), dated on or
about September 29,2016 (City Secretary Contract No. 45199)
Dear Ms. Forbes:
Pursuant to Section four of the above referenced Agreement, CSC No. 45199 (the
"Agreement"), the City is hereby providing thirty (30) days' written notice of termination of
services. The Agreement will effectively terminate thirty days from the date of this notice, and
this termination will release both parties of any and all obligations under the Agreement, except
those obligations that accrued as of the effective date of termination and those which survive
such termination. Any final payment due will be sent in accordance with the Agreement.
Please note, the City regularly conducts audits of services agreements once the agreement
has terminated to ensure compliance. In accordance with the "Right to Audit"provision set forth
in the Agreement, please retain all records related to this Agreement for a minimum of 3 years
after the expiration of the final payment under this Agreement. The City will provide you
advance reasonable notice of any intended audits.
The City has enjoyed its working relationship with Gallagher Benefit Services, Inc. We
wish you the best in the future.
