FIRST AMENDMENT AND SECOND RENEWAL OF
FORT WORTH CITY SECRETARY CONTRACT NO. 46676
PROFESSIONAL SERVICES AGREEMENT
This First Amendment and Second Renewal of Fort Worth City Secretary Contract
No. 46676 is made and entered into by and between the City of Fort Worth (hereafter "City"), a
home rule municipal corporation organized under the laws of the State of Texas, acting by and
through Valerie R. Washington, its duly authorized Assistant City Manager, and Cindy
Dickason, a sole proprietor, doing business as PsychScreening, ("Consultant").
WHEREAS, City and Consultant entered into an Professional Service Agreement for
Pre-Employment Psychological Services identified as Fort Worth City Contract No. 46676
("Agreement") for a period of beginning May 1, 2015 and ending September 30, 2015, with four
options to renew at the City's option; and
WHEREAS, the current Renewal Term of the Agreement expires on September 30,
2016; and
WHEREAS, it is the collective desire of both City and Consultant to renew the term of
the Agreement for a second Renewal Term to end on September 30, 2017, and amend the
Agreement to increase the payment from $150.00 to $200.00 per applicant for administering the
written examinations, conducting the in-person assessment and completing and providing to the
City the forms required by Texas Commission on Law Enforcement ("TCOLE") and the written
reports; and
NOW, THEREFORE, City and Consultant do mutually covenant and agree as follows:

City and Consultant hereby agree to renew and extend Fort Worth City Secretary Contract 46676
for a second Renewal Term of one (1) year, beginning on October 1, 2016, and ending
September 30, 2017, as amended herein.

For purposes of the second Renewal Term and unless subsequently amended, Section 3
of the Agreement is deleted in its entirety and replaced with the following:
3. Fee. City agrees to pay Consultant $200.00 per applicant for administering the
written examinations, conducting the in-person assessment and completing and providing to the
City the forms required by TCOLE and the written reports. The total cost for the second
Renewal Term of this Agreement shall not exceed $49,999.00. The City is only responsible

for paying for services actually received, and does not guarantee a certain amount of
business by entering into this Agreement. The Fee shall be compensation for all Services
actually received. Payment shall be made monthly and shall be based upon the number of
applicant evaluations processed during the previous month, as reflected by notification to the
City of assessment results. No payment shall be due for any applicant until completion by
Consultant of all documentation necessary for the City to process payments. Payment from
City to Consultant shall be made on an invoice basis following receipt by City from
Consultant of a signed invoice. The invoice shall be submitted to City, addressed to:

Invoices should be received no later than the 15th day of the month following provision of any
Services under this Agreement. City agrees to pay invoices within thirty(30) days of receipt.
3.
All other terms and provisions of City Secretary Contract No. 46676 which are not
expressly amended herein shall remain in full force and effect throughout the second Renewal
Term except as specifically amended herein.
