C43 "' ~o CITY SECRETARY CONTRACT NO. 46969 STANDARD AGREEMENT FOR ENGINEERING RELATED DESIGN SERVICES .f I This Amendment is made between the City of Fort Worth (hereafter "City"), and Garver, LLC (hereafter"Engineer"), a limited liability corporation. WHEREAS, City and Engineer have previously entered into City of Fort Worth City Secretary Contract No. 46969 (the "Agreement") on August 29, 2015; and WHEREAS, the Agreement involves Professional Services for On-Call Engineering Related Design Services; and WHEREAS, it has become necessary to execute Amendment No. 1 to the Agreement to authorize additional compensation to be paid to Engineer; and WHEREAS, it has become necessary to amend the Agreement in order to add a contract term and renewal options; and WHEREAS, it has become necessary to amend the Agreement to clarify the scope of work in Attachment A to reference Meacham Airport Improvements; and WHEREAS, it has become necessary to amend the Agreement to revise the Labor Category Rates in Attachment B, Engineer Invoice. NOW, THEREFORE City and Engineer, acting herein by and through their duly authorized representatives, enter into the following agreement to amend the Agreement: 1. Article II—Compensation, of the Agreement is amended to read in its entirety as follows: A. The Engineer's compensation shall be in an amount up to $99,500.00 as set forth in Attachment B. 2. Article V—Obligations of the City, of the Agreement is amended to add the following Section: L. Term "Unless terminated pursuant to the terms herein, this Agreement shall expire on August 28, 2017. At the end of the term of this Agreement, the City, at its sole discretion, shall have the option for one (1) additional 12 month renewal. Attachment A to the Agreement is amended by deleting the title which reads: "Scope of Engineering Design Related Services for Street Improvements" and replacing it with a new title which shall read: "Scope for Engineering Design Related Services for Meacham Airport Improvements." 4. Attachment B, Section I - Compensation, Subsection A(i) of the Agreement is amended to read in its entirety as follows: i. Personnel Time. Personnel time shall be compensated based upon hours worked directly in performing the Project multiplied by the appropriate Labor Category Rate for ENGINEER's team member performing the work. Labor Category Rate as presented in the rate schedule table below, is the rate for each labor category performing the work and includes all direct salaries, overhead, and profit.
