COUNTY OF TARRANT §
WHEREAS, the City of Fort Worth ("City") and International Ford Group, LLC
("Consultant") made and entered into City Secretary Contract No. 30430 (the "Contract")
on or about August 17, 2004 (M&C C-20211);
WI�REAS, the Contract involves consulting services for diversity training;
WI�REAS, it has become necessary to execute Amendment No. 1 to said
Contract for the purpose of amending the scope of work.
NOW THEREFORE, City and Consultant, acting herein by and through their
duly authorized representatives, enter into the following agreement that amends the
Contract:

Exhibit "A" to the Contract is amended to include the additional scope services
described in Attachment "A" hereto. The cost of the additional scope of services shall
not exceed $15,900.

Paragraph 2, Term and Termination, of the Contract is hereby amended to be and
read as follows:
2. Term and Termination. The agreement will begin September 27,
2004 and end September 30, 2005. The agreement may be renewed at the
sole option of the City. The City may terminate this Agreement upon a
material breach of the Agreement by IFG that has not been cured within
thirty (30) days following IFG's receipt of written notice of such breach.
This Agreement may be terminated by IFG upon a material breach of the
Agreement by City (including without limitation failure to pay all fees and
expenses when due) which has not been cured within thirty (30) days
following it's the City's receipt of written notice of such breach.

Paragraph 3, Fees and Expenses, Invoices and Payment, of the Contract is
amended to provide that the total compensation to IF'G shall not exceed $75,850.
Payment for the increased scope of work shall be made in accordance with Attachment
"B" hereto.

All other provisions of the Contract, which are not expressly amended herein,
shall remain in full force and effect.

It is also understood that once the materials are developed, the City of Fort Worth can
have trainers, as certified by IFG; provide training to City employees with or without the
assistance or permission of IFG.
It is acknowledged and understood that the description of the Services represent good
faith estimates and assume that City will take or provide whatever actions may be
necessary on City's part to support and facilitate the Services. The City will pay for the
cost of materials and printing.
