HomeMy WebLinkAboutContract 33415 CITY SECRETARY CONTRACT NO RENEWAL OF CITY CONTRACT NUMBER 30213 PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND THE FORT WORTH CONVENTION AND VISITORS BUREAU THIS RENEWAL AGREEMENT is made and entered into in Fort Worth, Tarrant County, Texas effective on the jnIj�-�11 day of I 2006, by and between the CITY OF FORT WORTH, a home rule municipal corporation situated in Tarrant, Denton and Wise Counties, Texas (hereinafter referred to as the "City"), acting by and through its duly authorized City Manager, and the FORT WORTH CONVENTION AND VISITORS BUREAU (hereinafter referred to as the "Bureau"), acting by and through its duly authorized President & C.E.O. WITNESSETH: WHEREAS, V.T.C.A. Tax Code §351.002 and 351.003 authorize the City to levy by ordinance a hotel occupancy tax which may not exceed nine percent (9%) of the consideration paid by a hotel occupant; and WHEREAS, the City has levied such a tax by adopting Article II of Chapter 32 of the Fort Worth City Code (1986), as amended; and WHEREAS, V.T.C.A. Tax Code §351.101(a)(3) authorizes the City to use revenue derived from the hotel occupancy tax for "advertising and conducting promotional programs to attract tourists and convention delegates or registrants to the municipality or its vicinity; and WHEREAS, on June 8, 2004, City and Bureau entered into City Secretary Contract No. 30213, (M&C C-20111) whereby the Bureau manages and supervises programs or activities funded with revenue from the hotel occupancy tax; and WHEREAS, City Secretary Contract No. 30213 provides that the term of the contract shall be effective from May 31, 2004 until September 30. 2006, with a one year extension option executable by mutual consent of the parties; and WHEREAS, pursuant to the terms of City Secretary Contract No. 30213, the Bureau has provided the City notice in writing of its desire to extend the contract for the additional one year no later than sixty days prior to the expiration of the initial three-year term, R •,;:+,��, it �p9 NOW THEREFORE, that for and in consideration of the performance of the mutual covenants and agreements herein contained, the parties agree to renew the Agreement for the one year extension term as follows: 1. Subsection 6.01 of Section 6, "Term of Agreement" is hereby amended in its entirety to read as follows: 6.01. This Agreement shall be effective and binding upon the parties beginning on October 1, 2006, and shall remain in effect until September 30, 2007, subject to early termination as provided herein. 2. Subsection 5.01 of Section 5, "Allocation of Hotel Occupancy Tax Revenues" is hereby amended to add the following language to read as follows: 5.01. For the fiscal year October 1, 2006 — September 30, 2007, for the one-year extension term, the amount allocated to the Bureau by the City shall be $4,953,910.00. All other terms and provisions of Subsection 5.01 shall remain in full force and effect. 3. All other terms and provisions of the original Agreement between the City and the Bureau shall remain in full force and effect except as specifically amended herein.
