This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipal corporation situated in portions of Tarrant, Denton and Wise Counties, Texas, with its principal place of business at 200 Texas Street, Fort Worth, Texas, 76102 and SL-serco, Inc, (hereafter "Contractor"), a Minnesota Corporation, acting by and through Laurie Allen, it duly authorized Chief Financial Officer, each individually referred to as a"party" and collectively referred to as the "parties." WHEREAS, the parties have previously entered into City of Fort Worth City Secretary Contract Number 48192 (the "Contractor'), which was executed on September 22, 2016; and WHEREAS,the Contract is for the purpose of providing the City with professional services in the successful completion of the City's five phased Advanced Metering Infrastructure program for the design,planning and full implementation of the AMI system; and WHEREAS,the original compensation was an amount not to exceed$175,000.00; and WHEREAS, the City and Contractor, now wish to increase the annual compensation by $94,000.00 for an amount not to exceed $269,000.00 for continued services pursuant to the original contract to allow the Contractor to provide value added process management system support, facilitate definition of critical value added criteria and selection of the new Leak Detection System, coordinate selection of the AMI Portal vendor and identify and mitigate issues related to integrations of software systems. Due to the soft nature of these services,the front end estimation of the time involved was insufficient for the actual time required to complete the work. NOW, THEREFORE, City and Contractor acting herein by the through their duly authorized representatives, enter into the following agreement to amend the contract: 1. Section 3, Compensation. The City shall pay the Contractor an amount not to exceed $269,000.00 in accordance with the provisions of this Agreement. 2. All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect. CFW/SL-serco Inc. DISCUSSION: In 2015, an Professional Services Agreement was executed with SL-serco, Inc., for services related to the preparation and review of a Request for Qualifications (RFQ)for a system integrator for the program. On January 4, 2016, a subsequent Professional Services Agreement was administratively approved with SL-serco, Inc. in the amount of$48,500.00 annually(City Secretary Contract No. 47446). The Agreement included up to five annual renewals. The contract provided for technical assistance related to the My H2O Program a city-wide Advanced Metering Infrastructure project . The program is being implemented in multiple phases including planning and design, pilot implementation, full deployment(2 phases) and final assessment. Through the term of the initial Agreement, SL-serco, Inc., has served as a valuable partner assisting the City with vendor procurement, negotiating the final scope of work for the selected program integrator, and identifying areas of risk. This Agreement provides additional funding to support the Utility's efforts throughout implementation. The consultant brings strong technical and systems operations expertise to the overall project team. Through this Agreement, SL-servo, Inc., will provide support for business process transformation activities and system implementation oversight. The consultant will also provide technical expertise related to multiple system integrations, identifying ongoing efficiencies in Utility operations, facilitate system testing, and other related services. M/WBE Office: A waiver of the goal for MBE/SBE subcontracting requirements was requested by the Department and approved by the M/WBE Office, in accordance with the BDE Ordinance, because the purchase of goods or services from source(s)where subcontracting or supplier opportunities are negligible.
