COUNTY OF TARRANT & WHEREAS, the City of Fort Worth(City)and Jacobs Facilities,Inc.made and entered into City Secretary Contract No. 31886, (the CONTRACT);and WHEREAS,the consultant agrees to perform in accordance with the highest professional standards the following professional services: Update the existing Downtown Parking Structure Conceptual Design ReportlParking Garage—Traffic Feasibility Study,dated January 12,2004. WHEREAS,it has become necessary to execute Amendment No. I to said Contract to include an increased scope of work and revised maximum fee; NOW THEREFORE,City and Consultant,acting herein by and through their duly authorized representatives,enter into the following agreement,which amends the Contract: 1. Article I of the Contract is amended to include the Parking Garage/Revenue Study.The additional is reflected in the letter dated September 19,2005 which is attached hereto. The cost to City for the additional design services to be performed by Consultant total$9,422.54. 2. Article I1 of the Contract is amended to provide for an increase in the maximum fee to be paid to Consultant for all work and services performed under the Contract,as amended,so that the total fee paid by the City for all work and services shall not exceed the sum of$17,397.54. 3. All other provisions of the Contract,which are not expressly amended herein, shall remain in full force and effect. EXCUTED on this the day of ,2006,in Fort Worth,Tarrant County,Texas. SEP 23 6688 North Central Expressway Suite 400, MB 13 Dallas, Texas 75206 U.S.A. 1.214.424.7500 Fax 1.214.696.3499 September 19,2005 Randy Burkett City of Fort Worth 311 W. le Street Fort Worth,TX 76102 RE: City of Fort Worth Parking Garage/Revenue Feasibility Study Dear Randy, We are pleased to submit to you our proposal for services to evaluate the revenue potential for the proposed City of Fort Worth Downtown Parking Structure based on our Conceptual Design Report dated January 12,2004 and revisions dated June 30,2005. Our understanding of the scope of services,the schedule,and our proposed fee for services is outlined below. In order to expedite the delivery of these services,we propose that they be added to our previously established Agreement with the City executed May 31,2005. Scope of Services We will develop"high"and"low"panting revenue potentials from the various user groups identified in our parking feasibility studies including monthly parkers,retail and transient parkers, hotel overflow packers,and convention attendee parkers. In addition,we will evaluate"high"and "low"potential revenue figures for the retail lease spaces. We will determine the Net Operating Income for three different parking structure sizes(800, 1000, and 1200 cars) by subtracting the operating expenses,sent to the City previously,from the revenue potential. We will create a matrix highlighting the debt service ratio for various equity positions and interest rate scenarios versus various parking structure sizes as well as costs per space. The result of this matrix will allow the City to determine how much equity needs to be brought to the table, what size of parking structure and what cost per car the City should consider constructing. Our deliverables will include an executive summary that documents our assumptions and our recommendations and a spreadsheet matrix summarizing the above information. Schedule We understand that the City would like for our report to be completed by September 30,2005. Completing our services in this timeframe will be contingent upon receiving a Notice to Proceed by Wednesday,September 21,2005. This amount includes all direct costs(for in-town travel, printing, postage,etc.) If a trip by our revenue specialist is required to present our findings,we propose the cost to be a reimbursable expense. If this proposal is acceptable to the City,please send us a"Notice to Proceed with Intent to Pay' authorization letter. If you have any questions,please feel free to give me a call.
