AMENDMENT 1 TO CITY SECRETARY CONTRACT NO. 28471 THIS AGREEMENT is made and entered into this 9 9,-h , day of June 2005, by and between the City of Fort Worth, a home-rule municipal corporation situated in Tarrant, Denton and Wise County, Texas, acting herein by and through its duly authorized officials, ("City"), and Vanguard Resources, Inc. ("Vanguard"). WHEREAS, pursuant to City Secretary Contract No. 28471 ("Contract"), Vanguard operates cafeteria and vending facilities in the Fort Worth Municipal Complex ("City Hall") to provide food services for City employees, City Hall visitors, and the Wellness program; WHEREAS, the primary two-year Contract term expired and automatically renewed March 24, 2005, and is renewable for two additional one-year terms; WHEREAS, due to unforeseen market conditions, Vanguard has been operating at a loss and requires a City subsidy to maintain the current level of food services to City employees, City Hall visitors, and the Wellness program; WHEREAS, the City wishes to retain Vanguard's services as the City Hall food service vendor for a term not less than the remainder of the fiscal year 2004/2005; WHEREAS, it is the mutual desire of the City and Vanguard to amend the Contract to provide for a City subsidy for fiscal year 2004/2005. NOW, THEREFORE, the City and Vanguard for and in consideration of the covenants and agreements hereinafter set forth, the sufficiency of which is hereby acknowledged, agree to this Amendment No. 1 to City Secretary Contract No. 28471, and further agree to the following: 1. Vanguard will provide City Hall food services pursuant to the terms and conditions of the Contract, at or above the current level of service. 2. The City will subsidize Vanguard an amount not to exceed twelve thousand dollars ($12,000.00) for fiscal year 2004/2005, payable in twelve monthly installments of$1,000.00. i. City will pay Vanguard subsidy amounts for October - May 2005, upon this Amendment's execution. ii. Remaining subsidy payments will be made after each month remaining in the fiscal year 2004/2005. 3. Vanguard shall provide the City's Finance Department substantiating financial statements, including but not limited to profit and loss statements, for the subsidy periods. Vanguard shall submit any addition financial information at the request of the City. 4. If, prior to the end of fiscal year 2004/2005, Vanguard terminates its services under the Contract, Vanguard shall refund all subsidy payments within thirty(30) days of said termination. EXCEPT AS SPECIFICALLY AMENDED HEREIN, ALL OTHER TERMS AND CONDITIONS OF THE CONTRACT REMAIN UNCHANGED AND CONTINUE IN FULL FORCE AND EFFECT.
