HomeMy WebLinkAboutContract 49444 CITY SECRETARY ' C M17040 CONTRACT NO. / FY2017 INTERLOCAL COOPERATION AGREEMENT MHMR of Tarrant County Mental Health First Aid Training This INTERLOCAL COOPERATION AGREEMENT ("Agreement") is entered into and by and between the agencies shown as "Contracting Parties", pursuant to the authority granted and in compliance with the provisions of "The Interlocal Cooperation Act," Texas Government Code, Chapter 791 (the"Act"). WHEREAS, the Act provides the authority to political subdivisions to contract with each other to facilitate the governmental functions and services of the governmental entities under the terms of the Act; WHEREAS, City is a Texas home rule municipal corporation organized and operating under the laws of the State of Texas; WHEREAS, MHMR is a unit of local government under Chapter 534 of the Texas Health and Safety Code; WHEREAS,this Agreement has been authorized by the governing bodies of each party; WHEREAS, the parties are entering into this Agreement for the purpose of MHMR to provide training to City's Law Enforcement Officers and School Resource Officers;and NOW THEREFORE, in consideration of the foregoing and on the terms and conditions hereinafter set forth, the parties agree as follows: I. STATEMENT OF SERVICES TO BE PERFORMED: °'� s�R�A°9ry Traininu Services: MHMR agrees to conduct, "Mental Health First Aid" Training ("Services"), on June 21,2017, and June 22,2017,for law enforcement officers, and August 4, 2017, for School Resource Officers. Each day, MHMR shall provide training from 8:00 am to 5:00 pm, Central Standard Time. Services shall be performed at the Bob Bolen Public Safety Training Complex located at 511 W.Felix Street,Fort Worth,Texas 76115 ("Premises"). Mental Health First Aid is an in-person training that teaches attendees how to help people developing a mental illness or in a crisis. In the Mental Health First Aid course, attendees learn risk factors and warning signs for mental health and addiction concerns, strategies for how to help someone in both crisis and non- crisis situations, and where to turn for help. How to implement the ALGEE Action Plan: i. Assess for risk of suicide or harm ii. Listen non judgmentally iii. Give reassurance and information iv. Encourage appropriate professional help v. Encourage self-help and other support strategies Mental Health First Aid teaches about recovery and resiliency — the belief that individuals experiencing these challenges can and do get better, and use their strengths to stay well. City shall be responsible for providing the classroom facilities and audio/visual equipment needed by MHMR. MHMR agrees to provide the City a list of necessary audio/visual equipment needed at least two (2) weeks prior to the start of Services. The City agrees to notify MHMR of any equipment that is not available within two days of receiving the MHMR's list of necessary equipment. MHMR also agrees to provide the City with information regarding the classroom size necessary to conduct the training at least two (2)weeks prior to the start of Services.Nothing herein shall be construed to require the City to purchase any software, equipment, or other items requested by MHMR. III. COSTS: Mental Health First Aid Onsite Training Training Fees: City shall not be required to pay any sum of money to MHMR in connection with the trainings that are subject to this agreement. City shall not be assessed any fee, charge, or other cost for MHMR's services pursuant to this agreement. Refund and Cancellation: Either party may cancel a training session for any reason without penalty. Each party will strive to provide at least a three days' notice to the other party. Rescheduling: City and MHMR shall confer in good faith to reschedule any cancelled training sessions. There shall be no fee, cost, or any penalty if the parties are not able to reschedule the cancelled training session(s). 2of5 M 17040 FY2017 IV. ACCESS The access granted to MHMR pursuant to this Agreement shall be limited to the property defined as Premises in Section II of this Agreement. MHMR Instructors MHMR shall be escorted by a City employee at all times while on Premises. The City employee escorting MHMR instructors must be authorized to access Criminal Justice Information Services ("CJIS") protected data. The parties acknowledge and understand that the Premises contain one or more areas where CJIS protected data is viewed, modified, and used. Furthermore, the parties acknowledge that Federal and State law set forth the access requirements for CJIS protected data. The parties agree to comply with all Federal and State law requirements regarding access to CJIS protected data. All MMR instructors shall sign in and out at the front desk of Premises upon entry. MHMR Instructors shall carry a valid photo ID while on Premises. V. NOTICES: Notices required pursuant to the provisions of this Agreement shall be conclusively determined to have been delivered when (1) hand-delivered to the other party, its agents, employees, servants or representatives, (2) delivered by facsimile with electronic confirmation of the transmission, or (3) received by the other party by United States Mail, registered, return receipt requested, addressed as follows: To CITY: To MHMR: City of Fort Worth MHMR of Tarrant County Attn: Valerie R. VI. REQUIREMENTS OF CONTRACT: A) Requirements of MHMR: MHMR will provide training in accordance with the terms of this Agreement terms, which may be amended from time to time through a written amendment signed by both parties. B) Requirements of City: City is responsible for assessing the suitability of the Training Services for its attendees for enrollment. City's attendee's must meet MHMR's standards for 3 of 5 M17040 FY2017 appropriate behavior and follow dress code policy for each training course description. MHMR reserves the right to dismiss an attendee from any instance of the training in order to maintain a productive classroom environment VII. TERM OF CONTRACT: This agreement is to begin June 19, 2017 and will terminate on August 31, 2017 unless sooner terminated under this Agreement. VIII. TERMINATION OF CONTRACT: A) Immediate Termination: MHMR may terminate this Agreement immediately if MHMR does not receive the funding to pay for designated services under this Agreement; B) Termination by Consent: This Agreement may be terminated by the parties' mutual consent or by either party without cause and without penalty upon a minimum tem(10)days prior notification in writing to the other party. IX. Miscellaneous: A) The parties agree that the services specified in this Agreement are necessary and essential for activities that are properly within the statutory functions and programs of the effected agencies, and the proposed arrangements serve the interest of efficient and economical administration B) Nothing in the performance of this Agreement shall impose nor is it intended to create any liability for claims against any party hereto other than claims for which the Texas Tort Claims Act may impose liability. Further, nothing in the entering into this agreement nor in its performance shall waive or is intended to waive the parties' governmental immunity or any of the protections from liability or suit associated therewith. C) Right to Audit: MHMR agrees that City shall have access to and the right to examine at reasonable times any-directly pertinent books,documents,papers and records of MHMR involving transactions relating to this Agreement. D) Independent Contractor: Each party shall operate as an Independent Contractor, and neither party shall be responsible for the acts or omissions of the other party.
