HomeMy WebLinkAboutContract 49503 CITY SECREMoy CONTRACT NO C RECEIVED Vft r AUG 1 4 2017 Tarrant Opiate Reduction and Recovery Initiative o aTvoFEoarwoRrl ^' Memorandum of Understanding 0 CITY SECRETARY This Memorandum of Understanding (MOU) is agreed and entered into by My Health My Resource of `9.9 11 t-County (MHMR), a unit of local government pursuant Chapter 534 of the Texas Health and y-code, and The City of Fort Worth on behalf of the Fort Worth Police Department(City) with the intent to set forth the mutual purpose and scope of the Tarrant Opiate Reduction and Recovery Initiative (Initiative). RECITALS MHMR is seeking funding to provide Initiative services in the City of Fort Worth. Tarrant Opiate Reduction and Recovery Initiative is a four-year community program for which MHMR is seeking funding from the Substance Abuse and Mental Health Services Administration (SAMHSA) through the First Responders- Comprehensive Addiction and Recovery Act Cooperative Agreement Funding Opportunity Announcement Number SP-17-005 (Funding Opportunity). I. Purpose: MHMR will use the grant funds awarded by SAMHSA pursuant to the Funding Opportunity to facilitate: (1) The purchase, training, and distribution of drugs/devices approved under the Federal Food, Drug, and Cosmetic Act to reverse opioid overdose; (2) The hiring, deployment, and supervision of Initiative staff, including Licensed Chemical Dependency Counselors, who will refer and actively link those who survive an opioid overdose, their families, and others to medical care, substance use treatment, and recovery; (3) The initial formation and engagement of the Tarrant Opiate Reduction and Recovery Network, a voluntary Advisory Committee which will collaboratively develop processes, protocols, and mechanisms for referrals and provide ongoing advice, counsel, and guidance to the Initiative; and (4) The evaluation of the Initiative's impact. II, Scope: MHMR and City agree that: a) Cit_will provide information to MHMR on all opioid overdoses, as allowed by applicable State law and permitted by any administrative rules and procedures of the City, for which it is contacted, including incident reports and outcomes, if known; b) Citywill attempt in good faith to contact MHMR's Law Liaison within 24 hours of each non-fatal opioid overdose incident. c) Citv will participate in the Tarrant Opiate Reduction and Recovery Network which will meet a minimum of 3 times annually for the duration of the Initiative. III. General Provisions a) MHMR and City agree to confer in good faith with the goal of executing an agreement that outlines the specific parameters of the implementation of the Initiative. b) City understands and hereby agrees that in the event MHMR is not awarded the Funding Opportunity or it receives only partial funding this Memorandum of Understanding will be terminated or modified in accordance with the funding received without any liability on behalf of any of the parties hereto. c) The Parties agree that either party may terminate this MOU at any time and for any reason without any penalty by providing written notice to the other party in accordance with this MOU. City of Fort Worth and MHMR MOU- Opiate Reduction and Recovely nitlative Page 1 of 4 OFFICIAL RECORD CITY SECRETARY FT.WOIRTH9 TJX d) No funds, services, or items of monetary value shall be paid, exchanged, or otherwise provided to either party for participation in this MOU. e) This MOU shall be construed in accordance with the laws of the State of Texas. If any action, whether real or asserted, at law or in equity, is brought on the basis of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Norther District of Texas, Fort Worth Division. f) This MOU constitutes the entire understanding between the parties as to the matters contained herein. Any prior or contemporaneous oral or written agreement or other documents are hereby declared null and void to the extent they may conflict with any provision of this MOU. g) Neither Party waives its sovereign immunity by entering into this MOU, and shall fully retain all immunities and defenses provided by law or otherwise with respect to any action based on or occurring as a result of this MOU. h) The parties to this MOU do not intend to enter into a legal partnership, as that term is used to describe a legal entity and to involve joint and several liabilities. MHMR shall operate hereunder as an independent contractor and not as an officer, agent, servant or employee of City. Likewise, City shall operate hereunder as an independent contractor and not as an officer, agent, servant or employee of the MHMR. Neither Party shall be responsible under the Doctrine of Respondeat Superior for the acts and omissions of the officers, members, agents, servants, employees, or officers of the other. i) This MOU will become effective on the date it is executed by both parties ("Effective Date") and will remain in effect until September 30, 2018 ("Expiration Date"). This MOU may be extended by written, mutual agreement of the parties for four additional one-year terms. j) No amendment, modification, or alteration of the terms of this MOU shall be binding unless the same is in writing, dated subsequent to the date hereof, and duly executed by the parties hereto. k) Notices required pursuant to the provisions of this MOU shall be conclusively determined to have been delivered when (1) hand-delivered to the other party, or (2) received by the other party by United States Mail, registered, return receipt requested, addressed as follows; For the City of Fort Worth: For MHMR: Scott Keenum Kevin McClean, Director of Contracts Lieutenant for the Fort Worth Police Department MHMR of Tarrant County City of Fort Worth Police Department 3840 Hulen Street 505 West Felix Street Fort Worth, TX 76107 Fort Worth, TX 76115 Copy to City Manager and City Attorney's Office At 200 Texas Street, Fort Worth, Texas 76102 The persons signing below certify by their signatures that they are authorized to sign this Agreement on behalf of the party they represent and that this Memorandum of Understanding has been authorized by said party.
