This letter constitutes a modification of that certain BNSF Relocation Agreement dated May 17,
2010, filed with the City Secretary of the City of Fort Worth as City Secretary Contract No.
40233, as amended (the"Contract's consistent with Section 15 of the Contract. The City of Fort
Worth, Texas(the"City") and BNSF Railway Company (BNSF)hereby agree that, in exchange
for the City's prompt payment of its outstanding balance of$1,588,620.22 within 30 days of the
date hereof in full satisfaction of all monies owed under the Contract, BNSF agrees to waive any
and all late charges and interest provided for in the Contract, to include but not be limited to
charges and interest referred to in Section 9 of the Contract.
