C�,Vs( n ST RENWAL AND AMENDMENT OF CITY SECRETARY CONTRACT NUMBER 47421,
A NON-EXCLUSIVE ATM LICENSE AGREEMENT
THIS FIRST RENEWAL AND AMENDMENT OF FORT WORTH SECRETARY
CONTRACT NUMBER 47421 ("First Renewal and Amendment') is made and entered into by and
between the City of Fort Worth("Licensor"),a home-rule municipal corporation acting by and through its
duly authorized Assistant City Manager, and Fort Worth City Credit Union("Licensee"), a credit union
chartered by the State of Texas,acting by and through its duly authorized representative. The Licensor and
Licensee may be referred to herein individually as a Party,or collectively as the Parties.
WHEREAS,the Licensor and Licensee are parties to an a license agreement whereby the Licensee
has been granted a non-exclusive license to install,operate,and maintain ATMs in certain locations within
the Fort Worth Convention Center,the same being City Secretary Contract Number 47421 ("Agreement');
WHEREAS,the Agreement provides for an initial term of two years,beginning on December 1,
2015 and expiring on November 30,2017;
WHEREAS, the Agreement may be renewed for three additional one-year periods at the sole
discretion of the Licensor;
WHEREAS,the parties desire to amend the Agreement to allow for two optional two-year renewal
periods instead of three additional one-year renewal period;
WHEREAS,the Licensor desires to exercise the first renewal term of one year,effective beginning
on December 1,2017 and expiring on November 30,2018;
NOW,THEREFORE,the Parties agree to renew and extend the Agreement for the first renewal
term as follows:
I.
AMENDMENT
Section 3(b)of the Agreement concerning the Term is amended to revise the renewal period to two
additional two-year terms and reads as follows:
"(b)This Agreement may,however,be renewed for two(2)additional two-year periods at
the sole discretion of the Licensor(each a"Renewal Term")."
II.
RENEWAL
The Parties agree to renew and extend the Agreement for a first renewal tern of two years,effective
beginning December 1,2017 and expiring on November 30,2019.
III.
MISCELLANEOUS
All terms and conditions of the Agreement that are not expressly amended pursuant to this First
Renewal and Amendment shall remain in full force and effect.

All terms in this First Renewal and Amendment that are capitalized but not defined shall have the
meanings assigned to them in the Agreement.
IN WITNESS WHEREOF,the parties hereto have executed this First Renewal and Amendment in
multiples in Fort Worth,Tarrant County, Texas.
