HomeMy WebLinkAboutContract 50096 CITY SECRETARY CONTRACT NO. � CITY OF FORT WORTH, TEXAS AGREEMENT FOR ARCHITECTURAL SERVICES SECOND ANIMAL CARE AND CONTROL FACILITY This AGREEMENT is between the City of Fort Worth, a Texas home-rule municipality (the "CITY'), and Pierce Goodwin Alexander & Linville, Inc., authorized to do business in Texas, an independent contractor ("Architect"), for a PROJECT generally described as: A Second Animal Care and Control Facility in Norah Fort Worth. The Agreement documents shall include the following: 1. This Standard Agreement for Professional Services; 2. Attachment"A"—Scope of Services; 3. Attachment"B"—Verification of Signature Authority Form; 4. Attachment"C"— Consulting Services for Phase I. Attachments A, B and C, which are attached hereto and incorporated herein, are made a part of this Agreement for all purposes. In the event of any conflict between the terms and conditions of Attachments A, B or C and the terms and conditions set forth in the body of this Agreement, the terms and conditions of this Agreement shall control. Article I Scope of Service (1) Architect hereby agrees to perform as an independent contractor the services set forth in the Scope of Services attached hereto as Attachment "A". These services shall be performed in connection with the Second Animal Care and Control Facility in North Fort Worth. Nothing in Attachment "A" or any other Attachments to this Agreement shall be construed to change or modify any of the terms and conditions set forth in this Agreement. (2) If at any time in the course of the design, the City expands the scope of services, or the Architect believes the City has requested services that are beyond the scope of this Agreement, the Architect shall submit a proposal for additional fees and a written agreement shall be reached on said proposal prior to the Architect proceeding with the work considered to be beyond the scope of this Agreement. The Architect shall not perform any additional services without a written agreement with the City. Any services provided prior to reaching an agreement on additional fees will be non-compensable. (3) Additional services, if any, will be requested in writing by the City. City shall not pay for any work performed by Architect or its sub-consultants, subcontractors and/or suppliers that has not been ordered in writing. (4) The Architect shall advise the City as to the necessity of the City's providing or obtaining additional services and data from others required in connection with the Project at the City's cost and expense (which services and data the Architect is not to provide hereunder but on which the Architect may rely in performing services hereunder), and act as the City's representative in connection with any such services of others. (5) The total Construction Budget including City costs for this project shall be $10,000,000.00. Article 11 Compensation (1) The Architect shall be compensated (Fee and Reimbursable Expenses) in accordance with the Fee Schedule shown in section (2) of this article. Payment shall be considered full compensation for all labor, materials, supplies, and equipment necessary to complete the services described in Attachment "A". However the total fee paid by the City shall not exceed a total of $1,123,995.00, including $50,000.00 of reimbursable expenses, unless the City and the Architect mutually agree upon a fee amount for additional services and amend this Agreement accordingly. (2) The Architect shall be paid the following percentages of the total fee at the following stages of the Project: a. Completion of Programming and Schematic Design and Opinion of Probable Construction Cost 20% b. Completion of Design Development and Opinion of Probable Construction Cost 40% c. Completion of Construction Documents and Opinion of Probable Construction Cost 75% d. Action by City Council to accept bids 80% e. Final acceptance of the Project by the City 100% However the total fee paid by the City shall not exceed a total as defined in Article II, Compensation. (3) Reimbursement of allowable expenses shall have prior approval of the City. PGAL Agreement Second Animal Care and Control—October 2017 2 Allowable expenses include: a. Printing Costs b. Renderings or Models for Public and City meetings c. Postage and Courier Expenses d. Travel, Mileage Only e. Other Costs with Prior Approval of the City. (4) The Architect shall provide monthly invoices to the City. Payment for services rendered shall be due within thirty (30) days of the uncontested performance of the particular services so ordered and receipt by City of Architect's invoice for payment of same. (5) Acceptance by Architect of said payment shall operate as and shall release the City from all claims or liabilities under this Agreement for anything related to, done, or furnished in connection with the services for which payment is made, including any act or omission of the City in connection with such services. Article III Term Unless terminated pursuant to the terms herein, this Agreement shall be for a term of duration of construction, beginning upon the date of its execution, or until the completion of the subject matter contemplated herein, whichever occurs first. Article IV Independent Contractor Architect shall operate hereunder as an independent contractor, and not as an officer, agent, servant, or employee of the City. Architect shall have exclusive control of and the exclusive right to control the details of its work to be performed hereunder and all persons performing same, and shall be solely responsible for the acts and omissions of its officers, agents, employees, contractors and subcontractors. The doctrine of respondeat superior shall not apply as between City and Architect, its officers, agents, employees, consultant, and sub-consultants, and nothing herein shall be construed as creating a partnership or joint venture between City and Architect. PGAL Agreement Second Animal Care and Control—October 2017 3 Article V Professional Competence and Indemnification (1) Work performed by Architect shall comply in all aspects with all applicable local, state and federal laws and with all applicable rules and regulations promulgated by the local, state and national boards, bureaus and agencies. Approval by the City shall not constitute or be deemed to be a release of the responsibility and liability of Architect or its officers, agents, employees, consultants and sub- consultants for the accuracy and competency of its services performed hereunder. (2) In accordance with Texas Local Government Code Section 271.904, the Architect shall indemnify, hold harmless, and defend the City against liability for any damage caused by or resulting from an act of negligence, intentional tort, intellectual property infringement, or failure to pay a consultant or sub-consultant committed by the Architect or Architect's agent, Architect under contract, or another entity over which the Architect's exercises control. Article VI Procedures for Providing Architectural Services (1) The Architect agrees to commit the personnel to each assignment of the Project as appropriate in order to complete the Project in an expeditious manner. The Architect shall meet with the City's staff as required during the duration of the project. The Architect will assign the following key personnel to this Project: Principal in Charge: Jeff D. Bulla, AIA Project Manager: Jeff D. Bulla, AIA Project Architect: Jeff D. Bulla, AIA The Architect may not change key personnel without the City's written approval. (2) Programming and Schematic Design Phase: a. The Architect shall become familiar with the site and scope of the Project. Refer to Attachment "C" — "Consulting Services for Phase I" for additional relevant information associated with this project. b. The Architect shall consult with the City to clarify and define the City's requirements relative to the Project and review available data. The Architect shall become familiar with the City's document "Facilities Division DESIGN GUIDELINES for New and Existing Facilities" and incorporate into all phases of the work. do The Architect shall prepare a written Program Design Manual defining project goals, program, architectural concepts, site and floor plans, principal equipment, finishes and area-based cost estimates. e. The Architect shall pay for the printing of contract documents required for design submittals and presentations as a part of the reimbursable allowance. f. Architect shall not proceed to the Design Phase until the City has provided written approved of the Program Design Manual. (3) Design Phase: a. The Architect shall perform all services necessary to complete the design and secure a construction permit, including all services necessary to survey, plat, prepare and vacate easements and address any other property issues. b. The design shall include all site work, design and coordination of utilities, landscaping and facility design required for a complete and functional project. c. The Architect shall prepare presentation graphics (plans, elevations, etc.) and present at two (2) City meetings (if required) during the design of the project. d. The Architect shall prepare the design in two stages as follows: i. Design Development Phase: Preparation of architectural, structural and MEP plans, principal elevations, site plans, cartoon set, selection of principal equipment and finishes, and discipline-based opinion of probable construction costs. Upon written approval of this phase of the work, the Architect may proceed to the Construction Document Phase. ii. Construction Document Phase: Preparation of details, architectural, structural, mechanical, electrical, and plumbing plans, finishes schedules, detailed technical specifications, and detailed opinion of probable construction costs. e. Drawings at all stages of design will have the following characteristics: scale for floor plans will be 1/8" or such other scale as may be agreed to in writing for all disciplines, elevations will be at same scale as floor plans, area plans will have same scale for all disciplines, and site plans for all disciplines will be at same scale. f. The Architect shall provide such service as may be necessary for the building permits to be issued. The City shall pay any fees for such Building Permits. The City or contractor shall apply for building permits. g. The Architect, at the Architect's sole cost and expense, shall engage a Consultant to prepare "Elimination of Architectural Barriers Registration" and PGAL Agreement Second Animal Care and Control—October 2017 5 submit the applications to the Texas Department of Licensing and Regulation (TDLR). The Architect (if required) will pay all fees required for TDLR reviews and inspections. All designs shall be in conformance with the Elimination of Architectural Barriers Act, State of Texas, and the City of Fort Worth Building Codes. h. In the event the Project is constructed in accordance with the Architect's designs and is subsequently determined to be in non-conformance with the above Act, Codes or Texas Accessibility Standards, the City will bear the construction costs associated with enhancements. The Architect will reimburse the City for additional costs, charges or fees to replace or rework features that were constructed in accordance with the design but fail to meet applicable accessibility requirements or building codes in force at the time that the design was performed. i. The Architect shall upload the electronic files in PDF format to the City's online bidding site (Autodesk Buzzsaw). (4) Bidding Phase: a. The Architect shall respond to Contractors' inquiries, prepare necessary addenda, and conduct the Pre-Proposal Conference, and participate in the General Contractor selection process. b. Following bidding, the Architect shall investigate the qualifications of up to five (5) bidders and make recommendations concerning the capability of the bidder to satisfactorily perform the Contract. (5) Responsibility for Construction Cost a. The Construction Budget for the Project shall be defined by the City. b. The Architect shall provide to the City an opinion of probable construction cost at the submission of each phase. The City shall either approve the adjustment of the Construction Budget or direct the Architect to adjust the Project design, at no additional cost to the City, to stay within the previously approved Construction Budget. c. If the Construction Budget is exceeded by the lowest bona fide bid, the City may (1) award the contract, (2) abandon the project and terminate this agreement, or (3) cooperate in the reduction of the Project Scope and features as required to stay within the Construction Budget in order to rebid the Project. If the City decides to reduce the scope of the project and rebid, the Architect shall, without additional fee, modify the Drawings and Specifications as necessary to stay within the Construction Budget. In the event the City abandons the project, the City may terminate this Agreement in accordance with Article X, Termination of Contract. PGAL Agreement Second Animal Care and Control—October 2017 6 (6) Construction Phase: a. The Architect shall assist the City by approving submittals, observing construction procedures and results monthly, reviewing methods and costs associated with proposed change orders, and assisting in the resolution of construction problems. b. The Architect shall attend progress meeting at the job site. c. At the completion of construction, the Architect shall conduct and document the final inspection and assist the City on the resolution of construction or design deficiencies. d. The Architect will review contractor's pay requests. e. The Architect will conduct final acceptance and end of warranty inspections with representatives of the City. f. The Architect shall provide electronic files (DWG format) to the Contractor for the Contractor's preparation of"Record Drawings"for the City's archives. g. The Architect will provide CAD files of all drawings suitable to use on AutoCAD LT 2010 format or such other operating system as determined by the City. (7) All designs, drawings, specifications, documents, and other work products of the Architect, whether in hard copy or in electronic form, are instruments of service for this Project, whether the Project is completed or not. Reuse, change, or alteration by the City or by others acting through or on behalf of the City of any such instruments of service without the written permission of the Architect will be at the City's sole risk. The City shall own the final designs, drawings, specifications and documents. Transfer of ownership of the contract documents does not constitute sale of the documents. Article VII City Responsibilities (1) Ronnie Clements will act as the City's representative with respect to the Project for the purposes of transmitting instructions, receiving information, interpreting and defining City's policies and decisions with respect to the Architect's services. (2) Provide criteria and information as to City's requirements. (3) Assist the Architect in obtaining existing studies, reports and other available data and services of others pertinent to the Project and in obtaining additional reports and data as required. PGAL Agreement Second Animal Care and Control - October 2017 7 (4) Upon reasonable notice arrange for access to and make all provisions for the Architect to enter upon public and private property as may be required for the Architect to perform services hereunder. (5) Review all reports, recommendations and other documents and provide written decisions pertaining thereto within a reasonable time. (6) Examine all studies, reports, sketches, drawings, specifications, proposals and other documents presented by Architect, obtain advice of an attorney, insurance counselor and other architects as it deems appropriate for such examination and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of Architect. (7) Provide "Instructions to Offerors" and "General Conditions" for use in assembling the Project construction contract documents. (8) Prepare easements and right-of-way acquisition conveyance documents, from descriptions provided by the Architect, contact owners, negotiate for or condemn all easements and right-of-way, pay all filing and legal fees associated therewith. (9) Manage the advertisement and bidding of the project, issue addenda, distribute bid documents, award contract, and execute the contracts. (10) Administer the construction of the Project. (11) Provide inspection and management services. (12) Provide contractors' prepared field drawings to the Architect for review. (13) Pay all impact and utility fees and other fees not expressly assigned to the Architect. This includes fees charged by Oncor for new or revised service. (14) Bear all costs incident to compliance with this Article. Article VIII Insurance (1) Architect shall not commence work under this Agreement until it has obtained all insurance required under this Article and the City has approved such insurance, nor shall Architect allow any subcontractor to commence work on its subcontract until all similar insurance of the subcontractor has been so obtained and approval given by the City; provided, however, Architect may elect to add any subconsultant as an additional insured under its liability policies. Coverage shall be on any vehicle used in the course of the Project. Worker's Compensation Coverage A: statutory limits Coverage B: $100,000 each accident $500,000 disease - policy limit $100,000 disease -each employee Professional Liability Insurance $1,000,000 Errors & Omissions $2,000,000 Annual Aggregate (2) Additional Insurance Requirements a. Except for employer's liability insurance coverage under Architect's worker's compensation insurance policy, the City, its officers, employees and servants shall be endorsed as an additional insured on Architect's insurance policies. b. Certificates of insurance shall be delivered to the Property Management Department, Attention: Brian R. Glass, AIA, Architectural Services Manager, 401 West 13th Street, Fort Worth, Texas 76102, prior to commencement of work. c. Any failure on part of the City to request required insurance documentation shall not constitute a waiver of the insurance requirements specified herein. d. Each insurance policy shall be endorsed to provide the City a minimum thirty days notice of cancellation, non-renewal, and/or material change in policy terms or coverage. A ten days notice shall be acceptable in the event of non-payment of premium. e. Insurers must be authorized to do business in the State of Texas and have a current A.M. Best rating of A: VII or equivalent measure of financial strength and solvency. f. Other than worker's compensation insurance, in lieu of traditional insurance, City may consider alternative coverage or risk treatment measures through insurance pools or risk retention groups. The City must approve in writing any alternative coverage. PGAL Agreement Second Animal Care and Control—October 2017 9 g. Workers' compensation insurance policy(s) covering employees employed on the Project shall be endorsed with a waiver of subrogation providing rights of recovery in favor of the City h. City shall not be responsible for the direct payment of insurance premium costs for Architect's insurance. i. Architect's insurance policies shall each be endorsed to provide that such insurance is primary protection and any self-funded or commercial coverage maintained by City shall not be called upon to contribute to loss recovery. j. In the course of the Agreement, Architect shall report, in a timely manner, to City's officially designated contract administrator any known loss occurrence which could give rise to a liability claim or lawsuit or which could result in a property loss. k. Architect's liability shall not be limited to the specified amounts of insurance required herein. I. Upon the request of City, Architect shall provide complete copies of all insurance policies required by these Agreement documents. Article IX Transfer or Assignment City and Architect each bind themselves, and their lawful successors and assigns, to this Agreement. Architect, its lawful successors and assigns, shall not assign, sublet or transfer any interest in this Agreement without prior written consent of the City. Article X Termination of Contract (1) City may terminate this Agreement for its convenience on 30 days written notice. Either the City or the Architect for cause may terminate this Agreement if either Party fails substantially to perform through no fault of the other and does not commence correction of such nonperformance with 5 days of written notice and diligently complete the correction thereafter (2) If City chooses to terminate this Agreement under Article IX, upon receipt of notice of termination, Architect shall discontinue services rendered up to the date of such termination and City shall compensate Architect based upon calculations in Article II of this Agreement. PGAL Agreement Second Animal Care and Control—October 2017 10 (3) All reports, whether partial or complete, prepared under this Agreement, including any original drawings or documents, whether furnished by the City, its officers, agents, employees, Architects, or contractors, or prepared by Architect, shall be or become the property of the City, and shall be furnished to the City prior to or at the time such services are completed, or upon termination or expiration of this Agreement. Article XI Right to Audit (1) Architect agrees that the City shall, until the expiration of three (3) years after final payment under this Agreement, have access to and the right to examine any directly pertinent books, documents, papers and records of Architect involving transactions relating to this Agreement. Architect agrees that the City shall have access during normal working hours to all necessary facilities and shall be provided adequate and appropriate workspace in order to conduct audits in compliance with the provisions of this section. City shall give Architect reasonable advance notice of intended audits. (2) Architect further agrees to include in all its subcontracts hereunder, a provision to the effect that the subcontracting consultant agrees that the City shall, until the expiration of three (3) years after final payment under the subcontract, have access to and the right to examine any directly pertinent books, documents, papers and records of such sub-consultant, involving transactions to the subcontract, and further, that City shall have access during normal working hours to all sub-consultant facilities, and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this article. City shall give Architect and any sub-consultant reasonable advance notice of intended audit. (3) Architect and sub-consultants agree to photocopy such documents as may be requested by the City. The City agrees to reimburse Architect for the cost of copies at the rate published in the Texas Administrative Code in effect as of the time copying is performed. Article XII Minority Business and Small Business Enterprise (MBE) (SBE) Participation In accordance with the City's Business Diversity Enterprise Ordinance No. 20020-12-2011, as amended, the City has goals for the participation of minority business enterprises and/or small business enterprises in City contracts. Architect acknowledges the MBE and SBE goals established for this Agreement and its accepted written commitment to MBE and SBE participation. Any misrepresentation of facts (other than a negligent misrepresentation) and/or the commission of fraud by the Architect may result in the PGAL Agreement Second Animal Care and Control—October 2017 11 termination of this Agreement and debarment from participating in City contracts for a period of time of not less than three (3) years. Article XIII Observe and Comply Architect shall at all times observe and comply with all federal, state, and local laws and regulations and with all City ordinances and regulations which in any way affect this Agreement and the work hereunder, and shall observe and comply with all orders, laws ordinances and regulations which may exist or may be enacted later by governing bodies having jurisdiction or authority for such enactment. No plea of misunderstanding or ignorance thereof shall be considered. Architect agrees to defend, indemnify and hold harmless City and all of its officers, agents and employees from and against all claims or liability arising out of the violation of any such order, law, ordinance, or regulation, whether it be by itself or its employees. Article XIV Venue and Jurisdiction If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of Texas — Fort Worth Division. This Agreement shall be construed in accordance with the laws of the State of Texas. Article XV Contract Construction The Parties acknowledge that each party and, if it so chooses, its counsel have reviewed and revised this Agreement and that the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party must not be employed in the interpretation of this Agreement or any amendments or exhibits hereto. Article XVI Severability The provisions of this Agreement are severable, and if any word, phrase, clause, sentence, paragraph, section or other part of this Agreement or the application thereof to any person or circumstance shall ever be held by any court of competent jurisdiction to be invalid or unconstitutional for any reason, the remainder of this Agreement and the application of such word, phrase, clause, sentence, paragraph, section, or other part of PGAL Agreement Second Animal Care and Control—October 2017 12 this Agreement to other persons or circumstances shall not be affected thereby and this Agreement shall be construed as if such invalid or unconstitutional portion had never been contained therein. Article XVII Immigration Nationality Act City actively supports the Immigration & Nationality Act (INA) which includes provisions addressing employment eligibility, employment verification, and nondiscrimination. Vendor shall verify the identity and employment eligibility of all employees who perform work under this Agreement. Vendor shall complete the Employment Eligibility Verification Form (1-9), maintain photocopies of all supporting employment eligibility and identity documentation for all employees, and upon request, provide City with copies of all 1-9 forms and supporting eligibility documentation for each employee who performs work under this Agreement. Vendor shall establish appropriate procedures and controls so that no services will be performed by any employee who is not legally eligible to perform such services. Vendor shall provide City with a certification letter that it has complied with the verification requirements required by this Agreement. Vendor shall indemnify City from any penalties or liabilities due to violations of this provision. City shall have the right to immediately terminate this Agreement for violations of this provision by Vendor. Article XVIII House Bill 89 Contractor acknowledges that in accordance with Chapter 2270 of the Texas Government Code, the City is prohibited from entering into a contract with a company for goods or services unless the contract contains a written verification from the company that it: (1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. The terms "boycott Israel" and "company" shall have the meanings ascribed to those terms in Section 808.001 of the Texas Government Code. By signing this contract, Contractor certifies that Contractor's signature provides written verification to the City that Contractor: (1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. PGAL Agreement Second Animal Care and Control—October 2017 OFFICIAL.R�COitp 15 CITY 8140' IST•WORY141 TX Attachment"A" ARCHITECTURE ENGINEERING INTERIORS PLANNING ' September 14,2017 Letter of Proposal for Professional Architectural Services for the CITY OF FORT WORTH -SECOND ANIMAL CARE & CONTROL FACILITY This Letter of Proposal is for professional architectural services by PGAL(the"Architect") for the City of Fort Worth(the"City'and"Owner')for the Second Animal Care& Control Facility-(the"Project"). 1.o PROJECT SCOPE 1.1 The Project scope includes comprehensive needs assessment,program development,design and construction administration for a new Animal Care and Control Facility to be Located in north Fort Worth. 1.2 Initial project information was established by the City's Request for Statements of Qualification issued in April 2017. 1.3 The budget for the Cost of Work is$10,000,000. 1.4 Although the optimal geographic location for the new facility must be evaluated during the needs assessment phase,for the purposes of this Proposal the Site is assumed to be a specific parcel of land at the City's North Services Center. 1.5 The project goals are as follows: 1.5.1 To evaluate current and future needs of the City to provide animal shelter services,to property house and care for impounded animals,and to increase positive outcomes for all animals in its custody and care. 1.5.2 To conduct sufficient public engagement such that this project is embraced by the community's stakeholders and non-profit partners. 1.5.3 To provide a facility that will serve a 30-year horizon considering projected population growth and best practices for animal management and welfare. 1.5.4 To provide a sustainably-designed facility essentially meeting the requirements for USGBC LEED Silver Certification;however,no specific Certification will be applied for. 2.o ARCHITECTURAL SERVICES The Architect shall collaborate with the City as needed to provide the following professional services: 2.1. Needs Assessment and Programming- 2.1.1 Data Gathering: 303o LBJ Freeway,Suite 1220 972 871 2225 PGAL.COM Dallas,TX 75234 972 8712228 • Host a kickoff meeting with the City of Fort Worth to review deliverables,timelines,and protocols for communication. • Analyze the contribution and data of other non-profit community partners. • Gather FWACC data for the past ten years and analyze it for trend projections. Review other pertinent trends such as primary demographic developments within Fort Worth,human population growth patterns,etc.to predict the future needs for animal care and control in Fort Worth. Review trend projections with the team. • Develop requirements for animal capacities for the new shelter using industry best practices. • Conduct a stakeholders'survey using Survey Monkey. 2.1.2 Programming: • Host an interactive all-day workshop to review the needs of the new animal shelter with a group of decision makers. We will cover animal capacity requirements,program requirements,and overall Project vision. During the workshop,an interactive ballpark cost estimate will be projected so we can make decisions with the Project budget in mind. • Based on information gathered in the workshop,we will develop a preliminary program with hard and soft costs for review. Once the program is confirmed,we will assist the City of Fort Worth with developing operational budgets including staffing for the new shelter. Because we are not an expert in staffing,we will use typical industry standards as well as the staffing for the current shelter as a guide in developing requirements for the new shelter. • Interactive public meetings are an important part of this phase of the Project. We have included scope to host two public/private partnership meetings and two open-house meetings. • We will assist the City in reviewing and evaluating the proposed Project site,and will validate its location based on the other factors that need consideration including drive times for animal control officers,animal intakes,etc. • At the end of the programming phase,we will produce a dynamic Needs Assessment Report that can be updated during the schematic design phase of the Project,or as Project requirements change. However,a full Room Design Manual will not be provided. 2.1.3 Four on-site visits by our out-of-town animal specialty consultant are included in this phase. 2.2. Schematic Design—Based on the approved Program,the Architect will develop a Schematic Design package for review and approval by the City.The following scope is included: • A charrette/blocking diagram exercise with City staff to develop multiple conceptual design alternatives in the form of adjacency "bubble"diagrams. These will be evaluated with Staff to determine the desired concept with which to move forward. • The selected concept will be developed into a detailed site plan and floor plan including vehicular and pedestrian circulation,room size and layout and equipment. Two major design iterations are included. • We will develop the 3-D architectural design for review,refinement and approval by the City. • We will coordinate with the City's selected CMAR by providing Basis of Design narratives for MEP systems as well as sustainability initiatives and interior finishes narratives. • The dynamic Needs Assessment Report will be updated as required. • The final Schematic Design package will include a presentation- quality site plan,floor plan with FF&E layout,exterior elevations, color renderings of the exterior and of the lobby interior,preliminary finish schedule,and MEP and sustainable design narratives. • The Cost Estimate will be provided by the CMAR. 2.3. Design Development- The Architect will prepare Design Development documents for the Citys approval and the Construction Manager's review,to illustrate more detailed development of the approved Schematic Design. This phase will include the integration of the various structural and MEP systems. Deliverables will include site plan,floor plans,sections,elevations,finish schedules,diagrammatic layouts of the building systems,preliminary specifications,and other details to describe the size and character of the Project. 2.4. Construction Documents-During this phase,the Architect will prepare detailed Construction Documents,including drawings and technical specifications to be used for bidding and construction.The Architect will select interior finishes,patterns and colors,and prepare a presentation board for approval by the City. There will be interim review submittals at 50%and 90% completion. 2.5. Bidding&Negotiation-In this phase,the CMAR will prepare the various packages for bidding. The Architect will address and issue addenda as required to clarify the Construction Documents and design intent. 2.6. Construction Administration-The Architect will provide general administration of the Contract between the Owner and the Construction Manager as set forth in the current version of AIA Document A201. The Architect shall provide Construction Phase services exceeding the limits set forth below as Additional Services.When the limits below are reached,the Architect shall notify the Owner: • Up to 2 reviews of each Shop Drawing,Product Data item,sample and similar submittals of the Contractor. • Up to thirty-six(36)visits to the site by the Architect over the duration of the Project during construction,including attendance at twice monthly construction Progress Meetings,to review the progress and quality of work and to determine if work is proceeding in accordance with the Contract Documents. • Up to two(2)observations for any portion of the Work to determine whether such portion of the Work is substantially complete in accordance with the requirements of the Contract Documents. • Up to one(1)observations for any portion of the Work to determine final completion. • Up to sixty(60)days after the date of Substantial Completion of the Work or the originally scheduled date of Substantial Completion,whichever is earlier. 2.7. Survey and Civil Engineering-The Architect will provide Surveying and Civil Engineering Services in accordance with Attachment C-RLG Proposal for Survey&Civil Engineering 08-29-17. 2.8. Geotechnical Investigation-Once the Project Site is confirmed,the Architect will secure the services of a local geotechnical investigations firm to conduct a geotechnical analysis of the soil and provide foundation and paving design recommendations. 2.9. Landscape Architectural Design-The Architect will provide landscape and irrigation design for this project to comply with the City's Landscape and tree preservation ordinances. 2.10. FF&E Design&Procurement Assistance-During Design,alternate FFE T buts will be proposed and reviewed with the Owner.Once the furniture and equipment Layout is finalized,the Architect will assist the Owner in the selection and specification of the required FF&E specific items including materials,fabrics and colors. The Architect will assist the Owner in the procurement of the FF&E items through the use of approved buy-lists such as TXMAS or similar. 3.o EXCLUDED SERVICES It is agreed that the following services are not included herein at this time. If required, they may be added as an Additional Service: • Cost Estimating . Client shall reimburse the Architect for actual expenditures made by the Architect in the interest of the Project. Compensation for Reimbursable Expenses shall be computed as a multiple of one and one tenth (1.10)times the actual expense incurred,and shall not exceed$50,000 without prior written approval. Reimbursable expenses shall include: 5.1.1. Transportation to and from the Project location including automobile mileage at prevailing rates,tolls and parking costs; 5.1.2. Out-of-town travel and subsistence limited to our specialty animal design consultant traveling from Boulder,CO; 5.1.3. Reproductions,plots,reprographic services,standard form documents, postage,courier or express mail services required for the delivery of Instruments of Service,. 5.1.4. Telecommunications expenses related to online or video conferences such as GoToMeetings or WebEx; 5.1.5. Fees paid for securing approval of authorities having jurisdiction over the Project. 6.o ADDITIONAL SERVICES 6.1 Scope Revisions: Following prior written authorization and approval of Client, Architect shall make revisions in drawings,specifications or other documents when such revisions are: • necessitated by inconsistencies with approvals or instructions previously given by the Client,including revisions made necessary by adjustments in the Client's program or Project budget; • required by the enactment or revision of codes,laws or regulations subsequent to the preparation of such documents; • necessitated because of significant changes in the Project and authorized by written Change Orders including,but not limited to,size,quality, complexity,the Client's schedule,or the method of bidding or negotiating and contracting for construction; • providing any other services not included herein or not customarily furnished in accordance with generally accepted architectural practice. 6.2 Project Delays: To the extent the Architect's services are affected,the Architect shall be compensated for Additional Services if the services covered by this Agreement have not been completed within Thirty-six(36)months of the date of this Agreement,through no fault of the Architect. 6.3 Compensation for Additional Services: Compensation for Additional Services shall by negotiated on a lump sum basis or provide on an hourly basis in accordance with the Architect's current billing rate. 7.0 MISCELLANEOUS PROVISIONS 7.1 Project Schedule: The Architect's services shall be performed as expeditiously as is consistent with professional skill and care and the orderly progress of the Project. A mutually acceptable project schedule will be established at the outset based on the information known as of that date. If necessary and mutually agreeable,such schedule may be adjusted as the Project proceeds. 7.2 Building Information Modeling: The Project will be designed utilizing Building Information Modeling(BIM)software. BIM shall be limited to overall building massing indicative of area,height,orientation and materials modeled in three dimensions or represented by other data and its use is restricted to the Architect and its Consultants for the purposes of internal coordination and conceptual presentation to the Owner. No other party may rely on the accuracy of the 3D Model for purposes beyond conceptual representation. Unless otherwise agreed in writing,any use of,transmission of,or reliance on the Model is at the receiving Party's sole risk. 7.3 Cost of the Work: 7.3.1, The Owner shall require the Construction Manager to include appropriate contingencies for design,bidding or negotiating,price escalation,and market conditions in estimates of the Cost of the Work. The Architect shall be entitled to rely on the accuracy and completeness of estimates of the Cost of the Work the Construction Manager prepares as the Architect progresses with its Services.The Architect shall prepare,as an Additional Service,revisions to the Drawings, Specifications or other documents required due to the Construction Manager's inaccuracies or incompleteness in preparing cost estimates. 7.3.2. If,prior to the conclusion of the Design Development Phase,the Construction Manager's estimate of the Cost of the Work exceeds the Owner's budget for the Cost of the Work,the Architect,in consultation with the Construction Manager,shall make appropriate recommen- dations to the Owner to adjust the Project's size,quality or budget,and the Owner shall cooperate with the Architect in making such adjustments. 7.3.3. If the estimate of the Cost of the Work at the conclusion of the Design Development Phase exceeds the Owner's budget for the Cost of the Work,the Owner shall either 1)give written approval of an increase in the budget for the Cost of the Work;2) revise the Project program, scope,or quality as required to reduce the Cost of the Work;or 3) implement any other mutually acceptable alternative. If the Owner chooses to proceed under 7.2.3,the Architect,without additional compensation,shall incorporate the required modifications in the Construction Documents Phase as necessary to comply with the Owner's budget for the Cost of the Work at the conclusion of the Design Development Phase Services,or the budget as adjusted.The Architect's modification of the Construction Documents shall be the Limit of the Architect's responsibility as a Basic Service. 7.3.4. After incorporation of modifications under Section 6.6,the Architect shall,as an Additional Service,make any required revisions to the Drawings,Specifications or other documents necessitated by subsequent cost estimates that exceed the Owner's budget for the Cost of the Work,except when the excess is due to changes initiated by the Architect in scope,basic systems,or the kinds and quality of materials, finishes or equipment. 7.3 Project Contingency: The Owner and the Architect agree that this is a one of a kind Project that constitutes a number of unique variables including but not Limited to the site and setting,local environment,the context,program,budget, stakeholders involved,the set of consultants and team assembled,the Contractor,jurisdiction,timeframe,etc. Increased costs and changes may be required because of possible omissions,ambiguities or inconsistencies in the drawings and specifications prepared by the Architect;therefore,the final design and construction costs of the project may exceed the estimated or bid cost. The Owner agrees to set aside a reserve in the amount of 1.5%of the cost of the Project as a Contingency to be used,as required,to pay for any such increased costs and changes. Name: Position: Signature Name: Signature of President 1 CEO Other Title: Date: PGAL Agreement Second Animal Care and Control—October 2017 2 ATTACHMENT "C" FORT WORTH,,,, CONSULTING SERVICES FOR PHASE I: NEEDS ASSESSMENT,FEASIBILITY STUDY AND DESIGN NORTH ANIMAL SHELTER Introduction The City of Fort Worth(City)is the sixteenth largest city in the country by population and the fifth largest in Texas.The City covers approximately 353 square miles in Tarrant, Denton,Johnson, Parker, and Wise counties. From 2000 (534,694 persons) to 2016 (806,380 persons), Fort Worth experienced a 50.81% increase in its population, making it one of the fastest growing large cities in America. If growth continues at a conservative estimate of 2.1 percent annually,which is below the average for the past 10 years, population will exceed one million by 2030. The North Central Texas Council of Governments projects that Fort Worth will gain another 200,000 individuals in the following decade and reach a population of approximately 1.2 million by 2040. Using pet population models,Fort Worth Animal Care and Control(FWACC)has estimated the dog and cat population to be about 352,711 in Fort Worth. The formula for calculating the number of household pets is derived from ownership statistics from a national survey conducted by the American Veterinary Association. In order to serve the animal care and control needs generated from this dynamic growth,the City desires a Design Plan for the future north animal shelter that is done in a logical, manageable, and cost efficient manner that takes into account the City's human and animal needs over the next 30 years. It is the City's goal that the Design Plan will also serve as a business planning document that identifies animal service needs and feasibility, as well as,financial requirements,facility requirements,and program requirements for the coming three decades. The City seeks qualified architectural firms interested in 1) conducting a needs assessment and feasibility study of the current status of the present animal control facilities,2)producing a Design Plan for future FWACC operational and facility needs, and 4)producing construction plans,documents and cost estimates for a new animal shelter in north Fort Worth. BACKGROUND OF THE ANIMAL CARE AND CONTROL CENTER The current Animal Care and Control center opened in July 1998 as an 18,000 SF facility. It is located at 4900 Martin Street, Fort Worth, Texas 76119. In 2004, the residents approved $665,000 through the Capital Improvement Bond Program to fund a spay/neuter clinic. On October 16, 2007 the City Council approved an additional $498,000 to fully fund the clinic and additional office space. The 3,800 SF clinic has a surgery room with two tables,a pre-op room,a post-op recovery area,a laboratory and office space. In 2012 and 2013,FWACC received$1.2 million in donations for the construction on a medical treatment ward to treat animals with minor ailments. The 3,600 SF medical treatment ward consists of both contagious and non-contagious wards for large dogs, small dogs and cats. Many of the patients in the contagious wards have upper respiratory infections(URIs). The new treatment facility handles over 2,000 animals per year. The 2014 Bond program included $2.3 million for FWACC. FWACC is currently using a portion of these funds to expand its current facility to increase capacity by over 100 animals and improve efficiency and animal husbandry. The remaining Bond funds were set aside for a Design Plan, land acquisition and design for a new animal shelter in north Fort Worth. In fiscal year 2015, FWACC handled approximately 20,000 animals. The ACCC adopted 7,165 animals and transferred 2,033 to rescue organizations. Another 2,050 animals were returned to their owners. It is estimated that less than 20 percent of the animals were already spayed or neutered when they were captured.The City enforces the ordinance requirements to spay or neuter animals before they are adopted, rescued or reclaimed. The City and intends to institute new programs that support spay and neuter of all licensed pets in the City. The shelter is currently operating at TWICE its design capacity with large kennels designed for single animals are now shared by two animals, hallways, store rooms and other locations are now being used to house small animals, disease control is staff intensive (design/high density of animals), cleaning is staff intensive (kennels have to be cleaned more thoroughly/often because of shared space), and adoptions and reclaims are staff intensive due to poor original design and piecemeal kenneling(twice design standard). In addition to the shelter's operational limitations, it is closer to the cities of Grand Prairie, Arlington and Mansfield than it is to the areas of Fort Worth that have grown exponentially. In 1998, the City of Fort Worth was approximately 300 square miles and is now approximately 353 square miles with most of the growth in the north. This has created operational inefficiencies for field personnel who sometimes spend up to half of their shift travelling to/from their service areas. Fort Worth is a very diverse urban setting experiencing social and economic changes. FWACC and its dedicated staff are preparing for the future. We realize that animal care and control is competing in a new economic, social and business environment that is characterized by rapid change. Some challenges that impact the ability of our organization to meet future needs and expectations are population growth, the transitive nature of our population, apathy, budget constraints, anti-government sentiment, and technology. Our future goals include developing public private partnerships, community spay and neuter programs, improving relationships with the veterinarian and animal welfare and rescue communities, and promoting strategic solutions for efficient shelter and field operations. Operating goals include enhancing the marketing of Animal Care and Control programs, improving field and shelter operations, providing enhanced education programs for the public, improving compliance with the animal control ordinances, and enhancing customer service. PHASE I: COMPREHENSIVE NEEDS ASSESSMENT The chosen consultant will evaluate current and future needs of the City to provide animal shelter services to its citizens, to properly house and care for impounded animals, and to increase positive outcomes for all animals it custody and care. The Needs Assessment must be a 30-year horizon considering projected population growth and animal management and welfare trends. The Needs Assessment shall have at least the following main parts and elements: Phase I: Needs Assessment and Design for the North Animal Shelter,Page 2 of 5 • Executive Summary • Current FWACC facilities and operations • Animal Shelter Trends • Citywide Animal Welfare Efforts • Social and Economic Impact • Public Health and Safety • Public/Private Partnership Impact on Shelter Facilities • Overview of the Development of the Planning Process A complete Needs Assessment will ensure that the policies,programs and facilities meet the community's needs and are embraced by the community's stakeholders.The plan should consider the economic impact of animal and human population growth projections, shelter facility aesthetics and public perceptions of municipal animal welfare efforts, as well as the impact of pet sterilization, public education, ordinance compliance on animal populations and public health and safety, and other critical data/analyses that are needed to support the shelter Design Plan recommended by the Consultant. Conducting a transparent decision-making process by engaging community members early on and working with them throughout the planning process can enhance the community's acceptance of new facilities and support in paying for new improvements. It is expected that the Consultant,with the assistance of City staff, will: • Develop and carry out a public survey to garner overall public response to factors affecting animal shelters, shelter operations,and costs • Develop web-ready fact sheets for the City's website • Hold Planned Workshops with key stakeholders:public officials,officials of other governmental entities(such as school districts),academic members, local and regional planners,policy makers, industry representatives,businesses representatives,interested general public • Hold a minimum of two(2)Open Houses for the general public to convey information and gather input • Hold one-on-one meetings with FWACC and other area shelters and animal welfare providers to explore potential public private partnerships with the City's Animal Shelter • Make a public presentation before City Council during the development of the Plan • Schedule a public hearing prior to the adoption of the Plan Phase 1: Needs Assessment and Design for the North Animal Shelter,Page 3 of 5 DATA GATHERING AND ANALYSIS It is expected that the Consultant,with the assistance of City staff,will: • Collect and assemble historical and current background information including population information and area specific densities; • Collect, review and analyze information pertaining to local and regional growth impacts to the City's service area(s)and apply these growth impacts to the City's current services, programs, and facilities; • Review and evaluate existing Animal Care and Control services, programs, and facilities, including assessments of completeness of City coverage, success (or lack of) animal shelter capacities, and ease of access to animal shelter services taking into account local and regional growth impacts. • Review and evaluate animal services,programs, and facilities within the City's services area as to capacity, cost, quality, efficiency, effectiveness and adequacy and competitiveness of the private sector, nonprofit, and other governmental entities. Determine how animal services provided by the private sector, nonprofit organizations and other municipalities or governmental entities within the region affect the City's animal shelter facility needs,and if so,in what ways could they be improved. • Identify any unmet facility needs, and make recommendations for meeting those needs through private sector providers, public-private partnerships, partnerships with other governmental entities in the region,and/or direct City service provision. • Examine existing tools, models, and/or case studies which foster development of animal shelter partnerships(public-public and public-private). FUNDING Capital Improvement Program (CIP) and funding plan are to be developed, with the assistance of City staff, based on the recommendations and analyses developed that coordinate all recommended facilities. The CIP funding plan will be comprehensive and consistent in its recommendations for how the City should move forward in every aspect of its operations. The CIP will include facilities needed by type and potential location, their initial estimated capital costs, and estimated annual operating costs. The CEP will tie into developed economic and life-cycle analysis. Consultant will recommend potential funding sources and work with the City to establish an affordable project sequence based on funding resources. • A schedule timeline shall be developed projecting when new facilities will be needed, and shall include where those facilities could potentially be located, an estimation of the capital improvements and operating costs for these facilities. • Any new facility developed or built as result of the Plan shall make use of sustainable practices and design. Phase I: Needs Assessment and Design for the North Animal Shelter,Page 4 of 5 • The Needs Assessment and Design Plan shall be developed as a"dynamic"document that will be modified by City staff at regular intervals as appropriate to encompass new services, programs and facilities, and adjust costs as planned services, programs and facilities are implemented. Consultant will provide tools and training to selected Animal Care and Control staff to allow them to carry out the regular updating of the Needs Assessment and Design Plan. At a minimum, the Consultant will be expected to incorporate the following elements in the Needs Assessment and Design Plan—not necessarily in the order presented here: • FWACC structure and adequacy of staffing levels necessary for an additional North Animal Shelter.This review has to include not only the yearly intake of animals, but also the enrichment process of moving hundreds of dogs outside into play yards two times a day and the daily care and treatment of dogs and cats in medical treatment wards. • A needs assessment,including recommendation on City shelter services,programs or facilities. • A cost estimate to develop a new, modern animal shelter facility that will meet current and project municipal needs. • Conceptual design options and alternatives based on the needs assessment group meetings and budget. Drawings and other documents which depict several alternative concepts which satisfy program, schedule and budget requirements. • Site analysis,program and design including access to neighboring roads and trails. • Preliminary cost estimates. • Conceptual Design will also include renderings of the final selected concept plan(s). DISCUSSION: The 2014 Bond Program, approved by the citizens of Fort Worth, includes funds for the design of a new animal care and control facility in north Fort Worth, which would house approximately 100 animals. The construction of this facility is proposed to be included in the 2018 Bond Program. A request for Statements of Qualifications (SOQs) was advertised in the Fort Worth Star-Telegram on Thursday, March 16 and March 23, 2017. The SOQs were due Thursday, April 20, 2017. The City received six SOQs from qualified architectural firms. The selection committee included representatives from two local allied community agencies, Code Compliance Department, M/WBE Office and Property Management Department. The firms submitting SOQs were: Bennett Benner Partners, Inc. Franz Architects, Inc. Komatsu-Rangel, Inc. Pierce Goodwin Alexander Linville, Inc. Quorum Architects, Inc.
