HomeMy WebLinkAboutContract 50111 CSC No. G�� CITY OF FORT WORTH pF S�G� And COURTVIEW JUSTICE SOLUTIONS,INC.,DB/A EQUIVANT December 29,2017 Jeffrey Harmon, General Manager 4825 Higbee Avenue NW, Suite 101 Canton,Ohio 44718 Re: Letter Agreement Extending City of Fort Worth's Application Software Support Agreement for Municipal Court Integrated Case Management System Pending Execution of a Full One-Year Renewal Jeffrey, As you are aware, since 2007 the City of Fort Worth ("City") and CourtView Justice Solutions, Inc., d/b/a Equivant ("Equivant") have been parties to an agreement for application software support of the City's Municipal Court integrated case management system, that agreement being known as Fort Worth City Secretary Contract 35728, as amended and renewed(such agreement,amendments, and renewals referred to collectively as the"Contract"). The current renewal term of the Contract will expire on December 31, 2017 ("Expiration Date"). Although the City anticipates renewing the Contract for another full-year renewal term, staff only has authority to administratively execute an agreement or renewal with a cost of$100,000 of less. Given the cost of the full-year renewal,staff must obtain authorization from the Fort Worth City Council.The City anticipates receiving authorization by the end of January 2018. To address the period of time between the Expiration Date and City Council action, City and Equivant agree to enter into this Letter Agreement to continue software support services. Equivant shall continue to provide the services described in the Contract under the same terms and conditions, except as expressly stated otherwise in this agreement. The term of this Letter Agreement shall begin on the date it is executed by both City and Equivant,and shall expire on the earlier occurrence of either February 28, 2018, or the date that City and Equivant execute a renewal of the Contract. The City shall pay Equivant ten thousand seven hundred and seventy-five dollars and thirty-four cents ($10,775.34) for each full calendar month that Equivant provides services under this Letter Agreement. If this Letter Agreement is terminated in the middle of a calendar month due to the renewal of the Contract, the City shall pay a pro-rated amount for the days services were provided,which shall be figured using the daily cost of three hundred and fifty-nine dollars and eighteen cents($359.18). A signature received via facsimile or electronically via email shall be as legally binding for all purposes as an original signature. The person signing this Letter Agreement hereby warrants that he or she has the legal authority to execute this Letter Agreement on behalf of his or her respective Party, and that such binding authority has been granted by proper order, resolution,ordinance, or other authorization of the entity. The other Party is fully entitled to rely on this warranty and representation in entering into this Letter Agreement. PROHIBITION ON CONTRACTS WITH COMPANIES BOYCOTTING ISRAEL Contractor acknowledges that in accordance with Chapter 2270 of the Texas Government Code, the City is prohibited from entering into a contract with a company for goods or services unless the contract contains a written verification from the company that it: (1)does not boycott Israel; and(2) will not boycott Israel during the term of the contract. The terms "boycott Israel" and "company" shall have the meanings ascribed to those terms in Section 808.001 of the Texas Government Code.
