This CHANGE ORDER NO. 1 TO CITY SECRETARY CONTRACT NO. 4 24P77a> COMMUNICATIONS SYSTEM AGREEMENT ("Change Order"), is made and entered into by and between the CITY OF FORT WORTH ("Purchaser"), a home rule municipal " corporation having offices at 1000 Throckmorton, Fort Worth, Texas 76102, and MOTOROLA, INC. ("Motorola" or "Seller"), a Delaware corporation having offices at 9980 Carroll Canyon Road, San Diego, California 92131. Recitals The following provisions are true and correct and form the basis of this Amendment: 1. On or about April 1, 1999 Purchaser and Motorola entered into a Communications System Agreement ("Agreement") for the sale by Motorola to Purchaser of a mobile data communications system and computer aided dispatch system under the terms and conditions specifically set forth in the Agreement. The Agreement is a public document on file in Purchaser's City Secretary's Office and referenced as City Secretary Contract No. 4aEtta04. 24Z?cam � 2. The parties hereto wish to enter into a change order in order to substitute one type of equipment for another; the Statement of Work attached to this Change Order reflects the addition of the DCI Predator II equipment, ancillary equipment and installation. Agreement NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, Purchaser and Motorola agree as follows: Luh°�s s'��,r11��1r1 M� 1. The parties hereby amend the Equipment List dated March 25, 1999 in the following respects: a) A total of 122 MW 520, 20 VRM650 and 20 Placer 400 455 GPS, along with associated hardware are hereby deleted from the Equipment List. The final Equipment List dated March 25, 1999, provided under Radio Modems that there were 122 F3455 VRM's and 122 L3073, Placer 450 Sensor Antenna bundles and further referenced under WS520/GPS, that there were 122 F5201's with V145, optional internal GPS receiver, and 122, Z167BD, GPS support for the MW520's. All of the foregoing are also hereby deleted from the Equipment List. b) A total of 102 DCI Predator II Rugged Mobile Computers and related ancillary equipment are hereby added to the Equipment List. A complete schedule of the equipment is attached hereto as Exhibit A-1, Equipment List, and a complete schedule of the ancillary equipment is attached hereto as Exhibit A- 2, Ancillary Equipment List, which exhibits are incorporated herein by this reference. The total number of 102 DCI units requested by the City and ordered by Motorola is based on an email dated July 13, 2000 from the City of Fort Worth to Motorola with an attached spreadsheet identifying 99 Fire Department vehicles for installation. The internal VRM's and GPS units would have been ordered for the City of Fort Worth Fire Department as options to the MW520, thus the quantity of 122 units. The VRM and GPS antenna bundle is considered ancillary equipment and has been referenced in this document as an exhibit to the original Motorola equipment list. The complete equipment package consists of the DCI PREDATOR II, the VRM 650, the Placer 450, antennae and ancillary equipment. 2. The parties hereby amend the Statement of Work dated March 30, 1999, by the addition of a Statement of Work, Supplemental Terms, dated August 18, 2000 with regard to the installation of the above referenced DCI Mobile Computer units, VRM 650's, Placer 455's, antennae, and ancillary equipment, all as set forth on Exhibits A-1 and A-2. 3. The City of Fort Worth will pay for the DCI Mobile Computer units and ancillary equipment pursuant to the terms of the Equipment Lease-Purchase Agreement attached hereto as Exhibit C and incorporated herein by this reference. 4. All other terms and conditions of the Agreement, as revised, which are not amended herein, shall remain in full force and effect. 5. All capitalized terms used but not defined in this Amendment shall have the same definitions as those given in the Agreement. Executed this ' F�day of June 2001. Predator II System Level Training Motorola/DCI will provide in depth training to 20 people, in 2 classes, 10 people per class. Training will consist of the following: 1. Installation and Removal: ■ Display ■ CPU ■ UPS ■ Keyboard 2. Set-Up and hardware operation ■ Programming of Function Keys ■ Bios Set-Up 3. Training ■ 20 people per contract, additional personnel at added cost ■ 20 complete sets of training aids and manuals to be provided. Motorola VRM 650 Training • Identify a VRM650 and determine models & options. • Disassemble and reassemble a VRM650 conforming to proper procedures. • Develop working knowledge of the circuitry of the data modem, Command, RF, VCO, PA and RF Front End boards. • Perform the necessary checks to insure that the radio is working within published specifications. • Align the radio, using a computer, the proper service aids and test equipment. Training for the VRM 650 will be scheduled for 20 City of Fort Worth technicians. Training aids and manuals will be provided. Trimble Placer 455 GPS Training Training for the Placer 455 is not offered at this time. Motorola will work with Trimble to secure in depth training for the Placer 455 GPS and will be scheduled for 20 City of Fort Worth technicians. Training aids and manuals will be provided. The City of Fort Worth may contract for additional levels of training as deemed appropriate. Training, or classes, can be developed as required to fit the City of Fort Worth needs. Unit 2 2q-m I Amendment No. 1 City of Fort Worth Contract No. G47-W, dated August 18, 2000 installation acceptance due under this Statement of Work is not contingent upon completion of this training. Training completion is necessary for final acceptance by the customer. Mobile Equipment 1. Motorola and the City of Fort Worth will group apparatus by manufacturer in order to minimize the installation time. Motorola/DCI will install a minimum of two (2)units per day based on scheduling. Installation is subject to the operational needs and demands of the Fort Worth Fire Department. 2. One fire apparatus will be available for the installation work at the Bolt Street facility at 8:00 AM and another one fire apparatus at 12:30 PM. Installation is subject to the operational needs and demands of Fort Worth Fire Department. Motorola/DCI has contracted resources to be available on site for accomplishing a minimum of two installations per day(standard 8- hour workday) for the duration of the Fire Department installations. Any additional time and resources required above and beyond two installations per day(standard 8-hour workday), will be at an additional cost to the City of Fort Worth, and will require five working days advance notice. 3. The Motorola/DCI project team will complete the following tasks during system installation: ■ Installation of display, keyboard, CPU and UPS with control panel, complete with Motorola VRM 650, Trimble Placer 455 GPS receiver, antennae and ancillary equipment. ■ Set unit configuration ■ Set system configuration ■ Verify MAKO software provided by Motorola ■ Verify master load of Windows NT 4.0 (provided by Motorola) ■ Install 96 Predator II, VRM650, Trimble GPS 455 receiver, NAVPAC 12 with Control Panel, antennae and ancillary equipment in fire apparatus units ■ Configure fully the set of six(6) spares (display, keyboard, CPU, complete with Motorola VRM650, Trimble Placer 455 receiver, antennae and ancillary equipment.) ■ The City of Fort Worth will be responsible for removing/and or relocating existing equipment prior to the installation of the Fire Department mobile data computers. Per the existing contract between Motorola and Fort Worth, dated 3/30/99, section 6.1.3.3 Mobile Equipment. "Motorola and/or its subcontractors will not be responsible for relocating any existing equipment to facilitate the installation of the terminals." 4. Norlen manufactures the Predator II mounting brackets. All installation pricing has been based on installation with these mounts. "If the proposed mount is not acceptable or specialized mounting is required, the cost to select and obtain more expensive mounting, the additional cost will be born by the City", as per the existing Motorola and Fort Worth contract, dated 3/3/99, section 6.1.4.4. 5. Prior to the start up of the Fire Department installations, Motorola, DCI and the City of Fort Worth will agree on an acceptance criteria procedure and sign-off for every completed installation. 3 z4 770 Amendment No. 1 City of Fort Worth Contract No. C+73fr4, dated August 18, 2000 6. The DCI Project Manager will work with the Motorola Project Manager on a day-to-day basis to keep him/her informed on items including, but not limited to, installation status, scheduling, outstanding issues, risks, dependencies and pending deliverables. 7. The DCI Project Manager will be responsible for project deliverables, project schedule, resource allocation and project reporting to the Motorola Project Manager, under this SOW and any resulting change orders to the original SOW. Project oversight will include, but not be limited to, weekly project status meetings. Motorola, as the prime contractor, will schedule these weekly project status meetings. The attendees at this project status meeting will consist of the Motorola Project Manager, DCI Project Manager, and if possible the DCI Account Executive. These weekly status meetings will be between Motorola and DCI. Information from each of these meetings will be included in the weekly status report supplied to the City of Fort Worth. The agenda of this meeting will consist of, but not be limited to, reviewing progress, dependencies, issues and changes. The Agenda will also include any actions required to mitigate or eliminate risks. Motorola, as the prime contractor, will set the agenda and will be responsible for the meeting minutes. Meeting minutes will be distributed and agreed to by both parties before finalization. Pertinent information will be included in the weekly status report submitted to the City of Fort Worth. The City of Fort Worth shall have the right to attend these meetings as an observer. The DCI Project Manager will also prepare and manage the monthly Managers meeting for Motorola, and DCI Management. Motorola, as the prime contractor, will set the agenda and will be responsible for the meeting minutes. Information from each of these meetings will be included in the weekly status report supplied to the City of Fort Worth. Meeting minutes will be distributed and agreed to by both parties before finalization. . Pertinent information will be included in the weekly status report submitted to the City of Fort Worth. Roles and Responsibilities The table below illustrates the high-level responsibilities for roles required by this project. Skills are included for Motorola/DCI Project Team members. Project Managers Project Managers,DCI . Address schedule and budget changes,both current and forecast Committee DCI/ Project Executive,DCI . Create conditions that enable the project organization to function Motorola Account Executive in the most efficient manner • Make decisions regarding the issues presented by the DCI Project Executive and the DCI/Motorola Project Managers • Review the high-level results of quality assurance reviews 4 24-77Z Amendment No. 1 City of Fort Worth Contract No. G47-364, dated August 18, 2000 Project Motorola . Responsible for overall strategic direction setting and Managers,DCI championing the project to other Motorola personnel and Motorola . Responsible for interfacing on a day to day basis with the DCI Project Manager Responsible for all Motorola/DCI deliverables and dependencies • Present project status to the Project Managers Committee • Designate staff members responsible for interim sign-off. Interim sign-off indicates commissioning of each vehicle and installation acceptance. • Obtain Project Managers Committee authorization to proceed at key project check points • Conduct project status meetings Account DCI . Motorola's interface to the DCI management team.Motorola will Executive interface to the DCI project manager. • Attends monthly Manager meeting as DCI representative. DCI project manager to manage DCI's portion of the FD installations, verify scheduling,and issue resolution shipping of product during implementation and quality control. Fort Worth City of Fort Worth . Provide vehicles for installs Project Manager • Acceptance of Motorola/DCI Installation Prepares fire apparatus schedules. The Fort Worth Fire Department will supply vehicles based on their operational needs and demand for the use of these vehicles. • Remove/relocate existing equipment prior to DCl/Motorola equipment installation. Project Manager Motorola/DCI • Responsible for project deliverables,dependencies,project schedule,resource allocation and reporting Presents project status to the Motorola Project Manager Tech Lead DCl/Motorola . Manage the resource to ensure schedules are met Provides same services as the Technicians • Handle defective product per manufacturer's specifications Provide status to DCI Service Manager. Specific individual to be determined. Technicians DCI/Motorola . Install Predator II and Motorola supplied equipment in fire apparatus. DCI to install the City provided NAVPAC 12 unit and Control Panel. • Provide status to DCI Tech Lead Perform installation as described in the SOW • Call DCI Tech Lead when an installation problem exceeds the 15 minutes window for addressing failure issues for the Predator II only. Motorola will install the VRM and GPS. 5 -2-4-1-7o —44, Amendment No. 1 City of Fort Worth Contract No. G#364rdated August 18, 2000 Motorola will be responsible for the installation of the Predator II, GPS and VRM into the vehicles. Motorola and DCI technicians will be on site to install this equipment into the fire apparatus. Repairs and installation problems with the GPS and VRM will be covered under Motorola's standard terms and conditions, during the installation and warranty period for these products. Repairs and installation problems with the DCI will be covered by DCI per subcontract with Motorola. Warranty on the DCI product is direct between the City of Fort Worth and DCI. DFW Communications is the proposed subcontractor for the Motorola VRM and GPS installation. DCI Responsibilities DCI will assume the following responsibilities during this project: • Coordinate and monitor all DCI project resources and activities associated with the project • Provide weekly and daily status reports (as needed) to the Motorola Project Manager as the project progresses • Promptly notify the Motorola Project Manager should any extraordinary system characteristics be discovered during the project • Promptly notify the Motorola Project Manager should any deviation or constraint be discovered during the project • At the beginning of the project, schedule a standard day and time for weekly status meetings • DCI will require a Project Manager from Motorola to available on a full time basis Monday to Friday, 8:00 AM to 5 PM CST. • Project time line schedule • Coordinate and schedule training on the Predator H, NAVPAC 12 and control panel. • DCI will install the City provided NAVPAC 12 and Control Panel. • DCI to install the Predator 11 mobile data computer and all ancillary equipment. Motorola and DCI will be working our install teams in conjunction to achieve optimum installation in each of the City of Fort Worth Fire apparatus. Motorola Responsibilities Motorola will assume the following responsibilities during this project: • Motorola will designate an individual to be Motorola's Project Manager to be a single point of contact with the authority to work with the DCI Project Manager on an as needed basis • Motorola will assign Subject Matter Expert to work with the DCI team on an as needed basis • Coordination and scheduling of fire apparatus as supplied by the Fort Worth Fire department. • Special Vehicle Consideration, Motorola/DCI will evaluate any out of scope vehicle installation applications and provide the City with recommendations and a quote for remedy, if required. • Coordinate and schedule training on both DCl/Motorola equipment. • Produce a training video for Front Line Fire vehicles (5-8 minutes in length) 6 2-4-7-7- Amendment No. 1 City of Fort Worth Contract No. G ft", dated August 18, 2000 • QRC (Quick Reference Card) Motorola will produce these cards from information provided by the vendor on the operation of the Predator II and will include operation of the MAKO software. The City and Motorola will develop this QRC together. • Provide training on VRM 650. Motorola offers a one-day field training class on the VRM650. Motorola has contacted World Wide Learning Services for a quote for this training. • GPS RECEIVER PLACER 455 Trimble offers no standard formal instructor led training on the Placer 455. Motorola will work with Trimble on developing a training package for the Trimble Placer 455 to be provided for the City of Fort Worth. • Motorola will be responsible for the installation of the VRM650 and the GPS Placer 455. These items will be installed in the vehicles after the Predator II is installed. Motorola and DCI will be working our install teams in conjunction to achieve optimum installation in each of the City of Fort Worth Fire apparatus. Status Reporting DCI will prepare and submit a weekly and/or a daily status report, as appropriate, to the Motorola Project Manager, and DCI personnel. Information from each of these reports will be included in the weekly status report supplied to the City of Fort Worth. All Motorola equipment will be covered under the standard Motorola warranty and as mentioned above,the CSA/Contract with the City of Fort Worth. Acceptance Motorola has overall project responsibilities for obtaining installation acceptance from the City of Fort Worth. Each vehicle will receive a sign off procedure. All parties, Motorola, DCI and the City of Fort Worth must sign this procedure the day of installation. Assumptions The following assumptions have been used in the preparation of this proposal. If these change, any or all of the estimates and costs may change. Requirements Assumptions—City of Fort Worth/Motorola The list below may not be all-inclusive and should not be construed to be a complete list of responsibilities to successfully implement all portions of unit installation. 1. Provide comments in writing to DCI documents distributed for review within 5 working days of distribution. If no response is received from Motorola within this time frame, the distributed document is deemed approved as is. This statement refers to documents between Motorola and DCI. The intent of the SOW was to address the DCI Predator II portion of this project. . 2. DCI has proposed their recommended mounting hardware for the Predator II. These are Norlen mounts. The Norlen mount has been supplied to the City of Fort Worth Fire 8 z4-7-7-0 41F,)-- Amendment No. 1 City of Fort Worth Contract No. G+7364, dated August 18, 2000 Department for their inspection. . "If the proposed mount is not acceptable or specialized mounting is required, the cost to select, obtain and install a mounting configuration other than the Norlen package will be born by the City of Fort Worth." DCI is the City of Fort Worth's vendor choice. Motorola is acting as a purchasing agent only for this product. All terms and conditions from the original contract are applicable. 3. The City of Fort Worth will move/relocate existing hardware, prior to delivery of vehicles to Motorola/DCI install team, to allow install of new computer system. The existing City of Fort Worth/Motorola Contract dated 3/30/99, section 6.1.3.3 Mobile Equipment states "Motorola and/or its subcontractors will not be responsible for relocating any existing equipment to facilitate the installation of the terminals." 4. The City of Fort Worth will make available to Motorola/DCI's install teams, a minimum of two (2) fire apparatus, per day, as described in the scope section of this document, at the Bolt Street facility. 5. The City of Fort Worth will provide facility for system level training and will provide a Class Room for training that will need to contain seating for 20 people, 110vac power outlets, and be located in the City of Fort Worth. Requirements Assumptions—DCI 1. The DCI provided equipment adheres to good engineering design practices regarding rejection of interference and spurious transmissions. This proposal does not account for the effects of elevated noise floors or inter-modulation products due to the potential of other RF systems co-existing in the vehicle. 2. DCI, at the request of Motorola, will perform additions, moves and changes (AMC) of Predator U system for a cost plus material policy. 3. Installations of the Predator U unit by DCI is estimated to take 3.5 to 4.0 hours per fire apparatus based on relocation of existing Hardware prior to installation start time Staffing and Management Assumptions 1. A Motorola executive will be available on a part time basis as Project Manager. Motorola, as the prime contractor will require a DCI project manager to be available on a full time basis. 2. Motorola/ City of Fort Worth will make available to DCI personnel the necessary space and power requirements to perform the tasks described in this proposal. 3. All installation work will be performed at the Bolt Street Fire Department maintenance facility. 4. Once the City of Fort Worth has approved a deliverable, the deliverable cannot be modified without Motorola's approval and will be subject to the Change Order process as per section 6.7.18 in the original contract between the City of Fort Worth and Motorola, dated 3/30/99. 5. DCI will work closely with Motorola to control costs (resources required and hours) and schedule variances through the Change Management process. DCI will obtain Motorola approval before proceeding with the implementation of any change order that will impact project cost, schedule or scope. This change order process may possibly extend to the City of Fort Worth. 6. 72 of the Predator H systems will be installed in various fire apparatus and these installations would take place at Bolt Street Fire Department maintenance facility. The remaining 24 units will be installed in fire support vehicles, such as Chevrolet Suburban, Ram and Ford apparatus. Access to Motorola Project Manager required for providing company information and direction is essential to the timely completion of this project during a Standard work day 8:00 am— 5:00 pm. 10. Timely access to the City of Fort Worth fire apparatus. For operational reasons no more than two apparatus can be out of service for installs at any point in the project. 11. Moving existing equipment by the City of Fort Worth. The standard work day shall include a 30 minute lunch and two 15 minute breaks. Motorola shall not be constrained to this standard work day if making up for self imposed delays. Union Statement Where it is necessary for Motorola personnel to interact with employees of the City of Fort Worth or any of its subcontractors that are members of a local, Town or national labor organization, The City of Fort Worth shall protect the right to work of Motorola's personnel and will be solely responsible for any coordination or compensation that results from any action or delay caused by the labor organization. Change Order Procedures Once the Statement of Work is approved and signed by authorized representatives of both the City of Fort Worth and Motorola, a formal Change Order Procedure will become effective. City Council approval is required for Change Orders in excess of$15,000. Motorola's project manager is the only individual authorized within the Motorola team to make changes that effect the scope of the project. The existing change order package in the contract will be utilized between the City of Fort Worth and Motorola. In no event shall any Change Order Procedure be contrary to or not in accordance with Section 3.B. of the Communications System Agreement. Warranty The DCI Rugged Mobile Computer(Predator II)unit has been tested for functionality with the Motorola RD-LAP 19.2kbps infrastructure. Additional testing was done with the unit and the Tiburon MAKO product to verify functionality in the City of Fort Worth's system. This is equipment is not certified by Motorola, and warranty on this product will be direct between the City of Fort Worth and DCI. Motorola's standard warranty applies to the Motorola equipment and services, as do the terms and conditions of the CSA/contract between the City of Fort Worth and Motorola dated 3/30/99. The UPS (NAVPAC 12 complete with control panel) is being installed by Motorola for the City of Fort Worth but is not covered by any Motorola warranty because the City of Fort Worth purchased this equipment based on feedback and specifications provided by Motorola/DCI. 15
