CITY SECRETARY PROFESSIONAL SERVICES AGREEMENT
BETWEEN CITY OF FORT WORTH
and
AskReply, Inc. dba B2Gnow
This Amendment is made between the City of Fort Worth ("City"), a municipal corporation,
acting herein by and through Susan Alanis, its duly authorized Assistant City Manager and
AskReply, Inc. dba B2Gnow("Consultant" or"Contractor"), an Arizona Corporation acting
herein through Justin Talbot-Stern, its duly authorized Chief Executive Officer.
WHEREAS,the City and Consultant entered into an Agreement identified as Fort Worth
City Secretary Contract No. 49493 ("Contract") for a period of twelve (12) months beginning
August 15, 2017; and
WHEREAS, the Contract provides for a robust and flexible Compliance Management
system using B2Gnow software in the key functional areas of vendor management, contract
compliance, utilization plans, goal setting, outreach management and economic development
management; and
WHEREAS, the Contract is not to exceed $56,900.00 for the first year; and
WHEREAS,it is the collective desire of both the City and Consultant to amend the Contract
by revising Exhibit A, Statement of Work, FEATURES AND FUNCTIONALITY section.
NOW, THEREFORE, City and Consultant, acting herein by and through their duly
authorized representatives, enter into this agreement which amends the Contract as follows:
1.
Exhibit A, Statement of Work, FEATURES AND FUNCTIONALITY:
a. Exchange the Utilization Plan module for the Bid Tracking module;
b. Increase the capacity for the Contract Compliance module from 250 active contracts
to 1,000 active contracts;
c. Remove Outreach and Event Management Module (100 Campaigns).
d. Contract Header interface removed.

Exhibit B, Project Pricing, Pricing Detail, Software and Support Annual Fee shall be
increased to $21,746.00.
Exhibit B, Project Pricing, Pricing Detail, Implementation one-time costs shall be
reduced to $29,537.00.
Total costs for the first year will be$51,283.00, below the original contract not-to-exceed
amount of$56,900.00.
3.
The changes reflected in this Amendment are itemized in Attachment A to this
Amendment and set forth the complete understanding of the parties. If there is any conflict
between this Amendment and any other provisions of the Contract, this Amendment shall
control.
5.
All other provisions of the Contract that are not expressly modified or amended herein
shall remain in full force and effect.
