POLITICO Pro Service Terms POLITICO Pro News Access: Client will have access to the policy area(s)selected below for 3 users. Policy Area(s): Agriculture Financial Services Campaigns Health Care Cybersecudty Labor&Employment Defense Tax Education Technology eHealth Trade Energy Transportation POLITICO Pro Legislative Compass Access: Client will have access to the POLITICO Pro Legislative Compass for up to 3 users. OFFICIAL RECORD CITY SECRETARY FT.WORTH,TX POLITICO Pro Rate: Rates are based on number of users and services/policy area(s) indicated above and are subject to change with the addition of users and/or policy areas. Rates do not include applicable sales tax. The rate is valid through 1125/2018. The rate for the policy areas specified above is: I Year 1 Services Annual Rate Federal POLITICO Pro News+ DataPoint+ Federal and $7,250 State POLITICO Pro Legislative Compass Access Year 1 Total $7,250 Year 2 Services Annual Rate Federal POLITICO Pro News+ DataPoint+ Federal and $7,250 State POLITICO Pro Legislative Compass Access Year 2 Total $7,260 Service Limitations: This agreement does not permit forwarding of POLITICO Pro content (i.e., newsletters, articles, whiteboards, congressional directory content, or legislative compass content) externally or to non-Users within City of Fort Worth, Texas. This Agreement expressly excludes auto- forwarding and manually forwarding POLITICO Pro content, and posting POLITICO Pro content on a website or intranet. Finally, users may not share their individual login and password with others. Invoicing: Notwithstanding Paragraph 3 above,the Preferred Rate will be invoiced: Type: Annual Date(s): 2018-1-25;2019-1-25 Service Interruption: In order to avoid a service interruption, signed renewals must be received by no later than fourteen (14)days prior to the Termination Date. Agreement for POLITICO Pro Services This Agreement("Agreement")is entered into as of the date listed below(Effective Date")by and between the organization listed below("Client")and POLITICO LLC"POLITICO Pro". 1. GRANT OF RIGHTS. This Agreement grants Client a non-exclusive, revocable, non-transferable, non-assignable worldwide license to use the POLITICO Pro services ("Services") as selected in Summary of Services. This Agreement permits only identified users to access and receive content from POLITICO Pro. 2. USER ID AND PASSWORDS I &hle% Pib will give Users a user ID and password. User ID and password credentials shall be stnc#y,Iimited,to t60 b6t pf el's for which Client purchases access. Sharing or transferring the User ID and password is prohibited without written permission from POLITICO Pro. 3. If f1/O CING....Cfient sh4ll,De a",1�ilPltlW, in advance, at the rate ("Rate") attached hereto for the selected Service(s): Payment shall be due`within 30'dAys ef`the invoice date. Accounts not paid within thirty(30)days of the invoice date shall be considered delinquent, in which case POLITICO Pro reserves the right to suspend provision of the selected Service(s) without prior notice. Client agrees to bear all reasonable costs, including attorneys' fees, that POLITICO Pro incurs to collect payment due hereunder. 4. TERM AND TERMINATION.This Agreement shall take effect as of the Effective Date and, unless earlier terminated pursuant to this Section 4, shall terminate on the date reflected below. This Agreement may be terminated before the expiration date on written notice by POLITICO Pro(i)at any time when Client's account may otherwise be suspended for delinquency pursuant to Section 3 of this Agreement; (ii) if Client materially breaches any non-payment provision of this Agreement and either the breach cannot be cured or, if the breach can be cured, it is not cured by Client within thirty(30) days after receipt of written notice of such breach; or (ii) if any Service(s)are no longer available, but only with respect to such unavailable Service(s). Following the termination of this Agreement pursuant to clause(ii)of the preceding sentence, POLITICO Pro shall promptly reimburse Client for any advance payments made by Client for any Services that have not and will not be delivered to Client following such termination. 5. COPYRIGHT. Client acknowledges that the POLITICO Pro content is copyrighted by POLITICO Pro or its licensors and that neither Users nor Client hereby obtains any rights whatsoever in the same. Neither Client nor Users shall directly or indirectly reproduce or otherwise distribute(in print,electronic,or intranet format)material appearing on the site or received via email without prior written permission from POLITICO Pro. 6. PRIVACY. To ensure electronic delivery accuracy and copyright compliance, POLITICO Pro may use tracking software,which may forward certain technical data and email usage information from any computer that opens the email to POLITICO Pro. POLITICO Pro will not share this information with anyone outside the company, nor will POLITICO Pro use it for any commercial purpose. More information about data collection practices is available at http:/twww.politico.com/privacy/. 7. GENERAL_ Neither this Agreement nor any part or portion hereof shall be assigned or otherwise transferred by either without the other party's prior written consent. Should any provision of this Agreement be held to be void, invalid, unenforceable or illegal,it shall be severed from this Agreement and the remaining terms shall remain in full force and effect. All notices hereunder shall be sent,certified mail,to POLITICO Pro at 1000 Wilson Blvd., Eighth Floor,Arlington,VA 22209, and to Client at the mailing address provided in this Agreement. 8. PUBLICITY.Client agrees that POLITICO Pro may use Client's name in POLITICO Pro's marketing materials or communications(including,but not limited to, POLITICO Pro's website and in POLITICO Pro's marketing presentations)for the sole purpose of indicating Client as a user of the Services.
