EXTENSION AND AMENDMENT TO THE CONTRACT WITH TOTER LLC FOR
THE PURCHASE,DELIVERY AND MAINTENANCE OF GARBAGE,RECYCLING
AND YARD WASTE CARTS KNOWN AS CITY SECRETARY CONTRACT NO.46509
This Extension and Amendment to the contract with Toter, LLC for the purchase,
delivery and maintenance of garbage, recycling and yard waste carts known as City Secretary
Contract No. 46509 ("Contract') is made and entered into by and between the City of Fort
Worth, a home-rule municipal corporation in Tarrant, Denton, Parker and Wise Counties,Texas,
acting herein by and through Fernando Costa, its duly authorized Assistant City Manager,
hereinafter called "City", and Toter, LLC, duly authorized to do business in Texas, acting herein
by and through Scujjg5 W, PjC ett , its duly
authorized Yj'a Pfe-c,) l�, sci(c,�, , hereinafter called "Contractor."
WITNESSETH:
WHEREAS, the City and Contractor entered into a Contract for the purchase, delivery
and maintenance of garbage, recycling and yard waste carts which expires on January 30, 2018;
and
WHEREAS, the Code Compliance Division has been diligently assessing whether to
procure a new contract or enter into another negotiated contract with the Contractor;and
WHEREAS, Contractor is able to offer continued services to the City through a
cooperative agreement and the parties are currently negotiating such agreement; and
WHEREAS, in order to provide a continuity of solid waste services crucial to the City
staff is requesting a three month extension of the current Contract to continue negotiation with
the Contractor.

NOW, THEREFORE, for and in consideration of the mutual covenants contained
herein, and other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged and confessed,the parties hereto agree as follows:
1. Extension of Obligations in Article 4 of the Contract.
The City and Contractor hereby agree to extend the term of this Contract to April
30,2018.
2. Not To Exceed Amount
The not to exceed amount for this Contract shall be increased by$250,000 to
compensate the Contractor for its services during the three month extension.The
amended contract amount shall be$1,552,250.
3. Miscellaneous.
Nothing contained herein shall be deemed to amend or modify the Contract,
except as expressly set forth herein. Any capitalized term used herein, but not
defined herein, shall have that meaning set forth in the Contract.
