In the event of any inconsistencies between this ordering document(excluding exhibits)and any attached exhibits,the exhibits shall take precedence,however,in all events DIR Contract No.DIR-TSO-2539 shall prevail. 3. Change Control Process. Any request for any change in Services must be in writing; this includes requests for changes in project plans, scope, specifications, schedule, designs, requirements, service deliverables, software environment,hardware environment or any other aspect of Your order. Oracle shall not be obligated to perform tasks related to changes in time, scope, cost, or contractual obligations until You and Oracle agree in writing to the proposed change in an amendment to this ordering document and/or applicable exhibit(s). 4. Ordering Document Definitions. 4.1 "Technical Cloud Services" means, collectively, the Cloud Services-related technical Services which You have ordered under this ordering document. 4.2 "Services" for purposes of this ordering document shall have the same meaning as the term "Technical Cloud Services". Accordingly,notwithstanding any provision or interpretation of the Agreement to the contrary,for purposes of this ordering document,the term"Services"does not include any Cloud Services. 4.3 "Service Specifications"as used in the Agreement means any exhibit(s) attached to this ordering document. 5. Assignment of this Ordering_Document Notwithstanding anything to the contrary in the agreement or this Ordering Document,you may not assign this Ordering Document or give or transfer the Services, or an interest in them, to another individual or entity. If you desire that Services be acquired by another entity, such other entity may order services under a separate contract. You may not grant a security interest in any of the Services. Notwithstanding the foregoing,upon advance written notice to Oracle, You may assign your rights to the Services under this Ordering Document to another governmental agency as designated by the Texas Legislature (i) that is a successor in interest to you that performs your statutory obligations, or (ii) as necessary to satisfy a regulatory requirement imposed upon you by a governing body with the appropriate authority; provided that(w) such assignee entity agrees in writing to the terms and conditions of the agreement and the Ordering Document, (x) You provide Oracle will all consents necessary for the assignee to access Your Content, Your Applications, and any other of Your materials in Oracle's possession,(y)the assignment does not result in any change in Oracle's rights and obligations under this Ordering Document (including with respect to the Services), or expand, modify or otherwise alter any use or component of the Services or Services Environments provided under this Ordering Document,and(z)following the assignment,You shall immediately discontinue use of the Services acquired under this Ordering Document. Description of Services. Oracle will assist You for up to thirty six(36)person days with the following Services: A. Project initiation and Cloud mifration readiness.-Conduct Oracle Project initiation and Cloud migration readiness activities,which shall consist of the following: 1. Prepare for the project by creating a draft project schedule, a draft project staffing plan and a draft project forecast(collectively the"project plan"). 2. Facilitate the remote project kickoff meeting to review the project plan. 3. Collaborate with You to create an application upgrade plan from Your current state Oracle Primavera PPM P6 v6.2 environment("current state P6 environment")to the future state Oracle Primavera PPM P6 v17.x Cloud environment ("future state P6 Cloud environment"). 4. Provide an Oracle Cloud migration readiness assessment report for the migration of the current state P6 environment into the future state P6 Cloud environment. B. Cloud staging environment upgrade and build. -Upgrade from your current state Oracle Primavera P6 environment to the future state P6 Cloud environment within an Oracle Cloud staging environment("P6 Cloud staging environment"),which shall consist of the following: 1. Obtain a copy of Your current state P6 environment. 2. Upgrade Your current state P6 environment to the P6 Cloud staging environment. 3. Configure the P6 Cloud staging environment with P6 web components. 4. Validate the standard functionality of the P6 Cloud staging environment and perform a data integrity review. 5. Provide the upgraded P6 database schema to the Oracle Cloud team to perform a database restore/refresh into the P6 Cloud staging environment. C. User acceptance testing(UAT)-UAT assistance which shall consist of the following: 1. Provide the uniform resource locator("URL")for the P6 Cloud staging environment to You for Your UAT. 2. Provide up to two(2)person days of remote assistance for Your UAT related to technical issues encountered in the P6 Cloud staging environment. 3. Configure up to three(3)instances of Primavera PPM 17.x Professional Client to connect to the P6 Cloud staging environment utilizing P6 Cloud Connect for UAT. D. Cloud production environment upgrade and build-Migrate the P6 Cloud staging environment to the Oracle Cloud production environment("P6 Cloud production environment"),which shall consist of the following: 1. Obtain a final and updated copy of Your upgraded P6 database schema from Your current state P6 environment. 2. Upgrade Your current state P6 environment to the P6 Cloud production environment. Utilizing Oracle Services scripts,provide up to two(2)person days to test the standard functionality of the P6 Cloud production environment and perform a data integrity review. 4. Upgraded P6 database schema to the Oracle Cloud team to perform a database restore/refresh in the P6 Cloud production environment. E. Primavera team member Training and go-live assistance-Perform Primavera team member component training and post go-live assistance,which shall consist of the following: 1. Instructor led Oracle Primavera P6 Fundamentals and Primavera team member training for three(3)person days and for up to twelve(12)of Your participants. 2. Go-live assistance,which shall consist of the following: a. Creation of a`Go Live Deployment Plan' document,which lists the sequential tasks and responsible organization for migrating the current state P6 environment to the P6 Cloud production environment; and b. Providing production cutover mock planning,which determine the durations of tasks and potential deployment issues prior to actual production deployment to Your Oracle Primavera P6 Cloud production environment. 2. Your Obligations and Project Assumptions. You acknowledge that Your timely provision of and access to office accommodations, facilities, equipment, assistance, cooperation, complete and accurate information and data from Your officers, agents, and employees, and suitably configured computer products(collectively,"cooperation")are essential to the performance of any Services as set forth in this exhibit. Oracle will not be responsible for any deficiency in performing Services if such deficiency results from Your failure to provide full cooperation. You acknowledge that Oracle's ability to perform the Services and any related estimate depends upon Your fulfillment of the following obligations and the following project assumptions: A. Your Obligations. 1. Obtain Cloud Services under separate contract prior to the commencement of Services under this exhibit and maintain such Cloud Services for the duration of the Services provided under this exhibit. 2. Provide Oracle with full access to relevant functional,technical and business resources with adequate skills and knowledge to support the performance of Services. 3. Provide, for all Oracle resources performing Services at Your site, a safe and healthful workspace (e.g., a workspace that is free from recognized hazards that are causing, or likely to cause, death or serious physical harm,a workspace that has proper ventilation,sound levels acceptable for resources performing Services in the workspace,and ergonomically correct work stations,etc.). 4. Provide any notices,and obtain any consents,required for Oracle to perform Services. 5. Limit Oracle's access to any production environment or shared development environments to the extent necessary for Oracle to perform Services. 6. As required by U.S.Department of Labor regulations(20 CFR 655.734),You will allow Oracle to post a Notice regarding Oracle H-1 B employee(s)at the work site prior to the employee's arrival on site. 7. If while performing Services Oracle requires access to other vendor's products that are part of Your system, You will be responsible for acquiring all such products and the appropriate license rights necessary for Oracle to access such products on your behalf. 8. If Services are provided remotely, Oracle resources may provide Services via phone, a customer-specific web portal (if ordered), and/or electronic communication. You agree that Oracle resources may access Your systems, throughout the performance of Services, using an Oracle defined standard virtual private network ("VPN")or Oracle Web Conference("OWC"). If a network connection between Oracle and Your systems is required for Oracle resources to perform Services under this exhibit, You will provide access to Oracle as follows: US-OD-6959700-CityofFortWorth-08Feb2018-rbrink-v5 Page 4 of 6 a. You are responsible for ensuring that (i) Your network and systems comply with specifications Oracle provides, (ii) all components of Your Oracle software environment are accessible through the VPN or OWC, and(iii)the VPN is installed in a timely manner for Oracle to perform the Services. b. You are responsible for acquiring and maintaining any equipment and performing any labor and/or activities necessary to set-up and maintain network connectivity at and to Your Oracle environment. c. You will provide and maintain user accounts for,and access to,the VPN for the Oracle resources,including but not limited to,Oracle's onsite remote and offshore(i.e.,located outside of the United States)resources. Oracle is not responsible for network connections or for issues, problems or conditions arising from or related to network connections, such as bandwidth issues, excessive latency, network outages, and/or any other conditions that are caused by an internet service provider, or the network connection. If Your VPN client software and/or VPN infrastructure fails to allow Oracle access to perform Services under this exhibit, You agree to pay for any increased costs resulting from Your failure. Oracle will prepare an amendment to this exhibit for the change in the Services and fees resulting from such failure. If You do not review and approve such amendment within five (5) days after Your receipt thereof, Oracle may terminate its performance of Services under this exhibit. 9. Documentation(project/process/infrastructure)is readily available and provide for review before start of work. 10. Provide access to a live environment replicating the test environment to review the implementation. 11. Resolve data integrity issues discovered in your database. 12. Work directly with Oracle Support on all product related issues. 13. Provide a classroom for the conducting of the training courses. 14. The classroom will have an overhead projector and connectivity to Your P6 v17.x training environment. B. Project Assumptions 1. The parties acknowledge and agree that the performance of Services does not require or involve the processing of personal data. 2. Services described in this exhibit will be performed at Your facilities in Fort Worth,TX and offsite from other locations. Oracle and You will collaboratively determine where specific tasks will be performed. 3. A person day is defined as one(1)resource working up to eight(8)hours. 4. The schedule will be managed collaboratively by You and Oracle and will be subject to change based on the availability of Your and Oracle resources. 5. Changes in the scope of Services specified in Section 1 "Description of Services"above,including but not limited to additional requirements,changes will be handled via Oracle's standard change control process as set out at section 3. "Change Control Process"of the ordering document. 6. Oracle will work with Your project manager to adjust project phases and outputs as appropriate using Oracle's standard change control process as set out at section 3. "Change Control Process"of the ordering document.. 7. Oracle will use standard templates for outputs. 8. An environment consists of one(1)P6 v6.2 instance. 9. Oracle project management time is assumed to include the following in accordance with Oracle's Unified Method("OUM"): a. Resource requests,orientation,and management b. Financial forecasting and management c. Preparation and participation for project kickoff and customer sponsor meetings; d. Preparation of weekly and monthly status reports e. Maintenance of the risk and issue logs f. Change request management 10. User access to the Oracle Primavera P6 v17.x training environment containing the Oracle training database will be via generic user accounts. 11. P6 v17.x SSL configuration is out of scope. 12. The training Database Base that will be used for the P6 Fundamentals Training will only contain standard Oracle data. 13. The training class will contain no more than twelve(12)participants. The Services specified above are provided on a time and materials("T&M")basis;that is,You shall pay Oracle for all of the time spent performing such Services,plus materials,taxes (if applicable)and expenses. B. U.S. Resources. The Services described above shall be provided at Oracle's standard technical rates in effect when such Services are performed and in accordance with Appendix C, Pricing Index of DIR Contract No. DIR-TSO-2539. All fees and expenses will be invoiced monthly. The fee estimate for labor performed under this exhibit is $70,532.35;the estimate for pre-approved travel and out of pocket expenses is an additional $15,000.00. These estimates and any other estimates related to this exhibit are intended only to be for Your budgeting and Oracle's resource scheduling purposes;these estimates do not include taxes. Oracle will invoice You for actual time spent performing the Services,plus materials, and taxes(if applicable) and expenses; such invoice may exceed the total estimated amount documented above. Once fees for Services reach the estimate,Oracle will cooperate with You to provide continuing Services on a T&M basis. 4. Project Management. You and Oracle each agree to designate a project manager who shall work together with the other party's project manager to facilitate an efficient delivery of Services.
