HomeMy WebLinkAboutContract 31533-R1A1 • CITY SECRETARY FORTWORTH CONTRACT N0.44 �'ay cFj� cr�ar 92 d 0 CrsFC9l1'Oq PUBLIC EVENTS DEPARTMENT/WILL ROGERS MEMORIAL CENTER 9y 3401 WEST LANCASTER AVENUE, FORT WORTH,TEXAS 76107 RENEWAL AND AMENDMENT TO CITY SECRETARY CONTRACT NO. 31533 A LICENSE AGREEMENT WITH NATIONAL CUTTING HORSE ASSOCIATION This RENEWAL AND AMENDMENT TO CITY SECRETARY CONTRACT NO.31533("Renewal and Amendment") is made and entered into by and between the City of Fort Worth ("City"), a home-rule municipal corporation, acting herein through its duly authorized Assistant City Manager, and National Cutting Horse Association ("Licensee"), acting herein by and through its duly authorized representative. WHEREAS, on March 25, 2005, City and Licensee entered into City Secretary Contract ("CSC") No. 31533 for the purpose holding the Super Stakes&Super Stakes Classic,the Summer Cutting Spectacular and the World Championship Futurity at certain facilities in the Will Rogers Memorial Center("Agreement"); WHEREAS, the primary term of the Agreement was for five years, effective beginning on or about March 28, 2005 and expiring on December 31, 2009; WHEREAS,the Agreement provides that, on January 1 of each year beginning in 2008, one additional year will be automatically added to the end of the initial term, unless either party gives written notification of its intent to terminate; WHEREAS, the parties desire to memorialize the current automatic renewal term to ensure that both parties understand the current status of the Agreement and beyond; WHEREAS, the parties also desire to memorialize the specific dates, available facilities, and rental fees for Licensee's 2018-2028 events; WHEREAS, the parties wish to add and remove certain facilities from the list of available facilities for future Events; WHEREAS, the parties wish to amend the annual incentive program to address future events; and NOW, THEREFORE, City and Licensee for and in good and valuable consideration of the mutual covenants and agreements contained herein, do mutually covenant and agree that the Agreement is hereby amended as follows: I. RENEWAL Licensee and City agree that the Agreement has been automatically renewed and extended through December 31, 2019. II. AMENDMENTS 1. Addendum A, "FACILITIES", Section I. concerning the facilities to be licensed, along with the contracted dates, for the National Cutting Horse Association Super Stakes & Super Stakes Classic, is hereby amended for the purpose of adding and memorializing the facilities and rental dates for 2018-2020 and shall read as follows: OFFICIAL�REECORD Renewal and Amendment of CSC 31533 CITY i IKTARY 1 of 1 re I"No TX "c. YEARS 2018-2020 1. Facilities L Will Roqers Coliseum (including base dirt) ii. Burnett Building a. Includes all stalls, Vet Clinic, office areas, exercise area and cattle pens if needed. iii. Richardson-Bass Buildinq a. Includes John Justin Arena, James L. and Eunice West Arena, Coburn Room, all stalls, all available meeting rooms and office areas. iv. Central and East Texas Room a. Licensee shall have the right to use the West Texas Room to facilitate commercial vendor move-in, if it is available. V. Cattle Barn 3, 4 and Swine Barn vi. The Pavilion with approximately 128' x 250' arena vii. Equestrian Multi-Purpose Building a. Includes two arenas and all stalls if needed. viii. Silver Spur a. This room is included for use at no additional rental charge for seven (7) days during the Event show days; however, Licensee must call in advance to verify availability and reserve room. ix. South Texas a. This room is included for use at no additional rental charge for one (1) day during the Event show days; however, Licensee must call in advance to verify availability and reserve room. X. Charlie and Kit Moncrief Building a. Includes W.R. Watt Arena, French and McFarland Rooms, all stalls, exercise arena and all available office areas. b. These facilities are included for use at no additional rental charge(except for stalls which will be charged per stall used) for one (1) move in, two (2) show days and one (1) move out day during the Event; however, Licensee must call in advance to verify availability and reserve space. 2. Rental Dates i. 2018 a. March 26-27: Staff move in to office areas, arenas, and commercial exhibit areas only at no charge b. March 28-29: Move in and exercise beginning at 7:00 a.m. (1) Any livestock arriving on show grounds prior to 7:00 a.m., March 26 will be considered early arrivals. C. March 30—April 21: Show Dates d. April 22-23: Move out must be completed by 12:00 a.m. ii. 2019 a. March 25-26: Staff move in to office areas, arenas, and commercial exhibit areas only at no charge b. March 27-28: Move in and exercise beginning at 7:00 a.m. (1) Any livestock arriving on show grounds prior to 7:00 a.m., March 25 will be considered early arrivals. C. March 29—April 20: Show Dates d. April 21-22: Move out must be completed by 12:00 a.m. iii. 2020 a. March 23-24: Staff move in to office areas, arenas, and commercial exhibit areas only at no charge b. C. March 27—April 18: Show Dates d. April 19-20: Move out must be completed by 12:00 a.m." 2. Addendum A, "FACILITIES",Section II.concerning the facilities to be licensed,along with the contracted dates, for the National Cutting Horse Association Summer Cutting Spectacular, is hereby amended for the purpose of adding and memorializing the facilities and rental dates for 2018-2020 and shall read as follows: "c. Round Up Inn a. This room is included for use at no additional rental charge for one (1) day Youth Cutting event during the Event show days; however, Licensee must call in advance to verify availability and reserve room. 2. July 12-14: Move in and exercise beginning at 7:00 a.m. (1) Any livestock arriving on show grounds prior to 7:00 a.m., July 9 will be considered early arrivals. C. July 15—August 5: Show Dates d. August 6: Move out must be completed by 12:00 a.m. ii. 2019 a. November 12-13: Move in and exercise beginning at 7:00 a.m. (1) Any livestock arriving on show grounds prior to 7:00 a.m., November 12 will be considered early arrivals. November 18: Staff move in to office areas, arenas, and commercial exhibit areas only at no charge b. November 19-20: Move in and exercise beginning at 7:00 a.m. (1) Any livestock arriving on show grounds prior to 7:00 a.m., November 18 will be considered early arrivals. C. November 21 —December 15: Show Dates d. December 16: Move out must be completed by 12:00 a.m. iii. 2020 a. November 16: Staff move in to office areas, arenas, and commercial exhibit areas only at no charge b. November 17-18: Move in and exercise beginning at 7:00 a.m. (1) Any livestock arriving on show grounds prior to 7:00 a.m., November 16 will be considered early arrivals. C. November 19—December 13: Show Dates d. December 14: Move out must be completed by 12:00 a.m. 3. 2021 and Beyond i. Should the term of this Agreement extend past 2020,the parties agree to execute an addendum or amendment to the Agreement setting forth the facilities and rental dates applicable to any such term." 4. Addendum A, "FACILITIES", Section IV. concerning the rental fee for the facilities is hereby amended to set forth the rental fee for Events through 2028 "IV. As rental for the facilities and services used pursuant to this Agreement, Licensee agrees to pay City as follows (each a"Rental Fee"): A. $5,050 per show day for use of facilities and dates listed in Section I.A, B, and C. (excluding stalls) for the presentation of The National Cutting Horse Association Super Stakes & Super Stakes Classic. Beginning in 2021, the Rental Fee will be$5,300 per show day for use of the facilities listed in Section I.0 (excluding stalls) for the presentation of the 2021-2023 National Cutting Horse Association Super Stakes&Super Stakes Classic should the applicable renewal options be exercised. Beginning in 2024, the rental fee will be$5,550 per show day for use of the facilities listed in Section LC (excluding stalls) for the presentation of the 2024-2028 National Cutting Horse Association Super Stakes & Super Stakes Classic should the applicable renewal options be exercised. B. $5,590 per show day for use of facilities and dates listed in Section 11. A, B, and C (excluding stalls) for the presentation of The National Cutting Horse Association Summer Cutting Spectacular. Beginning in 2021, the rental fee will be $5,870 per show day for use of the facilities listed in Section II.0 (excluding stalls)for the presentation of the 2021-2023 National Cutting Horse Association Summer Cutting Spectacular should the applicable renewal options be exercised. Beginning in 2024, the Rental Fee will be $6,150 per show day for use of the facilities listed in Section ILC (excluding stalls) for the Renewal and Amendment of CSC 31533 5 of 12 presentation of the 2024-2028 National Cutting Horse Association Summer Cutting Spectacular should the applicable renewal options be exercised. C. $8,030 per show day for use of facilities and dates listed in Section III. A, B, and C (excluding stalls) for the presentation of the National Cutting Horse Association World Championship Futurity. Beginning in 2021, the Rental Fee will be$8,430 per show day for use of facilities listed in Section III.0(excluding stalls) for the presentation of the 2021-2023 National Cutting Horse Association World Championship Futurity should the applicable renewal options be exercised. Beginning in 2024, the Rental Fee will be $8,830 per show day for use of facilities listed in Section III.0 (excluding stalls) for the presentation of the 2024-2028 National Cutting Horse Association World Championship Futurity should the applicable renewal options be exercised. D. In the event that Licensee desires to rent stalls during any of the Events, then Licensee shall pay the rates set forth in the Rental Rate Schedule set forth below." 5. Addendum A, "RENTAL RATE SCHEDULE", is hereby amended for the purpose of setting forth the rental rate schedule for the use of the facilities during Licensee's 2018-2020 Events and for any further renewal term(s) through 2028, plus the use of any additional City facilities not set forth in Addendum A, Section I.A., II.A. and III.A above and shall read as follows: "RENTAL RATE SCHEDULE FOR ADDITIONAL EVENT FACILITIES OR EVENT DATES (2018-2028) I. If Licensee wishes to use any of the facilities at the Will Rogers Memorial Center outside of the dates listed in Exhibit A, Sections I.C, II.C., and III.C. or desires the use of any additional City facilities not set forth in the same Sections,then Licensee shall pay the rates listed below: A. Will Rogers Coliseum i. $500 -Per Move In or Move Out Day ii. $750 -Per Exercise Day (12 hours climate controlled) iii. $1,500 - Per Show Day(All show hours climate controlled) B. Backstage Club i. $300 Per Move In or Move Out Day ii. $600 Per Show Day C. Burnett Building Stalls i. $55- Per stall used in years 2018 through and including 2020 ii. $65-Per stall used in years 2021 through and including 2024 if the applicable renewal option(s) are exercised. iii. $70- Per stall used in years 2025 through and including 2028 if the applicable renewal option(s) are exercised. iv. There will be a $25.00 per stall per day early move-in fee charged for each stall occupied prior to 7:00 a.m. on the first move-in day in each respective year contracted. D. Burnett Cattle Pens i. $150 Per Move In or Move Out Day ii. $350 Per Show Day Renewal and Amendment of CSC 31533 6 of 12 E. Brown-Lupton North and/or South Exhibits Areas i. $100- Per Move In or Move Out Day ii. $300 -Per Show Day (All show hours climate controlled) H. Coburn Room and all office area i. No charge during all contracted dates I. Charlie & Kit Moncrief Building Stalls i. $55-Per stall used in years 2018 through and including 2020 ii. $65-Per stall used in years 2021 through and including 2024 if the applicable renewal option(s) are exercised iii. $70- Per stall used in years 2025 through and including 2028 if the applicable renewal option(s) are exercised. ivi. There will be a $25.00 per stall per day early move-in fee charged for each stall occupied prior to 7:00 a.m. on the first move-in day in each respective year contracted. L. W. R. Watt Arena i. $250 -Per Move In or Move Out Day ii. $500-Per Exercise Day(12 hours climate controlled) iii. $1,000- Per Show Day (All show hours climate controlled) M. French and McFarland Rooms i. $50- Per Move In or Move Out Day ii. $150 -Per Show Day (All show hours climate controlled) N. Cattle Barn 1, 2, 3, and 4 i. $55-Per stall used in years 2018 through and including 2020 ii. $65- Per stall used in years 2021 through and including 2024 if the applicable renewal option(s) are exercised iii. $70- Per stall used in years 2025 through and including 2028 if the applicable renewal option(s) are exercised. There will be a $25.00 per stall per day early move-in fee charged for each stall occupied prior to 7:00 a.m. on the first move-in day in each respective year contracted. Q. The Pavilion with arena (approximately 125' x 250' in size) i. $500 -Per Move In or Move Out Day ii. $500 -Per Exercise Day iii. $1,000- Per Show Day R. Swine Barn i. No charge during all contracted dates S. Show Arena i. $100 - Per Move In or Move Out Day ii. $300—Per Show Day T. Small Exhibits Building i. $250—Per move in and move out day ii. $500—Per show day iii. $55-Per stall used in years 2018 through and including 2020 iv. $65-Per stall used in years 2021 through and including 2024 if the applicable renewal option(s) are exercised V. $70-Per stall used in years 2025 through and including 2028 if the applicable renewal option(s) are exercised. vi. There will be a $25.00 per stall per day early move-in fee charged for each stall occupied prior to 7:00 a.m. on the first move-in day in each respective year contracted. U. East and Central Texas Rooms or West Texas Room in Amon G. Carter Jr. Exhibits Hall i. $300—Per move in and move out day ii. $1,250—Per show day(all show hours climate controlled) V. Texas Room in Amon G. Carter Jr. Exhibits Hall i. $500— Per move in or move out day ii. $2,500—Per show day (all show hours climate controlled) W. Round Up Inn i. $300—Per move in or move out day ii. $850—Per show day X. South Texas or Will Rogers Suite i. $400—Per show day Renewal and Amendment of CSC 31533 8 of 12 Y. Silver Spur i. $200—Per show day Z. Right of First Refusal of Certain Additional Facilities i. Super Stakes & Super Stakes Classic a. Licensee shall have right of first refusal to rent the Round Up Inn, South Texas and Silver Spur Rooms, Brown-Lupton North and South Rooms, , and all facilities in the Charlie and Kit Moncrief Building during the Super Stakes& Super Stakes Classic. ii. Summer Cutting Spectacular a. Licensee shall have right of first refusal to rent the Round Up Inn, South Texas, and Silver Spur Rooms, Brown-Lupton North and South Rooms during the Summer Cutting Spectacular. iii. World Championship Futurity a. Licensee shall have right of first refusal to rent the Round Up Inn and South Texas Rooms, Brown- Lupton North and South Rooms, Show Arena and Small Exhibits Building during the World Championship Futurity. iv. In the event the City notifies Licensee of a third-party request to rent any of the additional facilities listed in this section and subject to a right of first refusal, the Licensee must exercise its right of first refusal within ten (10) business days after the City sends written notice to the Licensee. If the Licensee does not exercise its right of first refusal in a timely manner, then the City shall have the right to rent out such facilities to another party. Z. Portable Stalls i. Licensee must rent portable stalls directly from City or City's current contracted vendor. ii. Licensee must pay for all portable stalls ordered whether used or unused at the contracted rate in effect at the time of order. Licensee understands and agrees that, if for any reason the City's contractor defaults on its contract with City to provide stalls, Licensee agrees to pay the cost per stall charged to City by any replacement vendor. City agrees to use its best effort to obtain the lowest market price available from replacement vendor to provide portable stalls. iii. Licensee must use and pay rental for all City-owned stalls prior to ordering and occupying portable stalls from the City's current contract vendor. AA. All events must end by midnight unless otherwise stated on the Agreement and insurance certificate. City will invoice the Licensee at a rate of$200.00 per hour for any additional hour(or portion thereof) Renewal and Amendment of CSC 31533 9 of 12 in which Licensee occupies space rented for show or Event activities between the hours of 12:00 midnight and 7:00 a.m. BB. Any additional dates or facilities requested by Licensee must first be verified by City for availability and will be invoiced at the rates set forth in the Rental Rate Schedule per space and date added. The City reserves the right to rent the additional facilities listed in this section to anyone at anytime, except as otherwise agreed to herein. CC. Unless otherwise set forth in this Agreement or agreed to by the parties in writing, the rental rate schedule set forth above shall remain in effect throughout the remaining term of this Agreement, including, without limitation, any renewal terms beyond 2019. Prior to revising the rental rate schedule, or any portion thereof, the parties agree that they will enter into good-faith negotiations at least eight months in advance of executing such revisions; provided, however, that such timeline will not prevent the parties from executing a mutually agreeable amendment prior to the expiration of such eight month period." 6. Addendum A, "PAYMENT SCHEDULE", is hereby amended by adding subsection 3 for the purpose of setting forth the payment schedule for Licensee's 2018-2020 Events and shall read as follows: "3. YEARS 2018 through 2020 a. Licensee shall pay a non-refundable Rental Fee deposit of$5,000.00 by no later than 60 calendar days prior to each Event in each contracted year. b. Licensee shall pay in full any remaining balance owed to the City within thirty (30) calendar days after receipt of an invoice for final charges from the City for each Event in each contracted year, which includes, without limitation, any remaining Rental Fee and any additional fees set forth in this Addendum A, including, without limitation, shavings, commercial exhibit/vendor space, clean-up, sound system, trailer/RV parking, and the rental of any additional facilities. C. Any and all payments shall be made payable to the City of Fort Worth at the office of the Director at Will Rogers Memorial Center." 7. Addendum A, "ANNUAL INCENTIVE", is hereby amended to revise the incentive through 2023 and shall read as follows: "ANNUAL INCENTIVE I. Subject to the terms of this section, City agrees to apply an Eighty-five Thousand Dollar ($85,000.00) credit per year for the 2018-2020 Events against Rental Fees and additional charges. For 2021-2028 Events, the incentive will be credited as follows: a. 2021 Events: $75,000 b. 2022 Events: $65,000 c. 2023 Events: $55,000 d. 2024 Events: $45,000 e. 2025 Events: $35,000 f. 2026 Events: $25,000 g. 2027 Events: $15,000 h. 2028 Events: $5,000. Renewal and Amendment of CSC 31533 10 of 12 II. The annual credit may be applied against any of the three events in a given year at the City's discretion. By way of example only, the City may apply the $85,000.00 credit for the 2018 Events either equally among the World Championship Futurity, Super Stakes & Super Stakes Classic, and Summer Cutting Spectacular or the City may apportion the same credit on an unequal basis among the three events. In no event shall the annual credits exceed the amount set forth above. III. The parties acknowledge and understand that the incentives included in this section do not include any incentives associated with the Major Events Reimbursement Program." 8. Addendum A, "PROPOSED ADDITIONAL ARENA" and "SECURITY", are no longer applicable and are hereby deleted in their entirety from this Agreement. 9. Addendum A, "ADDITIONAL LICENSE AGREEMENT TERMS", Section 2. "COMMERCIAL EXHIBITOR/VEMDOR SPACE", is hereby amended and shall read as follows: "2. COMMERCIAL EXHIBITORIVENDOR SPACE I. Licensee will be invoiced $50.00 per designated inside commercial exhibitor/vendor space for use by approved commercial exhibitors. This fee does not apply to commercial exhibitors located in a designated "exhibits hall/facility" rented by Licensee for use by commercial exhibitors. City will not provide any tables and/or chairs for use by commercial exhibitors. II. Licensee will be invoiced $125.00 per designated outside commercial exhibitor/vendor space for use by approved commercial exhibitors beginning in the year 2018 and continuing through 2028. III. Licensee may not occupy or allow commercial exhibitors to occupy Amon G. Carter, Jr. Exhibit Hall spaces referred to as an overhead door alcove. IV. Licensee and City must agree upon any use of outside exhibit space by no later than 120 days before 1St contracted show date for event. V. If requested by Licensee and space is available, Licensee may use parking area between Auditorium and Coliseum or other areas mutually agreed upon, for commercial exhibits at a cost of$0.35 per square foot, i.e.$35.00 for a 10'x 10'space. Licensee must obtain Fort Worth Fire Marshall approval of layout prior to show and furnish City a copy by no later than two weeks before exhibitor set-up may commence. Licensee may not occupy any space along South or West outside walls of Auditorium. All building fire exits must remain free and clear of any obstruction at all times." III. MISCELLANEOUS 1. All terms in this Renewal and Amendment that are capitalized but not defined shall have the meanings assigned to them in this Agreement. 2. All terms and conditions of the Agreement that are not expressly amended pursuant to this Renewal and Amendment shall remain in full force and effect.
