AGREEMENT BETWEEN LES MILLS AND THE CITY OF FORT WORTH

5 THIS THIRD RENEWAL TO CITY SECRETARY CONTRACT NUMBER 45464 ("Third
Renewal")is made and entered into by and between the City of Fort Worth,Texas, a home-rule municipal
corporation of the State of Texas("City"),acting by and through its duly authorized Assistant City Manager,
and LES MILLS UNITED STATES TRADING,INC.,a Delaware Corporation("Company"),acting by
and through its duly authorized representative.
WHEREAS, on March 26, 2014, City and Company entered into an Agreement, City Secretary
Contract No. 45464("Agreement");
WHEREAS, the Agreement provides that the term may be renewed for five additional one-year
periods;
WHEREAS,the parties wish to continue their relationship by exercising the Third renewal option.
NOW,THEREFORE,in consideration of the mutual covenants and agreements contained herein,
the City and the Company do mutually covenant and agree to renew and extend the Agreement as follows:
I.
The City and Company hereby agree to renew and extend the Agreement for a one-year period,
effective beginning on April 1, 2018 and expiring on March 31,2019.
II.
All terms and conditions of the Agreement that are not expressly amended pursuant to this Third
Renewal shall remain in full force and effect.
IH.
All terms in this Third Renewal that are capitalized but not defined shall have the meanings
assigned to them in the Agreement.
IN WITNESS WHEREOF,the parties hereto have executed this First Renewal in multiples in Fort
Worth, Tarrant County, Texas,this- tZ day of— ,2018.
