FIRST AMENDMENT
OF FORT WORTH CITY SECRETARY
CONTRACT NO.49875
This FIRST AMENDMENT ("AMENDMENT") OF FORT WORTH CITY
SECRETARY CONTRACT NO.49875 ("AGREEMENT") is made and entered into by and
between the City of Fort Worth, a home-rule municipal corporation of the State of Texas
("City"), acting herein by and through Susan Alanis, its duly authorized Assistant City Manager,
and HWW, Inc. dba Ad Club Advertising ("Consultant"), a Corporation, acting by and through
Daniel Walsh, its duly authorized President/ Chief Executive Officer. City and Consultant are
individually referred to as a "Party'and collectively referred to as the"Parties".
The Contract documents shall include the following:
1. The Agrcemcnt;and
2. This Amendment.
WHEREAS, City and Consultant are currently parties to the Agreement for Consultant
to provide recruitment advertising placement services(job postings/print advertisements,etc)as
well as contract management with job boards;and
WHEREAS, the Agreement provides for a one (1)-ycar initial term with options for up
to four, one-year renewal terns;and
WHEREAS, the Parties are still working under the Initial Term of the Agreement;and
WHEREAS, the Agreement initially provided for a maximum amount to be paid to
Consultant not to exceed$95,000;and
WHEREAS, the Parties wish to amend the Agreement to increas the maximum amount
to be paid to Consultant to one hundred and fifty thousand dollars,($150,000);and
WHEREAS. the Parties wish to amend the Agreement to provide an updated Scope of
Work.
NOW THEREFORE:. KNOWN ALL BY THESE PRESENT, City and Consultant,acting
herein by and through their duly authorized representatives, enter into this Amendment, which
amends the Agreement as follows:
1.
The Agreement is hereby amended by replacing Paragraph 3 of the Agreement with the
following paragraph:
3. ComWnsation. The city shall pay Consultant an amount not to exceed one hundred
and fifty thousand dollars($150,000.00)per year in accordance with the provisions of
this Agreement. Consultant shall not perform any additional services for City not

additional costs for such services. City shall not be liable for any additional expenses
of Consultant not specified by this Agreement unless City first approves such
expenses in writing. Consultant will provide City with invoices throughout the year
describing, in detail, the services that have been provided to City. City agrees to pay
all invoices of Consultant within thirty(30)days of receipt invoice. Consultant may
charge interest on late payments not to exceed one percent(l%).

Except as expressly modified in this Amendment, all other terms and conditions of the
Agreement shall remain in Rill force and effect.

Ad Club Advertising will hereinafter be referred to as"AGENCY"; Cilv of Fort\North will hereinafter
be referred to as"CLIENT."
1.Ad Placement Services.
AGENCY will perform the services customarily performed by a recruitment advertising agency as requested by CLIENT. These
services will include but are not be limited to:
a.Planning and developing recruitment strategies.
b.Preparing advertising and media plans.
c.Implementing advertising and media plans through various CLIENT designated mediums(e.g.Newspapers,trade
journal,brochures,job boards,etc.).
d.Designing and developing concepts that support CLIENT's culture and brand.
e.Upon receiving a request from CLIENT,AGENCY will confirm receipt of order,make available the advertisement
and/or cost estimates to CLIENT for review and approval in a timely manner.
f.Within 24 hour of order placement(unless otherwise agreed to by the parties)for all other orders(including request
for media research and recommendations),AGENCY will make available the advertisement and/or media
plans to CLIENT for review and approval..Media that offer agency discounts are same cost as advertising directly
with said media.If media does not offer agency discounted rates,standard markup is 15%(530 minimum markup).
g.AGENCY will provide an account manager to manage all orders/re(Juirements from CLIENT.
h.Providing demographic data of media environments where advertisements are to be placed as requested by CLIENT.
i.Incorporating CLIENT's brand into advertising materials as needed.
2.Agent of CLIENT. AGENCY will at all times be acting as an agent of CLIENT while performing its services hereunder.
3.Special Services.
AGENCY will perform special services as requested by CLIEN 1. These services will include but not be limited to:
a.Developing materials to support recruiting events including portable display units,brochures and posters;
b.Developing and/or implementing direct mail programs;
c.Implementing advertising&media plans through various CLIENT designated mediums,(Banners,Fliers, Posters etc.).
d.)ob fair registration.
e.On-line banner advertising.
f.Radio/IV/Theater media outlets.
4.Reports.
AGENCY will provide the following reports to CLIENT at no charge as needed:

Monthly Activity Monthly
Quarterly Activity Quarterly
Annual Activity January of each year.
The Monthly,Quarterly and Annual activity report is a summary of the weekly activities and a breakdown of the ad
placements by choice of Publication,Date, Keyword or department code.CLIENT reserves the right from time to time to
request other Ad Hoc reports as necessary.

Authorize Execution of the First Amendment of Contract No. 49875 with HWW, Inc. d/b/a Ad Club
Advertising, in an Amount Not to Exceed $150,000.00 Annually for Job Advertising for City Departments

RECOMMENDATION:
It is recommended that the City Council authorize the execution of the first amendment of Contract No.
49875 with HWW Inc. d/b/a Ad Club Advertising, in an amount not to exceed $150,000.00 annually for Job
Advertising for City departments.
DISCUSSION:
The City of Fort Worth uses a variety of vendors for job advertising annually. Firms like Indeed.com,
ZipRecruiter, and Glassdoor.com are used to promote the City's open positions. Currently, Human
Resources has contracts with each of the vendors separately. It is recommended that the City utilize
HWW Inc. d/b/a Ad Club Advertising ("Ad Club"), which is an expert in the field of job advertising, to work
directly with the vendors to ensure the City of Fort Worth is getting maximum value from each.
In 2017, Ad Club was first contracted to handle the City's job advertising on Indeed.com and ZipRecruiter.
Through this First Amendment, Ad Club will also handle the job advertising relationships with
Glassdoor.com, Careers In Government, The Daily Muse, etc. Each of these are vendors that the Human
Resources Department already works with, and therefore, will be moved under the Ad Club contract.
No additional funding will be needed, as the Human Resources Department is already spending the funds
with the vendors. Ad Club does not charge the City any additional fees because they are compensated by
various advertising vendors.
M/WBE OFFICE -A waiver of the goal for MBE/SBE subcontracting requirements was requested by the
department and approved by the M/WBE Office, in accordance with the BDE Ordinance, because the
purchase of goods or services is from sources where subcontracting or supplier opportunities are
negligible.
TERM - This First Amendment shall be effective upon execution and shall remain in effect for one year
from the date of execution.
RENEWALS -This First Amendment may be renewed at the City's option for four consecutive terms of
one year each. This action does not require specific City Council approval provided that sufficient funds
have been appropriated during the renewal terms. The pricing during any renewal term shall not exceed
five percent of the previous years' pricing.

The Director of Finance certifies that funds are available in the current operating budget, as appropriated,
of the participating departments and that prior to an expenditure being made, the participating department
has the responsibility to validate the availability of funds without exceeding existing appropriations.
