r This Tient(this"Amendment") amends the Agreement between Fort Worth Police Department("Customer") and Advanced
�, Public Safety, Inc. ("Aptean") (along with any amendments and other addenda executed from time to time, collectively, the
"Agreement"). In case of any conflict between the Agreement and this Amendment, the terms and conditions of this Amendment
shall control. Except as otherwise modified herein,all terms and conditions of the Agreement shall remain in full force and effect.All
capitalized terms used herein, and not otherwise defined herein, shall have their respective defined meanings as set forth in the
Agreement.
WHEREAS, the parties previously entered into the Order Form dated March 27, 2017 (between Customer and Aptean
attached hereto as Exhibit A(the"Order Form");
WHEREAS,the parties desire that certain terms and conditions of the Order Form and the Agreement be modified as agreed
by the parties.
NOW,THEREFORE,the parties agree that the following modifications are hereby made to the Order Form and the
Agreement,and incorporated therein,as of the Effective Date(as defined below):
1. The Maintenance Renewal Options Section of the Order Form is hereby amended by replacing the applicable
annual maintenance fees listed in the Order Form for the maintenance periods referenced below with the applicable annual
maintenance fees listed below:

July 1,2018 through June 30,2019 $10,992.29("Renewal Option One")
July 1,2019 through June 30,2020 $11,431.98("Renewal Option Two")
July 1,2020 through June 30,2021 $11,889.26("Renewal Option Three")
2. Commencing on July 1,2018,the Product Liston the Maintenance chart of the Order Form is hereby amended by
removing the following from the Product list:

This Amendment constitutes the entire agreement between Customer and Aptean regarding the subject matter herein addressed,
and fully supersedes any and all prior agreements or understandings,written or verbal, between Customer and Aptean. In the
event of any conflicts or inconsistencies between the provisions of this Amendment and the Agreement or the Order Form,the
provisions of this Amendment shall prevail. The remainder of the Agreement and the Order Form shall remain in full force and
effect,un-amended.

Invoicing and Payment Terms:
1. Do not pay from this Order Form.APS will Invoice Customer upon execution of this Order Form for the fees set
forth below plus applicable taxes.
2. Customer shall pay APS Net 30 days from the date of Invoice.
3. If applicable,maintenance service fees after the Initial term will be Invoiced Annually.
4, APS has a NO REFUND policy.
This Order Form,together with the Agreement,constitutes the entire agreement and supersedes all prior agreements
(verbal or written)between the parties with respect to the subject matter hereof.Customer's acceptance of the software
licensed hereunder is as delivered,with no expactallon that APS would customize or modify the software for the
Customer's specific business requirements unless agreed to In writing and signed by both parties.
