HomeMy WebLinkAboutContract 32248-A1 CITY SECRETARY CONTRACT NO FIRST AMENDMENT TO CONTRACT FOR EXCLUSIVE CONCESSION AND ALCOHOLIC BEVERAGE SERVICE AT THE WILL ROGERS MEMORIAL CENTER STATE OF TEXAS } } COUNTY OF TARRANT } THIS FIRST AMENDMENT TO CONTRACT FOR EXCLUSIVE CONCESSION AND ALCOHOLIC BEVERAGE SERVICE AT THE WILL ROGERS MEMORIAL CENTER (this "Amendment') is made and entered by and between the CITY OF FORT WORTH, a home rule municipal corporation of the State of Texas located within Tarrant, Denton, Parker, and Wise Counties, Texas (hereinafter referred to as "City") acting by and through its duly authorized Assistant City Manager, and ARAMARK SPORTS AND ENTERTAINMENT SERVICES OF TEXAS, LLC, a Delaware limited liability company and successor-by-conversion of ARAMARK Sports and Entertainment Services of Texas, Inc. (hereinafter referred to as "ARAMARK"). I. RECITALS WHEREAS, on May 10, 2005, the City Council, via M&C C-20728, authorized the City Manager to execute a five-year agreement styled as City Contract No. 32248 (the "Agreement') with ARAMARK to be the exclusive food, beverage (alcoholic and non-alcoholic) and related concession and catering services provider at the Will Rogers Memorial Center ("WRMC"); WHEREAS, the Agreement between the City and ARAMARK provided for a five-year term beginning September 1, 2005 and ending August 31, 2010; WHEREAS, pursuant to section 3.01 of the Agreement, the City has asked and ARAMARK has agreed to hold over at the WRMC under the terms and conditions of the Agreement for a period not to exceed ninety (90) days after August 31, 2010; WHEREAS, pursuant to section 13.01 of the Agreement, ARAMARK has made an investment of $125,000 in mutually agreed upon equipment and permanent improvements to service the patrons of WRMC; WHEREAS, section 13.01 of the Agreement provides that all such equipment and permanent improvements shall become the property of the City upon (1) the expiration or First Amendment to Contract , ­ ­1JRD For Exclusive Concession and Alcohol Beverage Servicei'�+�IC1 �-1 At the Will Rogers Memorial Center Page 1 o'f3 [ � YY termination of the Agreement and (2) the date on which the City fulfills its obligation to pay ARAMARK an amount equal to the unamortized portion of the ARAMARK's $125,000 investment; WHEREAS, section 13.02 of the Agreement provides that ARAMARK's $125,000 investment will be amortized over five years (60 months) on a straight basis, from the time of purchase of such equipment and improvements; WHEREAS, section 13.02 of the Agreement provides that the City shall cause payment to be made to ARAMARK in an amount equal to the unamortized portion of the investment if the Agreement expires or terminates for any reason; and WHEREAS, the City and ARAMARK mutually desire to amend the Agreement to provide for the payment of the unamortized portion of the investment to ARAMARK and the disposition of the related equipment and permanent improvements utilized at the WRMC, all as more particularly set forth herein. NOW, THEREFORE, in consideration of the foregoing and the covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally bound hereby, each of City and ARAMARK hereby mutually agree to amend the Agreement pursuant to the terms of this Amendment as follows: IL PROVISIONS 1. Defined Terms. All capitalized terms used, but not otherwise defined herein, shall have the meanings ascribed thereto in the Agreement. 2. Expiration and Termination of the Term of the Agreement. Each of ARAMARK and City hereby acknowledge and agree, in accordance with section 3.01 of the Agreement, that (a) the term of the Agreement expired on August 31, 2010 (the "Expiration Date") and (b) ARAMARK shall hold over and continue to provide services at the WRMC under the terms and conditions of the Agreement until November 30, 2010 or such other date as the parties may otherwise mutually agree in writing (such date, as applicable, the "Termination Date"). From and after the Termination Date, the Agreement shall be of no further force or effect subject to First Amendment to Contract For Exclusive Concession and Alcohol Beverage Service At the Will Rogers Memorial Center Page 2 of 3 any terms herein or therein that expressly survive expiration or termination of the Agreement (as amended hereby). 3. Sale of the Investment Equipment and Improvements. A. Sale of ARAMARK's Interest in the Investment Equipment and Improvements. Upon payment in full of the Termination Payment Amount (as defined below) to ARAMARK in accordance with the terms herein, ARAMARK shall sell and convey to City, and City shall purchase and take from ARAMARK, all of ARAMARK's right, title and interest in and to the Investment Equipment and Improvements (as defined below), it being acknowledged and agreed to by the parties hereto that such Investment Equipment and Improvements represent satisfaction in full (as of the date hereof) of the equipment and permanent improvements purchased pursuant to the initial One Hundred and Twenty-Five Thousand Dollar ($125,000) investment made by ARAMARK pursuant to section 13.01 of the Agreement (the "Investment"). B. As used herein, the term "Investment Equipment and Improvements" shall mean the equipment and permanent improvements purchased pursuant to the Investment as more particularly set forth on Exhibit "A" attached hereto and made part of the Agreement (as amended hereby). 4. Unamortized Balance and Termination Payment; Purchase Price; Payment. A. Unamortized Balance and Termination Payment. In furtherance of section 13.01 of the Agreement, City hereby grants ARAMARK the right to withhold and setoff the sum of Twenty-One Thousand Nine Hundred Eighteen and 59/100 Dollars ($21,918.59), which amount is equal to the unamortized balance of the Investment as of the Expiration Date (hereinafter, the "Termination Payment Amount"), from any and all amounts otherwise due to the City under the terms of the Agreement, including the percentage of Gross Receipts, also referred to therein as a "Concession Rental," as the same may or may have been received by ARAMARK from operations at the WRMC and without limitation of any sums otherwise due to ARAMARK under the terms of the Agreement. If the sums withheld and setoff by ARAMARK pursuant to the foregoing sentence are in an aggregate amount less than the Termination Payment Amount, ARAMARK shall be entitled to invoice the City in an amount equal to the outstanding, unpaid portion of the Termination Payment Amount, which invoice shall be due and First Amendment to Contract For Exclusive Concession and Alcohol Beverage Service At the Will Rogers Memorial Center Page 3 of 3 payable by City to ARAMARK within ten (10) business days of receipt thereof. For the avoidance of doubt, notwithstanding any terms herein to the contrary, nothing herein shall release City from the absolute obligation to pay the unamortized balance of the Investment (such balance being agreed to by the parties hereto as equal to the Termination Payment Amount) in its entirety, regardless of whether or not Gross Receipts generated during the period which ARAMARK continues operations at the WRMC are sufficient to permit ARAMARK to recover such amounts therefrom. The terms of this Section 4.A. of the Amendment shall be deemed to survive the expiration or termination of the Agreement (including, without limitation, the Termination Date). B. Bill of Sale. Title to the Investment Equipment and Improvements shall automatically pass to City upon payment in full to ARAMARK of the Termination Payment Amount. Following payment in full of the Termination Payment Amount to ARAMARK, upon City's written request, ARAMARK shall execute and deliver to City a Bill of Sale in a form mutually acceptable to City and ARAMARK to evidence such transfer of title in and to the Investment Equipment and Improvements. 5. Return of Concession Premises. Upon the Termination Date, ARAMARK hereby acknowledges and agrees to return the Concession Premises (and all other areas utilized by ARAMARK pursuant to the Agreement) and all food and beverage equipment used in connection with ARAMARK's operations at the WRMC to the City to the extent required by, and in the condition specified by, the terms and conditions of the Agreement. Notwithstanding the foregoing, the parties hereto agree that this Section 5 of the Amendment shall be of no force and effect in the event that ARAMARK and City enter into a new contract providing for ARAMARK's continuation of concession and/or catering services at the WRMC subsequent to the Termination Date (e.g. pursuant to a new request for proposals issued by the City or otherwise). 6. Entire Agreement. This Agreement sets forth the entire understanding and agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, arrangements and understandings related thereto. 7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regards to its principles regarding First Amendment to Contract For Exclusive Concession and Alcohol Beverage Service At the Will Rogers Memorial Center Page 4 of 3 conflicts of laws. 8. Counterparts/Facsimile. This Agreement may be signed in several counterparts which, when taken together, shall constitute but a single document. This Agreement shall not constitute the agreement of the parties until such time as it has been executed by all of the parties. Each of the parties agrees that its facsimile signature on this Agreement shall have the same force and effect as an original, non-facsimile signature by such party. 9. Severability. The agreements, representations, and warranties set forth in this Agreement shall survive the execution hereof. If any term or provision of this Agreement shall be held to be invalid or unenforceable for any reason, such term or provision shall be ineffective to the extent of such invalidity or unenforceability without invalidating the remaining terms and provisions hereof, and this Agreement shall be construed as if such invalid or unenforceable term or provision had not been contained herein. 10. Successors and Assigns. This Agreement shall bind and inure to the benefit of each of the parties and their respective successors and assigns. 11. If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the federal United States District Court for the Northern District of Texas — Fort Worth Division. 12. The Parties acknowledge that each party and, if it so chooses, its counsel have reviewed and revised this Agreement and that the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party must not be employed in the interpretation of this Agreement or any amendments or exhibits hereto. 13. The headings contained herein are for the convenience in reference and are not intended to define or limit the scope of any provision of this Agreement. 14. All of the terms and provisions of the Agreement between the City and ARAMARK shall remain in full force and effect except as specifically amended herein.
