FIRST AMENDMENT TO
t�t��sscs FORT WORTH CITY SECRETARY CONTRACT NO. 45749
This First Amendment to Fort Worth City Secretary Contract No. 45749 ("First
Amendment') is made between the CITY OF FORT WORTH ("City"). a municipal corporation,
acting herein by and through its duly authorized Assistant City Manager and IPS Advisors, LLP
("IPS"). a Texas limited liability partnership..
WHEREAS. City and IPS entered into Fort Worth City Secretary Contract No. 45749
beginning July 1, 2014 (the "Agreement"). and
WHEREAS, City and IPS desire to extend the term of the Agreement until July 1, 2019
in an extension agreement ("Extension Agreement").
NOW THEREFORE. KNOWN ALL BY THESE PRESENT, City and IPS, acting herein
by the through their duly authorized representatives, enter into this First Amendment, which
amends the Agreement as follows:
1.
Section 3. Term, Termination is hereby replaced in its entirety with the following
paragraph:
This Agreement will be for an initial two-year term starting July 1, 2014
and ending June 30, 2016 unless terminated earlier as provided herein. The City
and IPS may renew the Agreement for up to three additional, one-year periods by
written mutual consent.
Either party may terminate this Agreement at any time, with or without
cause, by providing the other party with thirty (30) days written notice of
termination. In the event this Agreement is terminated prior to expiration of the
then-current term, the City shall pay IPS for only Services actually rendered as of
the effective date of the termination. In the event this Agreement is terminated
prior to expiration of the then-current term, IPS shall continue to provide the City
with Services requested by the City and in accordance with this Agreement
through the effective date of termination.
2.
All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein sliall remain in full force and effect.
