FIRST AMENDMENT AND SECOND ADDENDUM TO CITY SECRETARY CONTRACT NO. 50758 This First Amendment And Second Addendum to City Secretary Contract Number 50758 ("Agreement") is by and between the City of Fort Worth ("City"), a home-rule municipality organized under the laws of the State of Texas, acting by and through its duly authorized Assistant City Manager, and Displays LLC, acting through Pamela Suggs, its Director of Operations (the "Contractor"). The City has designated the Arts Council of Fort Worth and Tarrant County, Inc. as its Contract Manager to manage this agreement on its behalf. WHEREAS, on May 20, 2017, the City and Contractor entered into City Secretary Contract Number 50758 (CSC No. 50758), whereby Contractor agreed to provide specific services for the purpose of assisting with the care and maintenance of the Public Art Collection and one renewal (CSC No. 50758-R2) (collectively, the"Agreement"); WHEREAS, the City and Contractor have entered into an initial addenda related to the services provided under the Agreement as CSC No. 50758-A1; WHEREAS, City and Contractor desire to amend the Contract to include Contractor's rate schedule; WHEREAS, the Agreement sets forth that the Services to be provided shall be based on an as-needed basis in accordance with fully executed addenda; WHEREAS, this First Amendment and Second Addendum is intended to, not only add the Contractor's rate schedule, but also to set forth the Services to be provided per the Agreement in accordance with the terms therein; WHEREAS, City desires Contractor provide general cleaning to various artworks; and WHEREAS, the City and Contractor wish to set out the Services to be provided per the Agreement that will be specific to this Second Addendum with the intent that further Services may be requested by the City through future addenda; NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth, the sufficiency of which is hereby acknowledged, the parties agree as follows: I. Exhibit F, Rate Schedule, is added to the Agreement as attached to this First Amendment and Second Addendum. II. NO 1. Contractor shall review conditions and perform general, light cleaning, including � %\% rinsing the sculpture(s) as needed with filtered tap water or distilled water, carefully �,! off' removing any buildup or debris in small quantities with filtered or distilled water and Orvus WA Paste and soft bristled brushes. All terms and conditions of the Agreement not specifically addressed herein remain in full force and effect and are binding upon the parties. Storage:Displays FAS works with the client's schedule to be the most cost efficient for temporary storage between movement and installation.Our facility is more than 55,000 square feet and we are capable of storing works from delicate artifacts,to monumental size sculpture.Our facility Is easily accessed by cranes,flatbeds,tractor trailers,etc,making it ideal for easyoffload and storage of any work of art. Cost Effective Pricing:Displays FAS works one on one with the client to reach the most cost effective pricing. if pricing is an issue,we work diligently to reach a mutual agreement on price and project approach. Displays FAS is proud to provide honest estimates and invoicesthat reflect actual project cost on labor and material used. Equipment:Displays FAS takes into consideration each aspect of the job and works with equipment contractors to secure the appropriate equipment for each project.Equipment is priced per specific machines.On larger installations,Displays FAS charges for rigging equipment and small took.However, if the overall job Is high profile,Displays FAS takes this Into consideration and may opt for no markup, or even discounts on general gear,hardware,and supplies used to complete the project.Typical sculpture equipment:gantry,reach-forks,cranes,scissor/man lifts,and rigging supplies. Pricing Hourly Rate:Displays FAS charges$65.00 per hour,per art handier After Hours:Displays FAS charges$95.00 per hour,per art handier for after hour and weekend labor. Insurance Storage and transit insurance is available to purchase. A quote can be provided if requested. There is a$1000 deductible.
