AGREEMENT BY AND BETWEEN THE TARRANT REGIONAL WATER DISTRICT AND THE CITY OF FORT WORTH FOR THE CITY OF FORT WORTH EAGLE MOUNTAIN LAKE RAW WATER CONVEYANCE SYSTEM AND THE TARRANT REGIONAL WATER DISTRICT EAGLE MOUNTAIN CONNECTION PROJECT This Interlocal Agreement ("Agreement') is entered into as of the 30`x' day of May, 2006, by the City of Fort Worth, a home-rule municipal corporation located in Tarrant, Wise and Denton Counties, Texas (the "City") and the Tarrant Regional Water District, a political subdivision of the State of Texas (the "District'), as authorized by Chapter 791, Texas Government Code. The City and the District are sometimes hereinafter collectively referred to as the "Parties" or individually as a"Party". WHEREAS, the District owns and operates Eagle Mountain Lake, as well as the Eagle Mountain Lake Dam, and the City owns and operates its Eagle Mountain Water Treatment Plant ("EMWTP'); and WHEREAS, the City and the District entered into an agreement on January 18, 1990 (the "1990 Agreement")wherein the Parties agreed to cooperate in the construction of a raw water intake,pump station, and pipeline located on District property south of the Eagle Mountain Darn. (Fort Worth City Secretary Contract No. 17732) in order to convey water to the EMWTP; and WHEREAS, the City plans to expand the EMWTP by 35 million gallons per day ("MGD") and expand the associated raw water conveyance system; and WHEREAS, the District plans to install a 300 MGD booster pump station and 7 million gallon ("MG") ground storage tank at the Rolling Hills Water Treatment Plant to increase the water supply at Eagle Mountain Lake, a 120 MG balancing reservoir to be located along the future extension of Westpoint Boulevard, a 19.5 mile pipeline varying in size from 84" to 96" connecting the District's existing 90" pipeline near Lake Benbrook to Eagle Mountain Lake (the "Eagle Mountain Pipeline"), an outlet structure located at the Clear Fork of the Trinity River, and an outlet structure located at Eagle Mountain Lake; and WHEREAS, the District will construct a balancing reservoir to provide the City's proposed Northwest Plant with a reliable supply that will be located within the City's corporate limits; and OFFICIAL RECORD MY SICIPPRARY Ff. WORTH, lix, WHEREAS, the Eagle Mountain Pipeline will cross City streets and rights of way, and the two outlet structures will be located within the City's corporate limits; and WHEREAS, the Parties desire to cooperate with respect to the construction and expansion of the water facilities as hereinafter described; NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter contained, the District, by and through James H. Oliver, its duly authorized General Manager, and the City, by and through Marc A. Ott, its duly authorized Assistant City Manager, agree as follows: 1. City agrees to expand the existing intake structure, construct a new parallel raw water pipeline, and construct a new raw water pump station, to be located on District property in the vicinity of Eagle Mountain Lake, in accordance with plans and specifications prepared for the City by CH2M Hill_ The proposed improvements are shown on Exhibit "A". The Parties' responsibilities related to the expansion of the Eagle Mountain Water Treatment Plant and the associated expansion of the raw water conveyance system are as follows: a. District, at no cost to the City, shall either prepare or have prepared and then grant to the City all required easements across property owned by the District for the construction and perpetual operation and maintenance by City, or its contractors, of valve vaults, pump stations, intakes, and raw water lines and such necessary improvements and appurtenances required for the proper maintenance and operation of two pump stations, an expanded raw water intake structure, and two raw water pipelines, varying in size from 54-inches to 90-inches. The form of easements shall be subject to the review and approval of the City. Such easement metes and bounds descriptions are attached hereto as Exhibits B-1 and B-2. b. District shall either prepare or have prepared and then grant to TXU all required easements across property owned by the District for transformers, power poles and necessary improvements and appurtenances required for the operation of the facilities described in 1 a. above. District, at no cost to the City, shall either prepare or have prepared and then grant to the City all required easements across property owned by the District for the facilities previously constructed pursuant to the 1990 Agreement d. District shall review the contract documents and construction plans for the raw water intake structure, the raw water pump station, and suction pipeline located through the west tunnel of the Eagle Mountain Lake Dam. While the District has the right of final approval of plans and specifications, if a dispute between the Parties occurs over the contract documents and construction plans, City shall have make the final decision with respect thereto, taking into consideration District's objections. e. District shall review all change orders for the raw water pump station, raw water intake structure and suction pipeline located through the west tunnel of the Eagle Mountain Lake Dam and consult with City regarding any issues that District may have with respect to such change orders. If a dispute arises between the parties occurs over change orders, City shall make the final decision with respect thereto, taking into account the District's objections. f. District shall have the right to observe any construction work as it progresses and may advise the City of any construction being performed that is not in accordance with the plans and specifications. City shall cause its contractor to correct such work not in compliance with the plans and specifications. District shall never have any liability for failure to either observe the construction or to notify the City of any defects in construction. g. District, upon completion and final acceptance of the raw water intake structure expansion and new pipeline, shall transfer to City the ownership and maintenance of the existing raw water intake structure and existing pipeline constructed under the 1990 Agreement. h. Upon final completion and acceptance of the facilities described in paragraph 1 a. above, District shall assume ownership and maintenance of the temporary construction entrance described in paragraph n below. i. District shall never have any responsibility or liability to operate or maintain the new facilities to be constructed pursuant to this Section 1, and after transfer to the City of the facilities constructed pursuant to the 1990 Agreement, shall have no TARRANT REGIONAL WATER DISTRICT gu EAGLE MOUNTAIN-ROLLING HILLSyy � IEN Page 3 of 12 responsibility or liability to operate or maintain same, except for any liability or responsibility that arose prior to such transfer. j. City, at its sole cost and expense, agrees to contract for and be responsible for the survey, design,bidding, award of contract, and the construction and inspection of the facilities shown in Exhibit A. k. City shall,prior to advertisement for bids,provide District with five (5) sets of plans and specifications for the raw water pump station, raw water intake structure, and raw water pipeline for review. 1. City shall be responsible for all costs associated with the survey, design, construction, and inspection of the improvements shown on Exhibit A. in. City shall be responsible for recording all signed easements conveyed to it by the District pursuant to this Section 1 and provide District with two copies of the recorded easements. City shall meter all raw water at the Eagle Mountain Water Treatment Plant in accordance with Fort Worth City Secretary Contract No. 12720. n. City shall install a temporary construction entrance to the property, as shown in Exhibit A. During construction of improvements, City personnel and contractors shall utilize the temporary construction entrance for access to the site. o- But for the temporary construction entrance, City shall own and maintain all new facilities shown on Exhibit A of this Agreement. 2. District agrees to construct a raw water pump station, piping and storage tank, to be located on City property at the Rolling Hills Water Treatment Plant, in accordance with plans and specifications prepared for the District by Freese and Nichols. The proposed improvements are shown on Exhibit D. The Parties' responsibilities related to the Rolling Hills Raw Water Pump Station and Storage Tank are as follows: a. District, at its sole cost and expense, agrees to contract for and be responsible for the survey, design, bidding, award of contract, and construction and inspection of the raw water pump station, piping and ground storage tank located on City property at the Rolling Hills Water Treatment Plant, as shown on Exhibit D. District shall, prior to advertisement for bids, provide City with five (5) sets of plans and specifications for the raw water pump station piping and ground storage tank for review. c. District shall be responsible for recording all signed easements conveyed to it by the City pursuant to this section and provide City with two copies of the recorded casements. d. District shall own and maintain all facilities constructed pursuant to this Section 2 with the exception of the new 84-inch tee cut into the existing City 84-inch raw water supply pipeline on the south side of the Rolling Hills Water Treatment Plant. e. City shall waive all fees applicable to the construction of the facilities to be constructed pursuant to this Section 2 as shown on Exhibit D of this Agreement; provided, however,that impact fees, if any, are not waived. f. City, at no cost to District, shall either prepare or have prepared and then grant to District all required easements across property owned by the City for the construction and perpetual operation and maintenance by District, or its contractors, of valve vaults, pump stations, ground storage tanks, raw water lines and such necessary improvements and appurtenances required for the proper maintenance and operation of a pump station, ground storage tank, and pipeline. The form of easements shall be subject to the review and approval of District. Such easement metes and bounds descriptions are attached as Exhibits E-1, E-2, and E-3. City shall grant a temporary construction staging area to District as shown on Exhibit D for the construction of the pump station and associated facilities. g. City shall either prepare or have prepared and then grant to TXU all required easements across property owned by the City for transformers, power poles and necessary improvements and appurtenances required for the operation of the facilities described in subsection 2a. above. Such easement metes and bounds descriptions are included in Exhibit F attached hereto. h. City shall not require District to perform a drainage study, a water study, or a sewer study for the pump station, ground storage tank, and pipeline. i. District shall include in its construction documents a statement that its contractor shall not begin work until the SWPPP has been approved in writing by City. j. City shall not require District to execute a community facilities agreement for the construction of the pump station, ground storage tank, and pipeline; nor shall City require an infrastructure review for such facilities. k. City shall review the contract documents and construction plans for the raw water pump station, ground storage tank and pipelines located within City property. While the District has the right of final approval of plans and specifications, if a dispute between the Parties occurs over the contract documents and construction plans, District shall make the final decision with respect thereto, taking into consideration City's objections. 1. City shall have the right to observe the project during construction and shall advise the District of any construction being performed which is not in accordance with the plans and specifications. District shall cause its contractor to correct such work not in compliance with the plans and specifications. The District agrees to construct a balancing reservoir located on District property within the corporate limits of the City. The proposed improvements and site plan are shown on Exhibit G. The Parties' responsibilities related to the balancing reservoir are as follows: a. District, at its sole cost and expense, agrees to contract for and be responsible for the survey, design, bidding, award of contract and construction and inspection of the balancing reservoir, including a SCADA/Restroom Building, pipelines, utilities, and all appurtenances on the balancing reservoir property, as shown on Exhibit G. b. Prior to advertisement for bids, District shall provide City with five (5) sets of plans and specifications for the balancing reservoir. c. District shall plat the balancing reservoir property and follow City development rules and regulations, except as otherwise stated herein. District shall be responsible for recording the reservoir property plat at the Tarrant County Courthouse. d. District shall prepare a drainage plan for the balancing reservoir property. e. District shall own and maintain all facilities constructed pursuant to this Section 3 of this Agreement. f. City shall never have any responsibility or liability to operate or maintain the facilities to be constructed pursuant to this Section 3, except as may be provided in other existing agreements between the Parties. g. City shall waive all fees applicable to the improvements described in this Section 3 of this Agreement, except impact and plat fees. h. City shall waive the requirement for the District to extend Westpoint Boulevard across the frontage of the balancing reservoir property. i. City shall exempt District from right of way dedication for the future extension of Westpoint Boulevard immediately adjacent to and abutting the balancing reservoir property. j. City will appropriate one-half of the cost to construct drainage facilities required as part of the future extension of Westpoint Boulevard across the District property frontage. k. The District agrees to construct the Eagle Mountain Pipeline varying in size from 84 inches to 96 inches connecting the District's existing 90 inches pipeline near Lake Benbrook to Eagle Mountain Lake, as well as construct the two outlet structures. The proposed alignment of the Eagle Mountain Pipeline and outlet structures are shown on Exhibit "D '. The Parties' responsibilities related to the Eagle Mountain Pipeline and the outlet structures located within City's corporate limits are as follows: a. District, at its sole cost and expense, agrees to contract for and be responsible for the survey, design, bidding, award of contract and construction and inspection of the Eagle Mountain Pipeline and the two outlet structures located within the City's corporate limits as shown on Exhibit H, including, as necessary, the repair of City streets in accordance with City requirements, as well as repair of any other City property disturbed during construction.. b. Prior to advertisement for bids, District shall provide City with five (5) sets of plans and specifications for the Eagle Mountain Pipeline and the two outlet structures. c. District, at its sole cost and expense, shall prepare signed and sealed plan and profile sheets showing proposed raw water main crossings of existing city streets and deliver same to City for Infrastructure Plan Review approval. Drawings shall include a traffic control plan for each street. d. District, at its sole cost and expense, shall install a 60" outlet tee connection for the future City Northwest Water Treatment Plant. The tee connection shall be located north of the proposed balancing reservoir at a location acceptable to the Parties. e. District, at its sole cost and expense, shall provide a 66" outlet tee connection at the Clear Fork Outlet Structure, at the location shown in Exhibit H, to provide for a fixture City pipeline to serve the City Holly Water Treatment Plant. f. District shall own, operate and maintain all facilities constructed pursuant to this Section 4 City shall never have any responsibility or liability to operate or maintain the facilities constructed pursuant to this Section 4. g. City shall allow the District's contractor to prepare a storm water pollution prevention plan ("SWPPP') after the District awards the project, but before any construction activity begins. District shall include in its construction documents a TARRANT REGIONAL WATER DISTRICT EAGLE MOUNTAIN-ROLLINU HILLS Page 8 of 12 statement that its contractor shall not begin work until the SWPPP has been approved in writing by City. h. City shall waive all fees applicable to improvements described in this Section 4, except impact fees and miscellaneous platting or zoning applications that may apply to the Eagle Mountain Outlet Structure. i. City shall not require an Infrastructure Plan Review for the outlet structures 5. District and City agree that, until the expiration of three years after final payments have been made, parties shall have access to and the right to examine any directly pertinent books, documents, papers, and records of the parties involving transactions relating to this Agreement. 6. Any notice permitted or required herein shall be in writing, mailed regular mail to the address shown below, or by facsimile to the numbers shown below. Nothing in the performance of this Agreement shall impose any liability for claims against either City or District other than claims for which the Texas Tort Claims Act may impose liability. The Parties to this Agreement do not intend for any third party to obtain a right by virtue of this Agreement. 9. By entering into this Agreement, the Parties do not intend to create any obligations express or implied, other than those stated in the Agreement. Further, this Agreement shall not create any rights in any party not a signatory to the Agreement. 10. This Agreement may not be changed, revised or otherwise amended unless same be in writing and approved by the governing body for each Party. Permitted Use, The Latid shall be used by Grantee only for (i)the reconstruction, operation, maintenance, inspection, alteration, replacement, and repair of an existing raw water intake structure in the location depicted on Sheet No. 2 of Exhibit"A",the easement for the intake structure being 85' by 1.25' and bounded by the calls for "Lll" through "L15'; (ii) the -•1- reconstruction, operation,maintenance,inspection,alteration, replacement,and repair of an existing fLfty four inch (54") rater water transportation pipeline extending from the intake structure to the existing pump station within the area depicted on Sheet No. 2 of Exhibit"A'; (iii)the construction, reconstruction, operation, maintenance, inspection, alteration, replacement, and repair of a second fifty-four inch (54") raw water transportation pipeline extending from the existing intake structure to the new pump station authorized hereunder,said additional pipeline to be adjacent to the existing pipeline and within the area depicted on Sheet No. 2 of Exhibit "A"; (iv) the reconstruction, operation, maintenance, inspection, alteration, replacement, and repair of an existing raw water pump station being operated by Grantee in the location depicted on Sheet No.2 of Exhibit"A';(v) the construction, reconstruction, Operation, maintenance, inspection, alteration, replacement, and repair of a second raw water pump station to be operated by Grantee to be located to the west of the existing pump station as depicted on Sheet No. 2 of Exhibit "A'; (vi) parking facilities for the pump stations;and(vii.)providing a means of ingress and egress to the intake structure,the two raw water transportation pipelines and the two raw water pump stations located and to be located on the Land. 2. Approval of'Plans. All facilities authorized hereunder shall be constructed pursuant to plans and specifications ('the "Plans") to be submitted to Grantor prior to the commencement of construction. No operations relating to the construction of the authorized facilities shall be commenced until the Plans therefor have been submitted to and approved in writing by.Grantor. Grantor, by giving such approval, shall not assume any responsibility or liability with respect to such Plans. 3. Reservation of minerals. There is reserved to the Grantor, its successors and assigns, and not conveyed hereby, all of the oil,gas, sulphur and other gaseous minerals in or under the Land, but Grantor waives all rights of ingress and egress to the surface of the Land for the purpose of exploring, developing,-ruining, or drilling therefor; it being specifically agreed that no operation relating to such mineral reservation will be conducted on the surface of the Land. The foregoing waiver of surface rights shall not be construed to prohibit Grantor from using the surface of any lands other than the Land for activities related to the development or production,of the oil, gas, sulphur and other gaseous minerals in and sunder the Land nor shall such waiver be construed to prevent Grantor from developing or producing the oil,gas, sulphur and other gaseous minerals in and under the Land by pooling or directional drilling under the Land from well sites located on lands other than the Land. Notwithstanding the foregoing, Grantee shall have the right and privilege to own, use and remove from the Land all sand, gravel, dirt, rock and other similar materials as may be necessary in exercising the rights granted herein. 4. performance of Work. All work done in connection with the Easement shall be performed in accordance'with the Plans and as expeditiously as possible. In performing the work or causing the work to be performed, Grantee shall make adequate provisions for the safety and convenience of Grantor, its agents, representatives, employees, licensees, and invitees, and shall cause all work to be cleaned up properly and promptly in order to minimize disruption or inconvenience. Grantee shall construct and operate all of the facilities authorized hereunder at its sole cost and expense. Grantee shall perform all work necessary in connection with the 2_ O1 FICIA� RECORD CRY SECRETARY constriction, reconstruction, operation,maintenance, inspection, alteration,replacement, and repair of such authorized facilities in a good and workmanlike manner in conformance with sound and accepted engineering practices. The authorized facilities shall at all times be constricted, kept, operated, and maintained in a safe condition and in full compliance with all applicable federal, state,municipal,and other laws,statutes,regulations,ordinances,and orders. 5. Reservations and Exceptions to Grant. The Easement is expressly made subject to (i)any and all visible and apparent easements and rights-of-way over ar across the Land,whether of record or not; (ii) any and all existing restrictions, reservations, covenants, conditions, oil and gas leases, mineral severances, and other instruments, other than conveyances of the surface fee estate, that affect the Land and are shown of record in Tarrant County, Texas; (iii) all reservations, restrictions, covenants and conditions contained herein; and (iv) any and all zoning laws, regulations, and ordinances of municipal and other governmental authorities relating to the Land, but only to the extent -Haat they are still in force and effect (collectively, the "Permitted Exceptiorns'). 6. Automatic Reverter. The Easement, and all rights and privileges granted herein, will automatically terminate if and when the Easement is no longer used for the proposes set out herein. In the event of such termination of use, Grantee agrees to execute and deliver to Grantor a document in recordable form releasing all of Grantee's rights hereunder,but the failure to execute and deliver such a Release shall not affect Grantor's ownership of the Land free and clear of any claws,rights,or privileges of Grantee. 7. Prohibition on AssigpM This Agreement may not be assigned by Grantee, in whole-or in part, without the prior written consent of Grantor. Any purported assignment without such written consent shall be void and of no force or effect. S. Acceptance of Easement and Rig t-of WaA eement. By signing this Agreement, Grantee has agreed to and accepted the terms, conditions, -benefits, and obligations contained herein. Grantor has.agreed to gent the Easement in.reliance upon Grantee's representation that Grantee agrees to and accepts the terms, conditions,benefits,and obligations contained herein. 9. Binding Effect. The terms and provisions of this Agreement shall :inure to the benefit of and be binding upon Grantor and Grantee and their respective successors and permitted assigns and shall be covenants running with the land. 10. Entire A Bement. This Agreement contains all of the agreements between the parties respecting the subject matter hereof, and no prior representations or statements, verbal or written,have been made modifying,adding to, or changing the terms of this instrument. 11. .Amendments. The two pipelines shall be used solely for the transportation of water and no other substance. No building, structure, or improvement other than the water _1_ pipelines, and necessary appurtenant facilities, shall be placed, constructed, or maintained in, on, or under the Land. 2. Pipeline to be Buried. Grantee shall bury the seventy-two inch (72")water pipeline to be constructed hereunder a sufficient depth below the surface of the ground so that the top of said pipeline shall be not less than thirty-six inches (35") below the surface of the ground; and when digging the ditch for-said pipelines, Grantee shall separate the topsoil from the subsoil, as nearly as possible, and when backfilling said ditch, Grantee shall place the subsoil back into the ditch first and the topsoil last. 3. Approval of flans. All facilities authorized hereunder shall be constructed pursuant to plans and specifications (she "Plans") to be submitted to Grantor prior to the commencement of construction. No operations relating to the construction of the authorized facilities•shall be commenced until the Plans therefor have been submitted to and approved in writing by Grantor. Grantor,.by giving such approval, shall not assume any responsibility or liability with respect to such flans. 4. Reservation of Minerals. There is reserved to the Grantor, its successors and assigns, and not conveyed hereby, all of the oil, gas, sulphur and other gaseous minerals in or under the Land, but Grantor waives all rights of ingress and egress to the surface of the Land for the Purpose of exploring, developing, mining, or drilling therefor; it being specifically agreed that no operation relating to such mineral reservation will be conducted on:the surface of the Land. The foregoing waiver of suiface tights shallnot be construed to prohibit Grantor from using the surface of any lands other than the Land for activities related to-the development or production of the oil, gas, sulphur and.other gaseous minerals in and under the Land nor shall such waiver be construed to prevent Grantor from developing or producing the oil, gas, sulphur and other gaseous minerals in and under the Land by pooling or directional drilling under the Land from well sites located on lands other than the Land. After any disturbance of the surface of the Land for any purpose authorized hereunder (whether in connection with initial construction; any reconstruction or replacement, alteration or repair; any operation or maintenance; any survey or inspection;any relocation within.the Easement; 2- OFFICIAL RECORD . WORTH, TeX. 1 removal; or otherwise), grantee shall -restore such surface to the same condition as existed before any such disturbance. Further, if any improvements are disturbed, damaged, or destroyed by the operations of Grantee hereunder, Grantee agrees to replace and restore such improvements to a condition at least as good as existed before any such disturbance, damage, or destruction. The water pipelines shall at all times be constructed,kept, operated, and maintained in a safe condition and in fall. compliance with all applicable federal, state, municipal, and other laws, statutes, regulations,ordinances,and orders. b. Reservations and Exceutions to Grant. The Easement is expressly made subject to (i)any and all visible and apparent easements and rights-of-way over or across the Land,whether of record or not; (ii) any and all existing restrictions, reservations, covenants, conditions, oil and gas leases, mineral severances, and other instruments, other than conveyances of the surface fee estate, that affect'the Land and are shown of record in Tarrant County, Texas; (iii) all reservations, restrictions; covenants and conditions contained herein; and (iv) any and all zoning laws, regulations, and ordinances of municipal and other governmental authorities relating to the Land, but only to the extent that they are still in force and effect (collectively, the "Permitted Exceptions"), Grantor hereby reserves to itself, its successors and assigns, the right to use and enjoy the surface and subsurface of the Land for any and all purposes so long as such use does not adversely.interfere with the rights herein granted to Grantee, and provided further that the surface of the Land will not be used for .mineral exploration or development. In addition to all other rights reserved herein and not in limitation thereof, Grantor specifically reserves the right of passage over the Land. 7. No Surface Improvements. Grantee agrees that no buildings, structures, stations, regulators, meters or other appurtenances shall-be placed on or above the surface of the Land without the prior written consent of Grantor.— 8.' Automatic Reverter. The Easement, and all rights and privileges granted herein, will automatically terminate if and when the Easement is no longer used for the purposes set out herein. In the event of such termination of use, Grantee agrees to execute and deliver to.Grantor a document in recordable form releasing all of Grantee's rights hereunder, but the failure to execute and deliver such a Release shall not affect Grantor's ownership of the Land free and clear of any claims,rights,or privileges of Grantee. 9. Prohibition on Assignment. This Water Pipeline Easement and Right-of-Way Agreement may not be assigned by Grantee,in whole or in part,without the prior written consent of Grantor. Any purported assignment without such written consent shall be void and of no force or effect. 10. No building, structure, or improvement other than the Facility, and necessary appurtenant facilities, shall be placed, constructed, or maintained in, on, under, or across the Land. 2. Conduit Pipe to be Buried. Grantee shall bury any underground installations, including conduit pipe, a sufficient depth below the surface of the Land so that the top of said installation or conduit pipe shall be not less than twenty-four (24) inches below the presently existing surface of the Land. 3. Reservation of Minerals. There is reserved to the Grantor, its successors and assigns, and not conveyed hereby, all of the oil, gas, sulphur and other gaseous minerals in or under the Land, but Grantor waives all rights of ingress and egress to the surface of the Land for the purpose of exploring, developing, reining, or drilling therefor; it being specifically agreed that no operation relating to such mineral reservation will be conducted on the surface of the Land. The -I- foregoing waiver of surface rights shall not be construed to prohibit Grantor from using the surface of any lands other than the Land for activities related to the development or production of the oil, gas, sulphur and other gaseous minerals in and under the Land nor shall such waiver be construed to prevent Grantor from developing or producing the oil, gas, sulphur and other gaseous minerals in and under the Land by pooling or directional drilling under the Land from well sites located on lands other than the Land_ Notwithstanding the foregoing reservation, Grantee shall have the right and privilege to own, use and remove from the Land all sand, gravel, dirt, rock and other similar materials as may be necessary in exercising the rights granted herein. 4. In performing the work or causing the work to be performed, Grantee shall make adequate provisions for the safety and convenience of Grantor, its agents, representatives, employees, licensees,-and invitees, and shall cause all work to be cleaned up promptly in order to minimize disruption or inconvenience. Grantee shall construct, install and operate the Facility at its sole cost and expense. Grantee shall perform all work necessary in connection with the construction or installation, or with the reconstruction, reinstallation, operation, maintenance, inspection, alteration, replacement, repair, relocation within the Easement, and/or removal of such Facility in a good and workmanlike manner in conformance with sound and accepted engineering practices. REFERENCE NO.: **C-21475 SUBJECT: Authorization to Enter into an Interlocal Agreement with Tarrant Regional Water District for the City of Fort Worth Eagle Mountain Lake Raw Water Conveyance System and the Tarrant Regional Water District Eagle Mountain Connection Project RECOMMENDATION: It is recommended that the City Council authorize the City Manager to enter into an Interlocal Agreement with the Tarrant Regional Water District ("TRWD") relating to cooperation in the construction of the City of Fort Worth ("City") Eagle Mountain Lake Raw Water Conveyance System and the Tarrant Regional Water District Eagle Mountain Connection Project. DISCUSSION: On January 2, 1990, (M&C C-12077) City Council authorized the City Manager to execute an Interlocal Agreement with the Tarrant County Water Control and Improvement District No. 1 (now known as the Tarrant Regional Water District) for the construction of an intake structure to be located on Eagle Mountain Lake and for the raw water conveyance system to the Eagle Mountain Water Treatment Plant. Due to the growth within Fort Worth along with wholesale customers, the raw water conveyance system and Eagle Mountain Water Treatment Plant must be expanded. Expansion of the City's Eagle Mountain Water Treatment Plant and raw water conveyance system is required in order to meet summer 2007 peak demands. Construction of the TRWD Eagle Mountain Connection Project is required prior to the summer of 2008 in order to increase the supply of raw water to the Eagle Mountain Water Treatment Plant and the Holly Water Treatment Plants through the West Fork of the Trinity River. Installation of the TRWD Eagle Mountain Connection Project will provide the raw water supply necessary to allow the City to construct a new Northwest Water Treatment Plant required to provide water service to rapidly growing west and northwest Fort Worth. The City is in the process of expanding the existing raw water intake structure, constructing a new 35 million gallon per day (MGD) raw water pump station, and adding a new 72" diameter raw water pipeline from Eagle Mountain Lake to the Eagle Mountain Water Treatment Plant. Construction of the intake structure, raw water pump station and portions of the raw water pipeline will take place on TRWD property. The TRWD is in the process of expanding their raw water conveyance system. The TRWD Eagle Mountain Connection Project consists of the installation of a 300 MGD pump station, a 7 million gallon (MG) ground storage tank, a 120 MG balancing reservoir, two outlet structures, and 19.5 miles of pipeline connecting the existing raw water system located near the City's Rolling Hills Water Treatment Plant to Eagle Mountain Lake. Construction of the pump station and ground storage tank will occur on City property at the Rolling Hills Water Treatment Plant. Waiver of the requirement that TRWD, as part of the construction of their balancing reservoir, extend Westpoint Boulevard or install drainage structures crossing the extension of Westpoint Boulevard. The City will appropriate in the future one-half of the cost to construct drainage facilities as part of the future extension of Westpoint Boulevard across the TRWD property frontage. 6. Provision that the TRWD provide a tee connection for the City's future Northwest Water Treatment Plant. The Eagle Mountain Raw Water Conveyance System is located in Northwest Tarrant County and COUNCIL DISTRICT 7.
