ASSIGNMENT OF CITY SECRETARY CONTRACT NO.32582
This Assignment City Sfcretary Contract No. 32582 (the "Assignment") is entered into
effective the AU"day of , 20+9 (the "Effective Date"), by and between THE FORT WORTH
AVIATION HERITAGE ASSOCIATION, a Texas nonprofit corporation ("Assignor"), and FORT
WORTH AIR AND SPACE MUSEUM FOUNDATION,a Texas nonprofit corporation("Assignee").
WHEREAS,on or about November 2,2005,Assignor entered into a License Agreement with the
City of Fort Worth, a home-rule municipal corporation of the State of Texas located in Tarrant, Denton
and Wise Counties, Texas (the "City'l, regarding the use of City property to display and maintain the
Aviation Wall of Honor. The License Agreement is maintained in the City's records as City Secretary
Contract Number 32582(the"City Contract").
WHEREAS,Assignor desires to assign all of its rights,duties and obligations under the City
Contract to Assignee,and Assignee desires to assume such rights,duties and obligations.
NOW, THEREFORE, for the mutual benefits to be conferred on the parties hereto,
Assignor and Assignee agree as follows:
I. As of the date hereof,Assignor hereby assigns all of its rights,duties and obligations
in and under the City Contract to Assignee. By its execution hereof, Assignee accepts such
assignment from Assignor and agrees to be bound by all of the terms and provisions of the City
Contract.
2. Assignor represents and warrants to Assignee that as of the date hereof, the City
Contract is in full force and effect and has not been amended in any way. Assignor is not aware of
any defaults by Assignor or the City under the City Contract existing as of the date hereof.
3. By its execution hereof,Assignor represents and warrants to Assignee and to the City
that it is not aware of any defaults by Assignor or the City under the City Contract,and is not aware
of the existence of any facts or circumstances which,with the giving of notice or the passage of time,
would constitute a default by Assignor or the City thereunder. Assignee hereby assumes Assignor's
rights and obligations under the City Contract and agrees to indemnify, defend and hold harmless
Assignor from and against any losses, liabilities, claims, expenses, or other damages of any kind in
any way connected with the City Contract which arise after the date hereof.

Without releasing Assignor from its obligations under the City Contract, the City consents to
