L. All consfiructian, maintenance ard operation in connection with such Impravement, use and occupancy shall be p�rformed in strict compliance with this Agreem�nt and the Charter, C�rd�nances and Codes of the City and En accordance with the directions of the Director of Transportation and Public Works of Ci�y, or his duly authorized representative. AU plans and specifications thereof shall be subject to the prior written approval of the Director of Transportation and Public V�lorks, or his duly authorized repres2ntative, but such approval shall not relieve Grante� of responsibility and liability for concept, design and computation in preparation of such plans and specifications. 7 � a - Y J . Upon completion of constructian and installation af said Improvement and thereaft�r, there shall be no encroachments in, under, on or above the surface area of the streets, alleys, sidewaiks and other public rights-of-way involved, except as described herein and shown on the hereinabove referred ta Exhibit "A", � Grante�; at nc expense to the City, shall make proper provisions for the refocation and instailation of any existing or future utilities affected by such er�croachment use and occupancy; including the securing of approval and cansent from the utility companies and the appropriate agencies of the State and its political subdivisions. !n the event that any installatian, reinstallation, r�location or repair of any existing or future utifity or improvements owned by, constructed by or on behaff of the public or at pubfic expense is made more costly by virtue of the construction, maintenance or existence of such encroachment and use, Grantee shall pay to City an additionaC amount equal to such additionaf cost as determined by khe Director of iransportation and Public Works of the City, ar his duly authorized representative. 5. City may enter and utifize the referenced areas at any time for the purpase of installing or maintaining impravements necessary for the health, safety and welfare of the pubfic or for any other public purpose fn this regard, Grantee understands and agre2s that City shall bear no responsibi{ity or liability for 3 damage or disruptior� of improvements installed by Gr�ntee or its successars, but City will make reasanab(e efforts to minimize such damage. C•'� In order to cfefray all costs af inspection and supervisian which City has incurred or will incur as a result of the constructia� r, maintenance, inspecti�r� or managemenk of khe encroachments and uses provided for by this Agreem�nt, Grartee agrees to pay to Gity at the time thi� Agreer-;ent is exzcuted a fee in the sum af Two Hundred Five Dollars & Na Cents Doflars ($205,00)� 7. The term of this Agreement shali be for thir�y years, commencing on the date this Agreement is executed by the City of Fort Worth. =�1 Upon termination of this Agreement, Grantee shall, at the option af �ity and at no expense to City, restore the pubiic right-of-wa� and remove the fmprovernent encraaching into the public right-af-way, to a condition acceptable to the Director of Transportation and Public V�lorks, or his duly authorized representative, and in accordance with then existing City specificatians. Granfee understands and agrees that the granting of a�y encroachment hereur�der is not meant ta cor�vey to Grantee any right to use or occupy property in which a third party m�y h��ie an interest, and Grantee agrees that it �+iill o�stain aIf necessary permission before occupying such pr�perty. � 11. Gra�tee covenants and agrees tha2 it shaf! operate hereunder as an ir�dependent contractor as ta a(I ri�hts and privileges granted hereun�+er and not as an o�cer, agent, �er�ant or employee af City and Grantee shall have exclusive contraf of and the exclusive right to ca�tr�( tf�e details of its o�erations, and alf persons performing same, and si�all be solely responsibfe far the acts and omis�ions of its of�icers, agents, servants, employee�, contractors, subcorttractors, license2� and invitees. Such insurance policy shaif provide that it cannot be canceled ar amended without at least ten (10) days prior written notica to the Building Official of the City of Fort V�Iarth, A copy of such Certificate of insurance is at�ached as attached as Exhibit `B", Grantee agree� to submit a similar Cer�ificate of Insurance annuafly to Ci�y on the anniversary date of the execution of this Agreement. Grantee agrees, binds and obiigatzs itself, its successors and assigns, to maintain and keep in force such public liabilify insurance at afl times during the term of this Agreement and until the removal of afl encraachments and the cfeaning and restoration of the city streets, A�I insurance coverage required herein shall incfude coverage of all Grantee's contractorse s l� Grantee agrees to deposit with ihe City ��vhen t�is Agreement is executed a�ufficsent sum of money to be used ta pay nec�ssary fees to r�cord this C�r�sent Agreem�nt �n ;ts enti�ety in the deed recard� of Tarrant Gounty; Texas.
