SECOND RENEWAL AGREEMENT
CITY SECRETARY CONTRACT NO. 28045
BALLROOM RIGGING & AUDIO VISUAL PROVIDER
FORT WORTH CONVENTION CENTER

THIS RENEWAL AGREEMENT is made and entered into this the �i�� day of
, 2007, by and between the CITY OF FORT WORTH, a home rule municipal
corp'oration of the State of Texas located within Tarrant, Denton, and Wise Counties, Texas
(hereinafter referred to as "City") acting by and through its duly authorized Assistant City Manager,
and J&S AUDIO VISUAL, INC. (hereinafter referred to as the "Contractor")
WHEREAS, on July 23, 2002, the City Council, via M&C C-19158, authorized the City
Manager to execute a three-year contract with J&S Audio Visual, Inc. as the exclusive provider of
ballroom rigging services and the preferred provider for audio visual services for exhibitors and
facility users of the Fort Worth Convention Center, styled as City Secretary Contract No. 28045
(hereinafter referred to as the "Contract"); and
WHEREAS, the Contract between the City and J&S Audio Visual, Inc., provided for a three-
year primary term beginning October 1, 2002 and for three (3) one (1) year renewal options thereafter;
and
WHEREAS, on August 23, 2005, the City Council, via M&C C-20913, authorized the extension
of the Contract with J&S Audio Visual for an additional term of one (1) year until September 30, 2006
and authorized the City Manager, in lieu of the City Council, to execute the two remaining renewal
options; and
WHEREAS, the City has properly notified Contractor of its intent to exercise the second of
three options to renew.
NOW, THEREFORE, City and Contractor agree to renew the Contract as follows:
l. Section 1, Term, is hereby amended to read as follows:

Section 1.1. TERM. This Contract shall be in effect for a period of one (1) year,
beginning October 1, 2006 and ending September 30, 2007.
Section 1.2 In addition to the term hereof and at the sole discretion of the City, the
City and Contractor may renew the Contract for one additional term of one year. City
agrees to provide Contractor written notice of its request to exercise such option period
no less than 120 calendar days prior to the end of the then current term, subject tio the
approval of the City Manager.
2. All of the terms and provisions of the original Contract between the City and the
Contractor shall remain in full force and effect except as specifically amended herein.

the Exclusive Provider, for Ballroom Rigging and Audio Visual Services for Facility Users and
Exhibitors at the Fort Worth Convention Center
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the City Manager to execute the first option to renew the contract for a term of one year with
J&S Audio Visual as the exclusive provider for ballroom rigging and the preferred provider for audio visual
services for exhibitors and facility users of the Fort Worth Convention Center to begin October 1, 2005 and
expire September 30, 2006.
2. Authorize an amendment to the contract to authorize the City Manager, in lieu of the City Council, to
execute the two remaining renewal options in order to expedite the renewal process.
DISCUSSION:
On July 23, 2002, (M&C C-19158) the City Council authorized the City Manager to execute a three-year
contract with J&S Audio Visual as the exclusive provider for ballroom rigging and the preferred provider for
audio visual services for exhibitors and facility users of the Fort Worth Convention Center. The contract
contains three one-year renewal options at the City's option, subject to approval of the City Council. The
contract was executed on October 1, 2002 and will expire on September 30, 2005.
J&S Audio Visual has met the terms and conditions of the contract and has submitted a request to exercise
the first renewal option. J&S has paid the City of Fort Worth commissions in excess of $80,000 during the
initial term of the contract. It is recommended that the City Council authorize the City Manager to execute
the one-year renewal.
Additionally, City staff is recommending the contract be amended to authorize the City Manager, rather than
the City Council, to exercise the remaining two renewal options in order to expedite the renewal process.
FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies that the Public Events Department will be responsible for the collection of
funds due to the City under this agreement.
