FIRST AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 51013
This First Amendment to Fort Worth City Secretary Contract No. 51013 ("First
Amendment") is made between the City of Fort Worth ("FORT WORTH"), a municipal
corporation,acting herein by and through Susan Alanis,its duly authorized Assistant City Manager
and Accela Inc.,a California corporation("ACCELA")acting herein through Dustin Whisenhunt,
its duly authorized Vice President, Sales.
WHEREAS, FORT WORTH and ACCELA entered into an Agreement identified as Fort
Worth City Secretary Contract No. 51013 beginning July 10, 2018 (the"Agreement"); and
WHEREAS, FORT WORTH wishes to subscribe to additional services of ACCELA
License and Case Management software; and
WHEREAS,it is the collective desire of both FORT WORTH and ACCELA to amend the
Agreement to include additional user licenses.
NOW THEREFORE, KNOWN ALL BY THESE PRESENT, FORT WORTH and
ACCELA, acting herein by the through their duly authorized representatives, enter into this First
Amendment, which amends the Agreement as follows:
1.
The Agreement is hereby amended by adding Exhibit E, Order Form, attached to this
First Amendment as Exhibit E of the Agreement.
2.
The total amount of the contract is increased by$24,816.77 to $907,655.55.
3.
All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.

2. This Order Form is governed by the applicable Accela terms found at
https:/Jaccela.box.com/v/Accela Terms,unless Customer has an effective master agreement
executed by Accela for such services as referenced in this Order Form,in which case such master
agreement will govern.
3. All Software Licenses,Maintenance,and Subscription purchases are non-cancelable and non-
refundable.
4. If this Order Form is executed and/or returned to Accela by Customer after the Order State Date
above,Accela may adjust the Order Start Date and Order End Date without increasing the total
price based on the date Accela activates the products and provided that the total term length
does not change.
