FOURTH AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 47400
This Amendment is made between the City of Fort Worth ("City"), a municipal corporation,
acting herein by and through Susan Alanis, its duly authorized Assistant City Manager and SP
Plus Corporation ("Operator"), acting herein through Thomas L. Hagerman. its duly authorized
Executive Vice President.
WHEREAS, City and Operator entered into an Agreement identified as Fort Worth City
Secretary Contract No.47400 ("Agreement") for a period of five years beginning February 1,
2016;
WHEREAS, Section 15 of the Agreement allows the City to make changes to the scope
of work or the services to be performed under the Agreement;
WHEREAS, the City desires to change the scope of work and services under the
Agreement because the City has entered into a parking management services agreement with
another vendor for parking management services at Will Rogers Memorial Center; and
WHEREAS, it is the collective desire of both City and Operator to amend the Agreement
to memorialize the change to the scope of work and services to be performed under the
Agreement and the change to the budget to reflect the reduction in the management fee and
anticipated costs under the Agreement;
NOW THEREFORE, KNOWN ALL BY THESE PRESENT:
City and .Operator agree that the Agreement is hereby amended to be effective on December 1,
2018, as follows:
1. Operator will no longer provide City services under the Agreement at Will Rogers
Memorial Center beginning on January 11, 2019. Operator will coordinate with
City's new operator at Will Rogers Memorial Center to provide continuity and
phase out services in accordance with Sections 12.7 and 12.8 of the Agreement.
This transition period will begin on December 12, 2018, and end on January 10,
2019. Any equipment remaining at Will Rogers Memorial Center can be
addressed in accordance with Section 12.4 of the Agreement.
2. Operator and City agree that the Budget for the remaining Fiscal Year 2019 will be
$. amended to accurately reflect the reduction in the management fee for no longer
providing services at Will Rogers Memorial Center and the decrease in

reimbursable expenses that will also occur. The amended Budget for the
remaining Fiscal Year 2019 is attached to this Amendment to the Agreement.
Operator and City agree that Section 3 of the Agreement is hereby amended to
reflect that, beginning on January 11, 2019, the flat management fee will be
$21,600.00,which will be paid to operator in monthly installments Qf_$l,$nn nn

4. All other terms, provisions, conditions, covenants and recitals of said Agreement
not expressly amended herein shall remain in full force and effect.
