FIRST AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 51058
This First Amendment to Fort Worth City Secretary Contract No. 51058 ("First
Amendment") is made between the City of Fort Worth ("FORT WORTH"), a municipal
corporation,acting herein by and through Susan Alanis,its duly authorized Assistant City Manager
and CITIBOT, INC., a South Carolina limited liability company ("CITIBOT") acting herein
through W. Bratton Riley, its duly authorized CEO.
WHEREAS, FORT WORTH and CITIBOT entered into an Agreement identified as Fort
Worth City Secretary Contract No. 51058 executed on or about July 19, 2018 (the "Agreement");
and
WHEREAS, it is the collective desire of both FORT WORTH and CITIBOT to amend the
Agreement to include Exhibit A (Pricing and Payment schedule).
NOW THEREFORE, KNOWN ALL BY THESE PRESENT, FORT WORTH and
CITIBOT, acting herein by the through their duly authorized representatives, enter into this First
Amendment, which amends the Agreement as follows:
1.
The Agreement is hereby amended by adding Exhibit A, attached to this First
Amendment. The first-year cost for implementation and maintenance is $98,500.00. The
second-year maintenance cost is$39,600.00. The third-year maintenance cost is $39,600.00.
The total cost of the contract will not exceed $177,700.00 over three years.
2.
All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.

EXHIBIT A
In accordance with the terms and conditions of the above identified contract between FORT
WORTH and CITIBOT, the following terms and provisions are mutually agreed to:
1. Description of change:
MOTOROLA CSR INTEGRATION
Citibot projects Motorola integration will cost$44,000.00.
2. The contract price will be adjusted as follows:
Onboarding cost $18,500.00
Motorola Integration $44,000.00
1 st Yr. Maintenance $36,000.00 (Per Year)
1st Year Cost $98,500.00
2nd Yr. Maintenance $39,600.00(Per Year)
3rd Yr. Maintenance $39,600.00(Per Year)
Expectations:
• Motorola integration—City to coordinate with Motorola and ensure that the Motorola
being helpful and available as CITIBOT make the integration happen and then test and
run QA.
Cost Notes:
• Onboarding Fee—This Fee encompasses Fort Worth Citibot Product Set Up: (1)
Selection of Phone Number; (2) System configuration to phone number, city website, and
data analytics dashboard; (3) Citibot interacting with 311 staff to show how Citibot data
feeds the Motorola CSR system; (4) Certain Artificial Intelligence Configurations prior to
launch.
• Motorola Integration—Citibot Integration into Motorola CSR system, testing, and QA.
• Annual Maintenance Cost—Communications costs, hosting,maintenance, support. The
price also reflects Citibot costs associated with standard Fort Worth Contract.
