MEMORANDUM OF OIL AND GAS LEASE

Oil and Gas Lease was made and entered into by and b en the CITYAF FORT WORTH, a
home rule municipal corporation of the State of Texas, 200 TexasrStreet, Fort Worth, Texas
76102, hereinafter called "(LESSOR)"; and TOTAL E&P USA Barnett, LLC, a Delaware
limited liability company, 301 Commerce Street, Suite 3700, Fort Worth, Texas 76102,
hereinafter called ("LESSEE"), where LESSOR hereby grants, leases and lets exclusively to
LESSEE for the purpose of exploring for, developing, producing and marketing oil and gas,
together with any liquid or gaseous substances produced in association therewith, from the
following described land situated in Tarrant County, Texas,to-wit:
SEE EXHIBIT"A"ATTACHED HERETO AND MADE A PART HEREOF
Subject to the other provisions therein contained, said lease provides for a primary term of
two (2) years, from the date thereof, and as long thereafter as oil or gas or other substances
covered therein are produced in paying quantities from the leased premises or from lands pooled
therewith, or this lease is otherwise maintained in effect pursuant to the provisions therein.
An Executed copy of said Oil and Gas Lease is in the possession of LESSEE at its address
indicated above. -,

1.9385 acres of land, more or less, and being a portion of Wilbarger Street and Wichita Street out of the
Jesse Justice Survey, Abstract 859, and the Morton Watson Survey, Abstract 1657, in the City of Worth,
Tarrant County, and more particularly described by metes and bounds in that certain Deed dated May 27,
1953 from G. R. Lipscomb as Grantor, and the City of Fort Worth, a municipal corporation of Tarrant
County Texas, as Grantee, recorded in Volume 2583, Page 411 of the Deed Records of Tarrant County,
Texas; and that certain Deed dated May 30, 1962, from Helen Lipscomb, a widow, individually and as
Independent Executrix of the Estate of G. R. Lipscomb, deceased as Grantor, and the City of Fort Worth,
a municipal corporation of Tarrant County, Texas, as Grantee, recorded in Volume 3961, Page 466, of the
Deed Records of Tarrant County, Texas.
