MYSECRETARY NO DEFAULT LETTER—LICENSE AGREEMENT
(CITY SECRETARY CONTRACT NO. 47367)
The CITY OF FORT WORTH (the "City"), is a party to that certain LICENSE
AGREEMENT BETWEEN THE CITY OF FORT WORTH AND ELAN WEST 7TH, L.P.
FOR THE DEVELOPMENT OF PARK IMPROVEMENTS IN FIRST FLIGHT AND
LINWOOD — JESSIE D. SANDOVAL PARKS with ELAN WEST 7TH, L.P. ("Elan"), a
public document on file in the City Secretary's Office as City Secretary Contract No. 47367 (the
"Agreement"), pursuant to which the City has granted to Elan certain rights to receive certain
reductions of Park Dedication Fees, as more particularly set forth in the Agreement, and hereby
certifies to AM INT WEST 7TH OWNER,LLC as follows:
I. The Agreement is in full force and effect and has not been modified, supplemented
or amended.
2. To the City's actual knowledge, there are no uncured defaults by Elan under the
Agreement.
3. The City certifies that all construction requirements under the Agreement have been
satisfactorily performed by Elan.
4. All capitalized terms used but not otherwise defined herein shall have the meanings
set forth in the Agreement.
5. Each individual executing this Estoppel Certificate on behalf of the City is
authorized to do so.
The undersigned acknowledges that this Estoppel Certificate may be delivered to and relied
upon by Lender.
