FIRST AMENDMENT
TO CITY SECRETARY CONTRACT No. 47543
RIGHT-OF-WAY ENCROACHMENT LICENSE AGREEMENT
This FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 47543,RIGHT-
OF-WAY ENCROACHMENT LICENSE AGREEMENT("Amendment") is made and entered into
by and between the CITY OF FORT WORTH("City"), a home rule municipal corporation of Tarrant
County, Texas, acting herein by and through its duly authorized City Manager,Assistant City Manager,
or Planning and Development Director, and SUMMIT HOSPITALITY 140,LLC ("Licensee"), a
Delaware limited liability company, acting herein by and through its duly authorized Secretary.
RECITALS
WHEREAS, City and IA Urban Hotels Fort Worth Limited Partnership entered into City
Secretary Contract No.47543 (the"Agreement")on February 26,2016,to authorize the use of the Public
Right-of-Way for the purpose of Awnings affixed to a storefront which encroached upon the Public
Right-of-Way; and
WHEREAS,the specific encroachments were more particularly described in "Exhibit A"
attached to the original Agreement; and
WHEREAS, City and Licensee entered into City Secretary Contract No.47543-CAI (the
"Assignment")on February 11, 2019, whereby City consented to the assignment of City Secretary
Contract No. 47543 from IA Urban Hotels Fort Worth Limited Partnership to Licensee, and Licensee
assumed all rights, duties, and obligations under the original Agreement; and
WHEREAS, Licensee now wishes to amend the original Agreement to reflect the revised scope
of the encroachments to consist of three blade signs and awning affixed to the storefront encroaching the
Public Right-of-Way; and
WHEREAS, it is the mutual desire of City and Licensee to execute this Amendment to the
original Agreement to revise"Exhibit A" in the original Agreement to depict the revised encroachment
area.

NOW,THEREFORE,City and Licensee,acting herein by and through their duly authorized
representatives,enter into the following that amends the original Agreement:
1.
"Exhibit A"in the original Agreement is hereby replaced with the attached revised description of
the encroachment area, labeled as"Revised Exhibit A."
2.
The effective date of this Amendment shall be the date of its execution by the City.
3.
All other provisions of the original Agreement which are not expressly amended herein or by City
Secretary Contract No. 47543-CA 1 shall remain in full force and effect.
