Ladies and Gentlemen:
The undersigned hereby notifies you that Irrevocable Standby Letter of Credit No.
SBPTX301468 dated May 17, 2016, issued by you in favor of the undersigned (the "Letter of
Credit") has been misplaced, lost, stolen, destroyed, or was never delivered to the City.
In connection with termination of the Letter of Credit, the undersigned:
(a) represents and warrants to you that:
(i) it has made, or caused to be made, a diligent search for the Letter of Credit and
has been unable to locate the Letter of Credit and
(ii) it has not sold, assigned, pledged, transferred, deposited,
hypothecated or otherwise disposed of the Letter of Credit or any
interest therein or signed any power of attorney or other authorization respecting
the Letter of Credit,
(b) agrees
that if it hereafter locates the Letter of Credit it will promptly return it you.
This letter shall be governed by, and construed in accordance with, the laws of the State
of Texas.
