INDEMNITY AGREEMENT
Reference is made to that certain agreement between the PepsiCo Foundation, Inc. (the
"Contractor") and the Tarrant Area Food Bank, effective January 1, 2019 and to those
Sponsor Site and Emergency Food Assistance Program Agreements between the Tarrant
Area Food Bank and the City of Fort Worth(the"Agreements").
The Contractor covenants and agrees to, and does hereby, indemnify, hold harmless,and
defend The City of Fort Worth, its officers and employees, from and against any and all
suits or claims for damages or injuries, including death, to any and all persons or
property, whether real or asserted, arising out of or in connection with any negligent act,
omission, any act or omission triggering strict liability, the violation of any law or
regulation, or intentional conduct on the part of the Contractor, its officers, agents,
servants, employees or subvendors, and the Contractor does hereby assume all liability
and responsibility for injuries, claims or suits for damages to persons or property; of
whatsoever kind or character,whether real or asserted, occurring during or arising out of
the performance of the Agreements as a result of any negligent act, omission or
intentional conduct on the part of the Contractor, its officers, agents, servants, employees
or subvendors.
Contractor agrees that City of Fort Worth shall have access to and the right to examine
any books, documents, papers and records of Sponsor which are directly pertinent to
transactions relating to this Agreement and that involve the obligation, commitment or
transfer of City funds.
The Agreement and the rights and obligations of the parties hereto shall be governed by,
and construed in accordance with the laws of the United States and state of Texas,
exclusive of conflicts of laws provisions. Venue for any suit brought under the
Agreement shall be in a court of competent jurisdiction in Tarrant County,Texas.
