THIRD RENEWAL AND AMENDMENT NO.2 TO
CITY SECRETARY CONTRACT NO.47840
PROFESSIONAL SERVICES AGREEMENT
This Amendment and Renewal is entered into by and between the City of Fort Worth
(hereafter "City"), a Texas home-rule municipal corporation, acting by and through Jesus J.
Chapa, its duly authorized Assistant City Manager, and PropertyRoom.com, Inc. (hereafter
"Agency"), a Delaware corporation, acting by and through its duly authorized President and
CEO, each individually referred to herein as a "party" and collectively referred to as the
"parties.
WHEREAS, the parties have previously entered into City of Fort Worth City Secretary
Contract No. 47840 (the "Contract"), which was executed on May 30, 2016 with an effective
date of May 11,2016; and
WHEREAS, the City and Agency previously amended the original contract to remove
additional services that Agency had agreed to provide, which was Amended Once executed on
July 30,2018;and
WHEREAS,the City and Agency agreed to renew the Contract for its first renewal term
effective May 12,2017 through May 11, 2018; and
WHEREAS, the City and Agency agreed to renew the Contract for its second renewal
term effective May 12,2018 through May 11,2019;and
WHEREAS, the City and Agency now wish to evidence the parties intention to renew
the Contract for its third renewal term; and
WHEREAS,the City and Agency now wish to amend the original Contract to update the
point of contact listed in Section 13.
NOW, THEREFORE, City and Agency, acting herein by the through their duly
authorized representatives,enter into the following agreement to amend the contract:
1. RENEWAL
The term of the Contract is hereby renewed beginning on May 12, 2019 and ending on
May 11,2020.

2. AMENDMENT
Section 13 of the Contract is hereby superseded and replaced with the following:
13. NOTICES.
Notices required pursuant to the provisions of this Agreement shall be conclusively
determined to have been delivered when (1) hand-delivered to the other party, its agents,
employees, servants or representatives, (2) delivered by facsimile with electronic confirmation of
the transmission, or (3) received by the other party by United States Mail, registered, return
receipt requested, addressed as follows:

All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.
