DRILL THROUGH EASEMENT/OVERRIDING ROYALTY INTEREST STATE OF TEXAS § COUNTY OF TARRANT § THIS Drill Through Easement / Overriding Royalty Interest (the "Interest") is made and entered into to be effective as of this 24th day of August, 2007 (the "Effective Date") by and between the CITY OF FORT WORTH, a home rule municipal corporation of the State of Texas located within Tarrant, Denton, and Wise Counties, Texas, (the "Grantor"), whose address is 1000 Throckmorton, Fort Worth, Texas 76102, and CHESAPEAKE EXPLORATION L.L.C., an Oklahoma limited liability company, whose address is P.O. Box 18496, Oklahoma City, Oklahoma 73154-0496 (the "Grantee"). WITNESSETH: I. DEFINITIONS "Affiliate" means any Person (defined below) that, directly or indirectly, through one or more other Persons, controls, is controlled by, or is under common control with the Person specified. With respect to any Person (i) the securities of which are not publicly traded and (ii) that has no ultimate parent the securities of which are publicly traded, the term "Affiliate" shall also include (a) any executive officer, partner, manager, or director of the Person specified, (b) any Person controlled by one or more executive officers, partners, managers, or directors of the Person specified, or (c) any Person related (by blood or marriage) to any executive officer, partner, manager, or director. For the purpose of this definition of Affiliate, the term "control" means the power to direct or cause the direction of the management of such Person, whether through the ownership of voting securities, by contract or agency or otherwise. "Claim" or "Claims" means any and all claims, demands, suits, causes of action, losses, damages, liabilities, fines, penalties and costs (including attorneys' fees and costs of litigation). "Easement" is defined in Article II below "Effective Date"is defined in the heading. "Environmental Claims" means all Claims for pollution or environmental damages of any kind, including without limitation, those relating to: (a) remediation and/or clean-up thereof, (b) damage to and/or loss of any property or resource, and/or (c) injury or death of any person(s) whomsoever; including without limitation, Claims relating to breach and/or violation of Environmental Laws, common law causes of action such as negligence, gross negligence, strict liability, nuisance or trespass, or fault imposed by statute, rule, regulation or otherwise, Claims relating to asbestos,NORM (as hereinafter defined) or other potentially hazardous substances, all HOU:2692475.5 MJ �� ����� costs associated with remediation and clean up, and fines and penalties associated with any of the foregoing. "Environmental Laws" means all laws, statutes, ordinances, permits, orders, judgments, rules or regulations which are promulgated, issued or enacted by a governmental entity or authority having appropriate jurisdiction that, (a) relate to the prevention of pollution or environmental damage, (b) the remediation of pollution or environmental damage, or (c) the protection of the environment generally; including without limitation, the Clean Air Act, as amended, the Clean Water Act, as amended, the Comprehensive Environmental Response, Compensation and Liability Act of 1980, as amended, the Federal Water Pollution Control Act, as amended, the Resource Conservation and Recovery Act of 1976, as amended, the Safe Drinking Water Act, as amended, the Toxic Substance and Control Act, as amended, the Superfund Amendments and Reauthorization Act of 1986, as amended, the Hazardous and the Solid Waste Amendments Act of 1984, as amended, and the Oil Pollution Act of 1990, as amended. "Hydrocarbons"means oil, gas, and other gaseous and liquid hydrocarbons. "Laws" means laws, statutes, ordinances, permits, decrees, orders, judgments, rules or regulations (including without limitation Environmental Laws) which are promulgated, issued, or enacted by a governmental entity or authority having appropriate jurisdiction "Lease" means that Oil and Gas Lease of even date herewith covering the Leased Premises between CentrePort Barnett, LP, on behalf of itself and as executive rights holder for Grantor, and Grantee. "Leased Premises" means those lands described or referred to in Exhibit A attached hereto and made a part hereof for all purposes. "ORI" is defined in Article III below. "Person" means an individual, group, partnership, limited liability company, corporation, trust, or other entity. II. DRILL THROUGH EASEMENT It is contemplated that Grantee's Hydrocarbon exploration, production, and development operations may make it necessary or convenient for Grantee to enter and "drill through" the Leased Premises, or a portion thereof, in order to access and produce Hydrocarbons from lands in the vicinity of the Leased Premises which are not otherwise pooled therewith. Accordingly, for and in consideration of the overriding royalty interest described in Section III., Grantor does hereby GRANT, SELL, and CONVEY to Grantee, without warranty of title express, implied, or statutory, a limited, non-exclusive "drill though" subsurface easement (the "Easement") through and under the Leased Premises so that Grantee can access and produce Hydrocarbons from lands in the vicinity of the Leased Premises, but not pooled therewith. Grantee acknowledges that this Easement grants no rights to enter upon any portion of the surface of the Leased Premises for any purpose whatsoever. Grantee may utilize the Easement for a terms of five (5) years and for 2 HOU:2692475.5 so long thereafter as any well drilled through the Leased Premises, or any portion thereof, is producing Hydrocarbons in paying quantities. III. OVERRIDING ROYALTY INTEREST As consideration for the Easement, Grantee does hereby GRANT, SELL, and CONVEY to Grantor an overriding royalty interest (the "ORI") equal to two percent (2%) of eight-eighths (8/8ths) of all Hydrocarbons and substances produced in association therewith from the wellbore of each well drilled through the Leased Premises, or any portion thereof, pursuant to the Easement. The ORI granted herewith shall be calculated and paid in the manner set forth in the Lease. Upon the commencement of drilling operations, Grantee shall provide Grantor with full information concerning the status of each well drilled through the Leased Premises by virtue of the Easement. If any of such wells are capable of producing Hydrocarbons, then Grantee shall execute, acknowledge, and deliver to Grantor a borehole assignment of the ORI in recordable form effective as of the date of first production. IV. ENVIRONMENTAL REPORTS; INDEMNITY Any overflows, spills, or releases of any substance affecting the Leased Premises, including, but not limited to, salt water, mud, chemicals, or oil shall be reported immediately in writing to Grantor. Grantee shall RELEASE Grantor from, and shall fully PROTECT, INDEMNIFY and DEFEND Grantor, and their officers, agents, departments, employees, consultants, and Affiliates and HOLD them HARMLESS from and against any and all Environmental Claims relating to, arising out of, or connected, directly or indirectly, with Grantee's use of the Easement with respect to the drilling and operation of any wells drilled through the Leased Premises from and after the Effective Date hereof, including without limitation, Environmental Claims relating to (a) injury or death of any person or persons whomsoever, (b) damage to or loss of any property or resource, (c) pollution, environmental damage, or violation of Environmental Laws, (d) common law causes of action such as negligence, strict liability, nuisance, or trespass, or (e) fault imposed by statute, rule, regulation, or any other Laws. V. ASSIGNABILITY BY GRANTEE This Easement may be assigned in whole or in part by Grantee and the provisions shall extend to the successors and assigns of the parties hereto; provided, however, that any such assignment by Grantee (other than to an Affiliate of Grantee) shall require the prior written consent of Grantor, which shall not be unreasonably withheld. All transfers by Grantee (including assignments, sales, subleases, overriding royalty conveyances, or production payment arrangements) must be recorded in the county where the Leased Premises are located, and the recorded transfer or a copy certified to by the County Clerk of the county where the transfer is recorded must be delivered to the Grantor within sixty (60) days of the execution date. Every transferee shall succeed to all rights and be subject to all obligations owed to the Grantor by the original Grantee or any prior transferee of the Easement, including any liabilities to the Grantor for unpaid royalties. No such transfer shall release the Grantee (or any subsequent transferor) 3 HOU:2692475.5 from any obligation hereunder. VI. NO WARRANTY This Easement is given and granted without warranty of title, express, implied, or statutory, in law or in equity. VII. INDEMNITY Grantee shall RELEASE Grantor from and shall fully PROTECT, INDEMNIFY and DEFEND Grantor, and their officers, agents, departments, employees, consultants, and Affiliates and HOLD them HARMLESS from and against any and all Claims relating to, arising out of, or connected, directly or indirectly, with Grantee's use of or operations in the Leased Premises pertaining to the period of time from and after the Effective Date, no matter when asserted, including without limitation, Claims relating to (a) injury or death of any person or persons whomsoever, (b) damages to or loss of any property or resources, (c) common law causes of action such as negligence, strict liability, nuisance or trespass, or (d) fault imposed by statute, rule, regulation or any other Laws. VIII. INSURANCE Grantee shall provide or cause to be provided the insurance set forth on Exhibit B for each well drilled through the Leased Premises, or any part thereof, under the terms of this Easement, such insurance to continue until the well is plugged and abandoned in accordance with applicable Law. Such insurance shall name Grantor as co-insureds, waive subrogation against Grantor, and provide that said insurance can not be canceled or terminated without thirty (30) days prior written notice to Grantor. The insurance requirements may be satisfied by a combination of self-insurance, primary, and excess policies as set forth on Exhibit B. IX. NOTICES /AUDITS a. Grantee shall advise Grantor in writing of the location of each well to be drilled through the Leased Premises, or any portion thereof, on or before thirty (30) days after commencement of operations, and shall advise Grantor in writing the date of completion and/or abandonment of each well drilled through the Leased Premises, or any portion thereof. Such notice shall include furnishing the Grantor a copy of the applicable completion or plugging report filed with any governmental or regulatory agency and a plat or map showing the location of the well drilled through the Leased Premises within thirty (30) days after completion or abandonment. b. All notices, information, letters, surveys, reports, material, and all other documents, required or permitted to be sent to Grantor by Grantee (other than payments, which shall be remitted under Article IX.f. below) shall be sent by personal delivery or by certified United States mail, postage prepaid, return receipt required, to the following address: MAP 4 ^'o HOU:2692475.5 CITY OF FORT WORTH c/o Director, Department of Engineering 1000 Throckmorton Fort Worth, Texas 76102 C. All notices required or permitted to be sent to Grantee by Grantor shall be sent to Grantee by personal delivery or by certified United States mail, postage prepaid, return receipt requested to the following address: Chesapeake Exploration L.L.C. P.O. Box 18496 Oklahoma City, Oklahoma 73154 Attention: Henry Hood d. Receipt of notices, and other documents, hereunder is complete upon deposit of the mailed material in a post office or official depository under the care and custody of the United States Postal Service, in a postpaid, properly addressed and certified wrapper, or upon actual delivery to the recipient. e. Any party hereto shall have the right to change the name or address of the person or persons required to receive notices, and other documents, by so notifying the other party in writing. f. All amounts due to Grantor by virtue of the ORI hereunder shall be paid as follows: CITY OF FORT WORTH c/o Director, Department of Engineering 1000 Throckmorton Fort Worth, Texas 76102 g. Audits. Upon ten (10) day's prior written notice to Grantee, but not more than once in each calendar year while this Easement is in force and effect, Grantor and its representatives may conduct an audit of Grantee's books, records, accounts, contracts, commitments, and agreements as they relate to Grantee's wells drilled through all or any portion of the Leased Premises. Grantor and its representatives may conduct a final audit within a period of one (1) year after the expiration of the Easement. All audits shall be conducted at the offices of Grantee during usual business hours. Grantee shall cooperate with Grantor and its representatives during any audit, including, if requested by Grantor providing access to necessary personnel. Within forty-five (45) days of the completion of the audit, Grantor shall furnish Grantee with any audit exceptions. Grantor and Grantee shall thereafter attempt to resolve any audit exceptions in a prompt and amicable manner. X. BREACH BY GRANTEE Grantee shall conduct its operations in strict compliance with all of the terms and provisions of this Easement and with all applicable Laws including, but not limited to, all local, 5 HOU:2692475.5 state and federal Environmental Laws and regulations and applicable city ordinances. Grantee shall conduct all operations hereunder as a reasonable and prudent oil and gas operator and in compliance with good oil field practices. If Grantor considers that operations are not, at any time, being conducted in compliance with this Lease, or any implied covenant of this Lease, Grantor shall notify Grantee in writing of the facts relied upon as constituting a breach of any express or implied covenant or obligation of Grantee hereunder and, Grantee, if in default, shall have sixty (60) days after receipt of such notice in which to commence compliance with its obligations hereunder. If Grantee fails to timely commence efforts to rectify any such breach and to exercise diligence in remedying any such breach hereunder, then Grantor may avail itself of all remedies available to it at law or in equity. XI. SURFACE WAIVER Grantee recognizes and acknowledges that the Easement is a limited, non- exclusive "drill though" subsurface easement through and under the Leased Premises, and Grantee is prohibited from any use of the surface of the Leased Premises. XII. COMPLIANCE WITH LAWS Grantee shall comply with all applicable Laws in connection with all drilling, completion, production, and other operations under the terms of this Lease, including, without limitation, Ordinance Number 16986-06-2006, the drilling and production regulations of the City of Fort Worth. Grantee shall plug and abandon, or shall cause to be plugged and abandoned, all wells drilled through the Leased Premises in a timely manner in accordance with all applicable Laws. XIII. CONFLICT OF INTEREST Grantee represents that Grantee; its officers and directors, are not employees or officers of the City of Fort Worth nor is Grantee (its officers and directors) acting on behalf of any such officer or employee of the City of Fort Worth. XIV. TERMS All of the terms and provisions of this Easement shall extend to and be binding upon the administrators, successors, and authorized assigns of the parties hereto. XV. ENTIRE AGREEMENT This Easement states the entire contract between the parties, and no representation or promise, verbal or written, on behalf of either party shall be binding unless contained herein. 6 HOU2692475.5 XVI. CAPTIONS The captions to the various sections of the Easement are for convenience only, to be used primarily to more readily locate specific provisions, shall not be considered a part of the Easement, and shall not be used to interpret any of the Easement provisions. XVII. MEMORANDUM OF INTEREST Grantor and Grantee agree that Grantee shall record this instrument or a Memorandum of Interest in the Official Records of Tarrant County, Texas to evidence the existence of this Easement, identify the parties hereto, describe the Leased Premises, and provide notice of the ORI herein.
