(Homebound Elderly Lifeline Project) Grant This Agreement dated January 31, 2008 is between the Meals On Wheels, Inc. of Tarrant County ("MOW" or "Local MOW Provider"), a Texas not -for -profit organization located at 320 South Freeway, Fort Worth, Texas 76104 and the City of Fort Worth, acting by and through its Fire Department ("Local Fire Department" or "FWFD"), located at 1000 Throckmorton, Fort Worth, Texas 76102 for purposes of providing smoke alarm installation and related services in conjunction with the Residential Fire H.E.L.P. (Homebound Elderly Lifeline Project) grant project ("Project") as awarded by the U.S. Department of Homeland Security ("DHS") pursuant to Grant Award #2006-GT-T6-KO10 ("DHS Grant Award"). 1. Project Summary. The Project is designed to promote residential fire safety among homebound seniors with the goal of reducing injuries and loss of property and life due to fire and fire -related hazards. The Project consists of severalcomponents, including: a) screenings of the homes of Meals On Wheels ("MOW") clients, b) MOW client and public education, and c) the installation and periodic testing of smoke alarms. 2. Term. The Term of this Agreement shall be from date first stated above through the end of the term of the DHS Grant Award, unless sooner terminated in accordance with the terms of this Agreement. Either Party may terminate this Agreement with no less than sixty (60) days written notice to the other Party. Except as otherwise required by law, in the event of premature termination by either Party, Local Fire Department agrees to return to Local MOW Provider all MOW work product, materials, documents, data, unused smoke alarms, and other information related to the Project in its possession. Local Fire Department understands and acknowledges that the duties to be performed by Local Fire Department hereunder are unique and not transferable or assignable to any other person or organization without the advance written permission of Local MOW Provider. 3. Description of the Duties /Independent Contractor. Local Fire Department shall provide smoke alarm installation. Local Fire Department hereby acknowledges and agrees that it shall be engaged by Local MOW Provider as an uncompensated Independent Contractor for the purposes of this Agreement. 4. Scope of Work. Local Fire Department shall be responsible for: • Coordinating with Local MOW Provider as to obligations and services to be performed; • The Fort Worth Fire Department will not access the MOW database. MOW staff will forward a list of client requests to the FWFP; • Making arrangements with MOW client to visit client's residence at a time reasonably convenient to the MOW client and the FWFD and install such smoke alarms that may be needed according to National Fire Protection Association (NFPA) codes and standards regarding the installation and location of smoke alarms; • MOW will be responsible for all MOW record keeping and database access; • Performing, managing, supervising, coordinating and overseeing all smoke alarm installation services; • MOW will be responsible for distribution and record keeping of smoke alarms. Homebound Elderly Lifeline Project, Grant 02-01-08 P 4��+° �N���•U FYI L•�vl�:��) UGS Page 1 of 3 • Completing specific tasks within timetrame as defined by the Local MOW Provider, subject to emergencies requiring the FWFD's attention; • Coordinating and communicating with Local MOW Provider and external entities as may be required; and, • Report all completed installations to MOW in a timely manner. 5. Local MOW Provider Responses. Local MOW Provider shall provide direction and input to Local Fire Department as to the Project work plan, project priorities and timeframes. Local MOW Provider shall also be responsible for coordinating with Local Fire Department as to the services that each Party shall perform under this Agreement. MOW shall provide client list with contact information to the FWFD. 6. Work Performance Standards. Local Fire Department agrees to the following: • Any written information that will be distributed to the public in any form (including press releases, web based, speeches, etc.) regarding the Fire H.E.L.P grant project must be submitted for review to and approval by the MOWAA Communications Department prior to its dissemination. Local Fire Department is hereby advised that in any meetings in which a reference to the Centers for Disease Control and Prevention is made as a National Project Partner, Local Fire Department shall state expressly that no endorsement by the CDC or the Federal government is intended or should be inferred. • Local Fire Department acknowledges that certain confidential information may be obtained through this Agreement, including confidential information relating to MOW clients, and that such confidential information provided to Local Fire Department, if improperly used, can result in irreparable harm not susceptible to precise proof, and that the unauthorized release to any third party is prohibited, except as otherwise required by law. • Except as otherwise required by law, Local Fire Department acknowledges and agrees that all documents and technology, including but not limited to the Fire Screen Looks), other materials, and any associated website and web -based application(s) provided by MOW and/or and Meals on Wheels Association of America ("MOWAA") to the City of Fort Worth and/or FWFD utilized in conjunction with the Project, are the intellectual property of MOWAA (unless otherwise specified) and may not be copied, shared, replicated or used in any related or other context or for purposes other than this Project without the advance written permission of MOWAA. • Local Fire Department agrees that at all times in furtherance of this Agreement it shall operate under and adhere to all applicable professional standards relating to fire fighters, home inspections and the installation of smoke alarms. 7. Compensation /Expenses. There shall be no compensation to Local Fire Department for the performance of its services hereunder. Further, there shall be no reimbursement of expenses incurred by Local Fire Department in furtherance of the Project.
