CSC NO. 51112-RlA1 FIRST RENEWAL AND AMENDMENT NO. 1 TO INVITATION TO CITY SECRETARY CONTRACT NO. 51112 This First Renewal and Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a Texas home-rule municipal corporation, acting by and through Valerie Washington, its duly authorized Assistant City Manager, and Liberty Tire Recycling, LLC (hereafter "Vendor"), a Texas limited liability company, acting by and through Kevin Martinolich, its duly authorized Regional Vice President, each individually referred to herein as a"party" and collectively referred to as the "parties." WHEREAS, the parties have previously agreed to the terms and conditions as set forth in City of Fort Worth City Secretary Contract No. 51112 (the "Contract") effective July 16, 2018 and expiring July 15, 2019; and WHEREAS, the Contract is for the purposes of providing tire recycling services, including scrap tire transport and disposal, for the City of Fort Worth; and WHEREAS, the Contract and four one-year options to renew were approved by the Fort Worth City Council on April 10, 2018 by M&C P-12185; and WHEREAS, the Contract and M&C P-12185 authorized an annual contract amount of $160,000.00 and allowed for an administrative change order or increase in an amount up to 25% of the original contract amount or $40,000.00; and WHEREAS, City staff has determined that it is necessary to increase the quantity of work to be performed under the Contract; and WHEREAS, the City and Vendor now wish to amend the Contract to allow for an annual contract amount not to exceed $200,000.00; and WHEREAS, the increase is within the City Manager's administrative authority. WHEREAS, the City and Vendor now wish to evidence the parties intention to renew the Contract for its first renewal term; and NOW, THEREFORE, City and Vendor, acting herein by the through their duly authorized representatives, enter into the following agreement to renew and amend the contract: CSCO No. 51112 Page 1 of 3 Amendment 1 Renewal 1 OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX 1. COMPENSATION AMENDMENT It is the parties' intent to replace section 3. Compensation included in the Contract with the following: 3. COMPENSATION. City shall pay Contractor in accordance with the fee schedule of Contractor personnel who perform services under this Agreement in accordance with the provisions of this Agreement and Exhibit "B,"—Price Schedule. Total payment made under this Agreement f'or the initial one-year term by City shall be in the amount of Two Hundred Thousand Dollars ($200,000.00). Contractor shall not perform any additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Contractor not specified by this Agreement unless City first approves such expenses in writing. 2. RENEWAL This Renewal and Amendment shall serve as notice that the City and Vendor agree to renew the Contract for an additional one-year period,which will expire on July 15, 2020. 3. All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect.
