I-1 I-PL _ AMENDED AND RESTATED MEMORANDUM OF UNDERSTANDING FOR THE "AGREEMENT FOR AUTOMATIC ASSISTANCE" BETWEEN THE CITY OF FORT WORTH AND THE NAVAL AIR STATION JOINT RESERVE BASE FORT WORTH Whereas, the City of Fort Worth and the Naval Air Station Joint Reserve Base Fort Worth, hereinafter "NAS JRB FW" entered into an "Agreement for Automatic Assistance; and Whereas, the Agreement for Automatic Assistance requires that the Fire Chiefs mutually agree to the type and amount of assistance to be provided by a memorandum of understanding;and Whereas, The Fire Chief of the City of Fort Worth Fire Department and the Fire Chief of the Naval Air Station Joint Reserve Base Fort Worth agreed to a memorandum of understanding (City Secretary Contract No. 31781) ("Original MOU"); and Whereas, The Fire Chiefs now desire to amend and restate the MOU in its entirety to memorialize updated details regarding NAS JRB FW's use of the City of Fort Worth's communication and computer systems, among other minor changes. The following specifies said amounts and types of assistance, methods of dispatching and communications, training programs and procedures, additional assistance, and areas to be assisted. The specific terms for this memorandum of understanding are: • Upon receipt of a 1 alarm assignment request by the NAS JRB FW, the Fort Worth Fire Department will dispatch, based on availability, 2 engine companies, 1 quint or truck company, and a battalion chief with a minimum total of 10 personnel • To back up the NAS JRB FW fire station, the Fort Worth Fire Department will send one engine company with a minimum staffing of 3 personnel • Upon receipt for automatic aid into the City of Fort Worth to the area as shown in the attached map, the NAS JRB FW will dispatch one Engine Company or Truck Company that is staffed by at least four (4) personnel. • NAS JRB FW has been provided configured alerting and communications equipment that enables them to operate on the City of Fort Worth communications system. This allows NAS JRB FW to be dispatched by the Fort Worth Fire Department Alarm Office through their Computer Aided Dispatch (CAD) System. NAS JRB FW agrees to the terms for network access, attached hereto as Attachment A, relative to its use of CAD. NAS JRB FW has been provided 2 portable radios that will be configured in such a way as to be able to operate in the City of Fort Worth communications system. Both portable radios have been issued to the NAS JRB FW Fire Department. The City of Fort Worth has also provided and installed 1 Mobile Data Computer (MDC) on an NAS JRB FW apparatus to enhance response capabilities with a second MDC to be installed on second NAS JRB FW apparatus at a future date. • The City of Fort Worth has also provided and installed 1 Mobile Data Computer (MDC) on an NAS JRB FW apparatus to enhance response capabilities with a second MDC to be installed on second NAS JRB FW apparatus at a future date. • The NAS JRB FW will have up to two ARFF vehicles and staffing available for use by the City of Fort Worth. !OF.FICIAL RECENED RECORDITY SECRETARY C}jYSECRETARY FFT WORTH TX • The NAS JRB FW will have one rescue boat and personnel available for basic water rescue exclusive of swift water rescue and underwater search and recovery. • Training opportunities — the FWFD will extend training opportunities to NAS JRB FW personnel on a regular basis so that they become familiar with the Incident Command System (ICS), tactics and strategy, and equipment as used by the FWFD. NAS JRB FW will make available their Aircraft Rescue and Fire Fighting (ARFF) apparatus and training props for the training of FW ARFF personnel. • Additional Assistance: NAS JRB FW Public Affairs Officer and FWFD Public Information Officer will coordinate on crisis communication efforts and the public release of information in the event of incidents or emergencies involving government equipment off the installation or incidents or emergencies on the installation when supported by FWFD. The parties agree that the Original MOU is hereby void and of no effect, and superseded by this Amended and Restated MOU. The Network. The City owns and operates a computing environment and network (collectively the "Network"). NAS JRB FW wishes to access the City's network in order to provide response to dispatch requests from the Fort Worth Fire Alarm Office. In order to provide the necessary support, NAS JRB FW needs access to the City's Computer-Assisted Dispatch (CAD) System. 2. Grant of Limited Access. NAS JRB FW is hereby granted a limited right of access to the City's Network for the sole purpose of providing response to dispatch requests from the Fort Worth Fire Alarm Office utilizing the City's CAD system. Such access is granted subject to the terms and conditions forth in this Agreement and applicable provisions of the City's Administrative Regulation D-7 (Electronic Communications Resource Use Policy), of which such applicable provisions are hereby incorporated by reference and made a part of this Agreement for all purposes herein and are available upon request. 3. Network Credentials. The City will provide NAS JRB FW with Network Credentials consisting of user IDs and passwords unique to each individual requiring Network access on behalf of the NAS JRB FW. Access rights will automatically expire one (1) year from the date of this Agreement. If this access is being granted for purposes of completing services for the City pursuant to a separate contract, then, this Agreement will expire at the completion of the contracted services, or upon termination of the contracted services, whichever occurs first. Services are being provided in accordance with City Secretary Contract Number 31781-A1. NAS JRB FW shall provide the City with a current list of its officers, agents, servants, employees or representatives requiring Network credentials on an annual basis. Failure to adhere to this requirement may result in denial of access to the Network and/or termination of this Agreement. 4. Network Restrictions. NAS JRB FW officers, agents, servants, employees or representatives may not share the City-assigned user IDs and passwords. NAS JRB FW acknowledges, agrees and hereby gives its authorization to the City to monitor NAS JRB FW's use of the City's Network in order to ensure NAS JRB FW's compliance with this Agreement. A breach by NAS JRB FW, its officers, agents, servants, employees or representatives, of this Agreement and any other written instructions or guidelines that the City provides to NAS JRB FW pursuant to this Agreement shall be grounds for the City immediately to deny NAS JRB FW access to the Network and NAS JRB FW's Data, terminate the Agreement, and pursue any other remedies that the City may have under this Agreement or at law or in equity. 5. Termination. In addition to the other rights of termination set forth herein, the City may terminate Network access at any time and for any reason with or without notice, and without penalty to the City. Upon termination of Network access, NAS JRB FW agrees to remove entirely any client or communications software provided by the City from all computing equipment used and owned by the NAS JRB FW, its officers, agents, servants, employees and/or representatives to access the City's Network. 6. Information Security. NAS JRB FW agrees to make every reasonable effort in accordance with accepted security practices to protect the Network credentials and access methods provided by the City from unauthorized disclosure and use. NAS JRB FW agrees to notify the City immediately upon discovery of a breach or threat of breach which could compromise the integrity of the City's Network, including but not limited to, theft of NAS JRB FW-owned equipment that contains City-provided access software, termination or resignation of officers, agents, servants, employees or representatives with access to City-provided Network credentials, and unauthorized use or sharing of Network credentials. 7. LIABILITY AND INDEMNIFICATION. NAS JRB FW SHALL BE LIABLE AND RESPONSIBLE FOR ALL DAMAGES THAT THE CITY MAY INCUR DIRECTLY ON ACCOUNT OF ANY BREACH OF THIS AGREEMENT BY NAS JRB FW, ITS OFFICERS, AGENTS, SERVANTS OR EMPLOYEES. THE CITY, ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, SHALL NOT BE LIABLE FOR ANY DAMAGES THAT NAS JRB FW MAY INCUR AS A RESULT OF THE CITY'S RESTRICTIONS TO OR DENIAL OF ACCESS TO NAS JRB FW'S DATA ON ACCOUNT OF ANY BREACH OF THIS AGREEMENT BY NAS JRB FW, ITS OFFICERS, AGENTS, SERVANTS OR EMPLOYEES, OR FOR ANY REASONABLE SECURITY MEASURES TAKEN BY THE CITY. IN ADDITION, NAS JRB FW SHALL BE LIABLE AND RESPONSIBLE FOR ANY AND ALL PROPERTY LOSS, PROPERTY DAMAGE AND/OR PERSONAL INJURY, INCLUDING DEATH, AND ALL CLAIMS, DEMANDS AND JUDGMENTS THEREFOR, TO THE EXTENT CAUSED BY THE NEGLIGENT ACT(S) OR OMISSION(S) OR INTENTIONAL MISCONDUCT OF NAS JRB FW, ITS OFFICERS, AGENTS, SERVANTS AND/OR EMPLOYEES. 8. Confidential Information. NAS JRB FW, for itself and its officers, agents, employees, and representatives, agrees that it shall treat all information provided to it by the City as confidential and shall not disclose any such information to a third party without the prior written approval of the City, subject to applicable laws. NAS JRB FW further agrees that it shall store and maintain City Information in a secure manner and shall not allow unauthorized users to access, modify, delete or otherwise corrupt City Information in any way. NAS JRB FW shall notify the City immediately if the security or integrity of any City information has been compromised or is believed to have been compromised.
